Our facilities and watercraft receive regular maintenance; our financial condition is sound; and our volunteers are hard working and committed. Our mission is clear and limited. First, we train our children in the skills of recreational and competitive sailing. Second, we provide a venue in which adults can apply, improve, and test their sailing skills. Organizations do not survive 75 years unless their mission is important. Sailing is fun and it builds character. Our children learn to conquer their fears. They master new skills, gaining confidence in themselves. They learn the patience required to achieve results in the physical world. They learn that hard work and preparation make a difference. They build friendships and memories to last a lifetime. Sailing also builds our adult's character. They are reminded of the importance of practice. They learn to persevere in a sometimes harsh physical environment. They see that no gain is permanent; that wind, weather and time will undo every gain that is not nurtured. They are reminded that life can be unfair in the short run, but that in the long run hard work is rewarded with competence and the satisfaction of having made the best effort possible and, sometimes, with victory. They see the value of teamwork first hand. They accept that some forces are beyond their control. And, like our children, they build friendships and memories to last a lifetime. Organizations do not survive 75 years without committed volunteers. Every one of us can name Fleet members who gave of themselves over the year to deliver to us the facilities, programs, and guiding principles we enjoy today. This summer is no exception. With new instructors leading the junior program and without a permanent Executive Secretary, volunteers filled the gap. They prepared in greater detail in the spring, oriented the staff at the start of the summer, and worked on site at the Fleet every day to resolve the inevitable questions. The result was fun, challenging racing, and one of the best junior programs ever. Evans 1997 10 By Certificate of Organization of a Corporation under the general Law of the State of Maine, the name of said corporation is: THE NORTHEAST HARBOR FLEET The purpose of said corporation is: A Yacht Club for the promotion of yachting as an amateur sport at Northeast Harbor in the Town of Mount Desert, Maine and its vicinity. BY-LAWS Article I - Membership SECTION 1. Membership in the Northeast Harbor Fleet shall be open to persons interested in yachting and shall be divided into six classes, namely: Family Members, Individual Members, Intermediate Members, Junior Members, Honorary Members and Non-Resident Members. The Executive Committee, or its designee(s), may from time to time elect eligible persons to one of the six classes of membership. Candidates for membership must be nominated and seconded for membership by letters from adult Fleet members in good standing.* The nominating and seconding letters should be addressed to the Executive Committee, The Northeast Harbor Fleet, Northeast Harbor, Maine 04662. Eligible candidates for Junior Membership require no supporting letters, but must be proposed by an adult who will be responsible for paying the dues and fees incurred by the Junior Member. A former member in good standing* may re-activate a lapsed membership by application to the Fleet Secretary. "In good standing" means that all dues and fees for current and prior years have been paid in full. HONORARY MEMBERS - Honorary Members shall be such persons as the Executive Committee may from time to time elect to Honorary Membership. Honorary Members are entitled to full privileges of membership. There are no dues for Honorary Members. FAMILY MEMBERS Any person or couple otherwise eligible for membership may be elected to Family Membership of the Fleet. Family Membership extends the privileges of Junior Membership without the payment of additional dues, to the children, grandchildren and great-grandchildren residing in the summer residence of a Family Member who have reached their 6th birthday but have not reached their 21st birthday. Family membership is required when more than one individual in a family unit consisting of a head of household, his or her spouse and/or their children is desirous of membership. INDIVIDUAL MEMBERS - Any eligible person who has reached his or her 30th birthday may be elected an Individual Member of the Fleet. An Individual Member of the Fleet may become a Family Member without application by notifying the Fleet and paying the dues for that class of membership. INTERMEDIATE MEMBERS - Any eligible person who has reached his or her 21st birthday but has not yet reached his or her 30th birthday may be elected an Intermediate Member of the Fleet. Intermediate Members may become Individual Members or Family Members when they reach their 30th birthday without application by notifying the Fleet Secretary and paying the dues for the desired class of membership. Intermediate Members who wish to extend the privileges of membership to their spouses and or children shall become a Family Member of the Fleet. 11 JUNIOR MEMBERS - Any eligible person who has reached his or her 6th birthday and has not passed his or her 21st birthday may be elected to Junior Membership. Junior Membership is also extended to children otherwise eligible for membership as part of a Family Membership. Except for certain house guests (see below) Junior Membership or Family Membership is required for those participating in the Junior Sailing Programs of the Fleet. Junior Members may become Intermediate Members or Family Members when they reach their 21st birthdays without application by notifying the Fleet Secretary and paying the dues for the appropriate class of membership. NON-RESIDENT MEMBERS - A person who has been a member of the Fleet for five consecutive years or more may become a Non-Resident Member without application by notifying the Fleet. Non-Resident Membership is available to those who live more than 150 miles from the Fleet and who do not spend more than five days on Mount Desert Island during the period from July first to Labor Day. Non-Resident Members have no voting privileges and are not entitled to participate in Fleet events or use the Fleet facilities. GUESTS - The Northeast Harbor Fleet welcomes the crews and house guests of its members when they are accompanied by the member and abide by Fleet regulations. House guests of members may participate in the Adult and Junior Sailing Program(s) of the Fleet for a period of up to one week, provided: 1. They are sponsored by the member; 2. There is space in the program; 3. They meet such eligibility requirements as the Fleet may from time to time have in effect for the programs, and 4. They pay the applicable activity fees. House guests desirous of continuing their association with the Fleet for more than one week shall apply for an appropriate membership. The facilities and moorings of the Fleet are restricted to use by members only, except upon invitation of the Fleet to non-members participating in Fleet sponsored events. INITIATION FEE - The Executive Committee may establish an initiation fee that shall be paid by new Family and Individual Members of the Fleet and those former members whose membership has lapsed for more than five years. Intermediate Members who have not previously been Junior Members shall pay the applicable initiation fee upon reaching their 30th birthday. An initiation fee is not required for Junior Members or family Juniors. SECTION 2. Annual dues for the six classes of membership shall be set by the Executive Committee. Dues are payable within 30 days of invoice. A member whose dues remain unpaid on July 1st is subject to having his or her name posted at the Fleet until outstanding invoices have been paid. A boat will only be scored in a Fleet race or event once the outstanding dues and/or entry fees (if any) have been paid. A race entered prior to payment shall be scored a DNS. Members whose dues are unpaid by August 31st will have their names dropped from the membership rolls, and may be reinstated as members at the discretion of the Executive Committee once their outstanding invoice(s) have been paid. SECTION 3. Any member who shall have paid all dues and charges currently owed may resign upon written notice given to the Treasurer. Upon termination of membership for any reason, a member shall forfeit to the Fleet all the benefits and privileges of membership and all rights, titles and interest in and to the Fleet of any of its property. SECTION 4. Membership shall not be transferable unless, in the case of death of a member, the Executive Committee in its discretion shall SO permit. 12 SECTION 5. A member may be expelled by majority vote of the Executive Committee or a majority vote of the entire Fleet Membership at any duly convened meeting of said Committee or members of the Fleet, for failure to comply with the articles of incorporation, by-laws, or any duly adopted policies, rules or regulations of the Fleet, provided that ten days written notice shall have been given to such member setting forth the intention to propose his or her expulsion, the specific reason thereof, and the right of the member to appear and be heard in person or by counsel at the meeting at which such expulsion shall be proposed. Article II - Meetings of Members SECTION 1. The annual meeting of the members shall be held at Northeast Harbor, Maine in the month of August or September in each year on such day and at such hour and place as the Executive Committee may determine. Special meetings of the members may be called at any time, at the direction of the Commodore or of the Executive Committee or at the written request of ten or more members. SECTION 2. Seven days written notice of each meeting of the members shall be sent to each voting member. If a meeting is adjourned, it shall not be necessary to give any notice of the adjourned meeting. SECTION 3. Each voting member, which shall include all members except Junior Members, shall be entitled to one vote at every meeting of the members. SECTION 4. The election of officers and of members of the Race Committee shall be by ballot. A majority of all the votes cast at a duly organized meeting shall be necessary in all elections. Article III - Officers SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice Commodore, a Rear Commodore, a Clerk, a Treasurer, a Chairman of the Race Committee, a Chairman of the House Committee, a Fleet Counselor, and such other officers and assistant officers as may be deemed necessary and advisable by the Executive Committee. SECTION 2. With the exception of the Chairman of the Race Committee and the Fleet Counselor, all officers shall be elected by the members of the Fleet at the annual meeting and shall hold office from the first of October following their election for a period of one year, or until their successors are elected. No person shall be eligible for election to any office at the annual meeting unless nominated in writing by five members and filed with the clerk not less than five days before the annual meeting. All such nominations shall be posted on the bulletin board of the Fleet for the five days preceding such meeting. SECTION 3. Any officers may be removed by the Executive Committee whenever, in its judgment, the best interests of the Fleet will be served thereby, and the Executive Committee shall have the power to fill any vacancies in any office, except that of Chairman of the Race Committee (who shall be appointed by the Commodore), occurring from whatever reason. SECTION 4. The duties of the Commodore, Vice Commodore, Rear Commodore, Clerk and Treasurer, shall be those usually pertaining to the offices of President, Senior Vice president, Vice President, Secretary and Treasurer, respectively. The Commodore shall be an ex-officio member of all committees. 13 Article IV - Executive Committee SECTION 1. The Executive Committee shall consist of the officers, and of three other members appointed by the Commodore. SECTION 2. The Executive Committee shall manage the affairs of the Fleet, and except as otherwise provided by law, by the Charter or by these By-Laws, shall exercise all powers of the Fleet. Specifically but without limitation, the Executive Committee shall have the power and authority to hire and appoint an Executive Secretary and Assistant Treasurer to perform those duties assigned by the Executive Committee. Article V - Race Committee SECTION 1. The Race Committee shall consist of no less than five elected members and the Commodore and Executive Secretary, if any, as members ex- officio. Except as otherwise provided in these by-laws, the ex-officio members shall be without vote. The elected members shall be nominated and elected in the same manner, and shall serve for the same term, as provided by these by- laws with respect to officers. Members of the Committee shall notify the Chairman of the Committee prior to July 1st if they are unable to be at Mount Desert Island for any part of the summer during which they have been elected to serve. The Commodore shall fill any vacancies which may occur from whatever cause, and may, at his/her discretion, at any time during the summer when there are insufficient members of the Race Committee present for the race Committee to properly perform its assigned duties, appoint additional members of the Race Committee. SECTION 2. The management of all races shall be under the direction of the Race Committee. All decisions of the Race Committee shall be by the majority vote of its members present, except that in the case of a tie, the Commodore may cast the deciding vote, except as modified by these By-laws, or by Sailing Instructions applicable to specific events, the general authority of the Race Committee is defined in the Yacht Racing Rules as adopted by the United States Sailing Association. Article VI - Nominating Committee SECTION 1. The Nominating Committee shall be formed each year to nominate candidates for office. The Committee shall consist of five members, selected in the following manner: Two members shall be the two most immediate past Commodores willing to serve, with the most immediate past Commodore as Chairman. One additional member shall be appointed by the current Commodore. Two other members shall be appointed by the three members described above. SECTION 2. It shall be the responsibility of the current Chairman of the Nominating Committee to ascertain the two past Commodores willing to serve on the following year's Committee. SECTION 3. The Committee shall nominate candidates for each office each year, except Fleet Counselor and Race Committee Chairman. SECTION 4. No candidate for office shall serve on the Nominating Com- mittee. Article VII - Fleet Insignia and Flag SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow pointing northeast. It shall be drawn as shown in the attached diagram. 14 SECTION 2. The Fleet Burgee shall consist of a red pointed flag, the hoist to be two thirds of the length, with the Fleet insignia in blue of a diameter equal to one third of the length centered equidistant from the two longer sides of the flag and one third of the distance from the hoist to the end of the flag; the space between the outer band and the central disk of the insignia to be white. SECTION 3. Members of the Fleet shall have the right to fly the Fleet Burgee. Article VIII - Fiscal Year The fiscal year of the Fleet shall end on September 30. Article IX - Amendments These By-laws may be amended by the Executive Committee or by the members at any regular or special meeting duly convened after seven days' written notice to the members of the Executive Committee or the members of the Fleet as the case may be of that purpose; provided that within sixty (60) days after the adoption of any amendment of these By-laws by the Executive Committee, written notice thereof shall be sent to each member. Income Recognition The financial statements are presented on the accrual basis. Use of Estimates The preparation of financial statements in conformity with generally accepted accounting principles requires management to make estimates and assumptions that affect certain reported amounts and disclosures. According, actual results could differ from those estimates. Fair Values of Financial Instruments The fair values of investments are based on quoted market prices for those investments. Cash and Cash Equivalents All cash is held in liquid checking, money market or savings deposits. Inventories Supplies and resale items are carried at cost, determined by the first-in, first-out method. Financial Statement Presentation The Fleet adopted the provisions of Financial Accounting Standards No. 117, Financial Statements of Not-for-Profit Organizations by restating net assets as of September 30, 1997. Statement No. 117 establishes standards for general purpose external financial statements of Not-for-Profit Organizations and requires a statement of financial position, a statement of activities, and a statement of cash flows. Plant Assets and Depreciation Plant and equipment are recorded at cost and are depreciated at rates calculated to amortize the original cost over the useful lives of the respective assets on a straight-line basis.
