The Commodore's Report
SEASON OF 2000
Your Executive Committee continued to be very active in the year 2000,
meeting on average every other month and operating through functional
committees in collaboration with the year-round staff.
Greg Wilkinson signed on as Program Manager for our summer activities,
engaging Fleet juniors in an active program of interclub racing and effectively
overseeing adult racing. The Fleet also hosted the following interclub regattas;
Optimist Maine State Championships and Mercury Nationals.
Under Greg's direction, the Fleet hired specifically qualified employees to
fill our nearly two dozen instructional and launch driver positions. The presence
of the internet and the continued ascendancy of college sailing have both
contributed to ease of recruitment.
We improved our inventory of watercraft significantly; with the joint
purchase (for benefit of the Fleet and MDI High) of twelve new 420's; the
renewal of the Opti Fleet; the purchase of a licensed launch; the receipt of a
Seaway 23' chase boat; and significant renovations to the Mercury Fleet.
As to facilities maintenance, we enlarged the Captain's Shack into a truly
functional storage building and small office, we enlarged and improved our
floats, and we undertook an engineer's review of our pier pilings and seawall.
Financially, the Fleet is in good condition, having received generous support
($150,000 over two years) from members contributing to the Shearwater Fund,
operating within budget, and building a capital reserve fund.
For such a short season, our activities are numerous, with 200 junior rowers
and sailors, 60 + races, Fleet Teas and Fleet Nights, Junior Awards and the
Annual Meeting. Many thanks to all the volunteers who made these events both
possible and successful, especially to retiring leaders Giovanna Michelson, Janice
Smith, Sallie Smith and Robert M. Brown.
It has been a pleasure and a privilege to have served as your Commodore for
the past two years, and I pass along the assignment to Commodore J.T. Roberts,
Vice-Commodore Henry G. Brauer and Rear-Commodore Harry R. Madeira, Jr.,
with gratitude to what they have already contributed to our Fleet and with
confidence in their capacity to carry us to even higher levels of efficiency in

operations and membership satisfaction.
The members have a gem here. Well cared for, it should shine brightly in
the new century.

The purpose of the corporation is:
A Yacht Club for the promotion of yachting as an amateur sport at Northeast
Harbor in the Town of Mount Desert, Maine and its vicinity.
BY-LAWS
Article I - Membership
SECTION 1.
Membership in the Northeast Harbor Fleet shall be open to
persons interested in yachting and shall be divided into five classes, namely : Family
Members, Individual Members, Intermediate Members, Honorary Members and Non-
Resident Members.
The Executive Committee, or its designees may from time to time elect eligible
persons to one of the five classes of membership. Candidates for membership must be
nominated and seconded for membership by Family, Individual or Intermediate [adult
Fleet] members in good standing. * The nominating letters should be addressed to the
Executive Committee, The Northeast Harbor Fleet, Northeast Harbor, Maine 04662. A
former member in good standing* may re-activate a lapsed membership by application
to the Fleet Secretary. *"In good standing" means that all dues, assessments and fees
for current and prior years have been paid in full.
HONORARY MEMBERS - Honorary Members shall be such persons as the
Executive Committee may from time to time elect to Honorary Membership. Honorary
Members are entitled to the full privileges of membership. There are no dues or
assessments for Honorary Members.
FAMILY MEMBERS - Any person or couple otherwise eligible for membership
may be elected to Family Membership of the Fleet. Family Membership extends the
privileges of [Junior] [M]membership without the payment of additional dues or
assessments to the children, grandchildren and great grandchildren residing at the summer
residence of a Family Member who have reached their 6th birthday but not reached their
21st birthday. Those [Junior] [M]members may become Intermediate Members or
Family Members when they reach their 21st birthday without application by notifying the
Fleet Secretary and paying the dues for the desired class of membership. Family
membership is required when more than one individual in a family unit consisting of a
head of household, his or her spouse and or their children is desirous of membership.
INDIVIDUAL MEMBERS - Any eligible person who has reached his or her
30th birthday may be elected an Individual Member of the Fleet. An Individual Member
of the Fleet may become a Family Member without application by notifying the Fleet and
paying the dues for that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has reached his or her
Amendemnts added [deleted] adopted at January 2001 meeting of the Executive Committee.

21st birthday but not yet reached his or her 30th birthday may be elected an Individual
Member of the Fleet. Current Intermediate Members may become Individual Members
or Family Members when they reach their 30th birthday, without application, by
notifying the Fleet Secretary and paying the dues for the desired class of membership.
Intermediate Members who wish to extend the privileges of membership to their spouses
and or children shall become a Family Member of the Fleet.
NON-RESIDENT MEMBERS - A person who has been a member of the Fleet
for five consecutive years or more may become a Non-Resident Member by notifying the
Fleet. Non-Resident membership is available to those who live more than 150 miles
from the Fleet and do not spend more than five days on Mount Desert Island during the
period from July first to Labor Day. Non-Resident Members have no voting privileges
and are not entitled to participate in fleet events or use the fleet facilities.
GUESTS - The Northeast Harbor Fleet welcomes the crews and house guests
of members when they are accompanied by the member and abide by Fleet regulations.
House guests may participate in the Adult and Junior Sailing Program(s) of the Fleet for
a period of up to one week, provided: 1. They are sponsored by the member; 2. There
is space in the Program; 3. They meet such eligibility requirements as the Fleet may
from time to time have in effect for the programs, and 4. They pay the applicable activity
fees. House guests desirous of continuing their association with the Fleet for more than
one week shall apply for an appropriate membership. The facilities and moorings of the
Fleet are restricted to use by members only, except upon invitation of the Fleet to non-
members participating in Fleet sponsored events.
INITIATION FEE - The Executive Committee may establish an initiation fee
that shall be paid by new Family and Individual Members of the Fleet and those former
members whose membership has lapsed for more than five years. Intermediate members
who have not previously been Junior Members shall pay the applicable initiation fee upon
reaching their 30th birthday.
SECTION 2. Annual dues for the five classes of membership shall be set by
the Executive Committee. Dues, assessments, and charges are payable within 30 days
of invoice. A member whose dues, assessments, or charges remain unpaid on July 1 is
subject to having his or her name posted at the Fleet until outstanding invoices have been
paid. A boat will only be scored in a Fleet race or event once the outstanding dues,
assessments, charges and/or entry fees (if any) have been paid. A race entered prior to
payment shall be scored a DNS. Members whose dues, assessments or charges are
unpaid by August 31 will have their names dropped from the membership rolls, and may
be reinstated as members at the discretion of the Executive Committee once their
outstanding invoice(s) have been paid.
SECTION 3. To fund capital assets the Executive Committee may also assess
the membership a sum in addition to the annual dues, but only upon notice to the
membership of the purpose and need for any such assessment. The assessments shall be
limited to the Family and Individual members and shall be in proportion to the annual
dues for those classes of members.
SECTION 4. Any member who shall have paid all dues, assessments and
charges currently owed may resign upon written notice given to the Treasurer. Upon
termination of membership for any reason, a member shall forfeit to the Fleet all the

benefits and privileges of membership and all right[s], title[s] and interest in and to the
Fleet and any of the Fleet's [its] property.
SECTION 5. Membership shall not be transferable unless, in the case of death
of a member, the Executive Committee in its discretion shall permit.
SECTION 6. A member may be [who has been] expelled by a majority vote
of the Executive Committee or a majority vote of the entire Fleet Membership at any
duly convened meeting of said Committee or members of Fleet, for failure to comply
with the articles of incorporation, by-laws, or any duly adopted policies, rules or
regulations of the Fleet, provided that ten days written notice shall have been given to
such member setting forth the intention to propose his or her expulsion, the specific
reasons thereof, and the right of the member to appear and be heard in person or by
counsel at the meeting at which such expulsion shall be proposed.
Article II - Meetings of Members
SECTION 1. The annual meeting of members shall be held at Northeast
Harbor in the month of August or September in each year on such day and at such hour
and place as the Executive Committee shall determine. Special meetings of the members
may be called at any time by the Commodore or by the Executive Committee or at the
written request of ten or more members.
SECTION 2. Seven days written notice of each meeting of the members shall
be sent to each voting member. If a meeting is adjourned, it shall not be necessary to
give any notice of the adjourned meeting.
SECTION 3. Each voting member, which shall include all members except
Non-Resident Members, shall be entitled to vote at every meeting of the members.
SECTION 4. The election of officers and of members of the Race Committee
shall be by ballot. A majority of the votes cast at a duly organized meeting shall be
necessary at all elections.
Article III - Officers
SECTION 1. the Officers of the Fleet shall be a Commodore, a Vice
Commodore, a Rear Commodore, a Clerk, a Treasurer, a
Chairman of the Race Committee, a Chairman of the House Committee, a Fleet
Counselor, and such other officers and assistant officers as may be deemed necessary and
advisable by the Executive Committee.
SECTION 2. With the exception of the Chairman of the Race Committee and
the Fleet Counselor, all officers shall be elected by the members of the Fleet at the
annual meeting and shall hold office from the first of October following the election for
a period of one year, or until their successors are elected. Except as provided in Article
VI, n[N]o person shall be eligible for election to any office at the annual meeting unless
nominated in writing by five members and filed with the Clerk not less than five days
before the annual meeting. All such nominations shall be posted on the bulletin board
of the Fleet for five days preceding such meeting.
SECTION 3. Any officer may be removed by the Executive Committee
whenever, in its judgment, the best interests of the Fleet will be served thereby, and the
Executive Committee shall have the power to fill any vacancies in any office, except that

of Chairman of the Race Committee (who shall be appointed by the Commodore),
occurring for whatever reason.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining the offices of
President, Senior Vice President, Vice President, Secretary and Treasurer, respectively.
The Commodore shall be an ex-officio member of all committees.
Article IV - Executive Committee
SECTION 1. The Executive Committee shall consist of the officers, and of
three other members appointed by the Commodore.
SECTION 2. The Executive Committee shall manage the affairs of the Fleet,
and except as otherwise provided by law, by the Charter or by these By-Laws, and shall
exercise all powers of the Fleet. Specifically, but without limitation, the Executive
Committee shall have the power and authority to hire and appoint a Fleet Manager [an
Executive Secretary] and Assistant Treasurer to perform those duties assigned by the
Executive Committee.
Article V - Race Committee
SECTION 1. The Race Committee shall consist of [no fewer than] five or more
elected members and the Commodore and Fleet Manager [an Executive Secretary] if any,
as members ex officio. The elected members shall be nominated and elected in the same
manner, and shall serve for the same term, as provided by these By-Laws with respect
to officers. Members of the Committee shall notify the Chairman of the Committee prior
to July 1st if they are unable to be at Mount Desert Island for any part of the Summer
during which they have been elected. The Commodore shall fill any vacancies which
may occur for whatever cause, and may, at his/her discretion, at any time during the
summer when there are insufficient members of the Race Committee present for the Race
Committee to perform its assigned duties, appoint additional members of the Race
Committee.
SECTION 2. The management of all races shall be under the direction of the
Race Committee. All decisions of the Race Committee shall be by a majority vote of its
members present, except that in the case of a tie, the Commodore shall cast the deciding
vote, except as modified by these By-Laws, or by Sailing Instructions applicable to
specific events or the general authority of the Race Committee as defined in the [Yacht]
Racing Rules of Sailing as adopted by U. S. Sailing [the United States Sailing
Association].
Article VI - Nominating Committee
SECTION 1. The Nominating Committee shall be formed each year to
nominate candidates for office. The Committee shall consist of five members, selected
in the following manner:
Two members shall be the most immediate past Commodores willing to serve,
with the most immediate past Commodore as Chairman. One additional member
shall be appointed by the current Commodore. Two other members shall be
appointed by the three members described above.

SECTION 2. It shall be the responsibility of the current chairman of the
Nominating Committee to determine the two past Commodores willing to serve on the
following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office each
year, except the Fleet Counselor and the Race Committee Chairman.
SECTION 4. No candidate for office shall serve on the Nominating Committee.
Article VII - Fleet Insignia and Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow
pointing northeast. It shall be shown as in the attached diagram.
SECTION 2. The Fleet burgee shall consist of a red pointed flag, the hoist to
be two thirds of the length, with the Fleet insignia in blue of a diameter equal to one
third of the length centered equidistant from the two longer sides of the flag and one third
of the distance from the hoist to the end of the flag; the space between the outer band and
the central disk of the insignia to be white.
SECTION 3. The members of the Fleet shall have the exclusive right to fly the
Fleet Burgee.
Article VIII - Fiscal Year
The fiscal year of the Fleet shall end on September 30.
Article IX - Amendments
These bylaws may be amended by the Executive Committee or by the members
at any regular or special meeting duly convened after seven days written notice to the
members of the Executive Committee or the members of the Fleet as the case may be of
that purpose; provided that within sixty days after the amendments of these By-laws by
the Executive Committee, written notice shall be sent to each member.

position of the Northeast Harbor Fleet as of September 30, 2000
and 1999, and the related statements of activities and cash flows
for the years then ended. These financial statements are the

an opinion on these financial statements based on our audits.
We conducted our audits in accordance with generally accepted
auditing standards. Those standards require that we plan and perform
the audits to obtain reasonable assurance about whether the financial
statements are free of material misstatement. An audit includes
examining, on a test basis, evidence supporting the amounts and
disclosures in the financial statements. An audit also includes
assessing the accounting principles used and significant) estimates

Note 1 - Significant Accounting Policies
Nature of Activities
The purpose of The Northeast Harbor Fleet is to provide salling instructions,
racing & cruising activities serving 358 members in Northeast Harbor, Maine.
Income Recognition
The financial statements are presented on the accrual basis.
Use of Estimates
The preparation of financial statements in conformity with generally accepted
accounting principles requires management to make estimates and
assumptions that affect certain reported amounts and disclosures.
According, actual results could differ from those estimates.
Fair Values of Financial Instruments
The fair values of investments are based on quoted market prices for those
investments.
Cash and Cash Equivalents
All cash is held in liquid checking, money market or savings deposits.
Inventories
Supplies and resale items are carried at cost, determined by the first-in,
first-out method.
Financial Statement Presentation
The Fleet adopted the provisions of Financial Accounting Standards No. 117,
Financial Statements of Not-for-Profit Organizations by restating net assets
as of September 30, 1997. Statement No. 117 establishes standards for
general purpose external financial statements of Not-for-Profit Organizations
and requires a statement of financial position, a statement of activities, and a
statement of cash flows.
Plant Assets and Depreciation
Plant and equipment are recorded at cost and are depreciated at rates
calculated to amortize the original cost over the useful lives of the respective
assets on a straight-line basis. It is the Fleet's policy to capitalize assets
with a life expectancy of 5 years or more.

Northeast Harbor Fleet owns all the outstanding stock of Clifton Dock
Corporation which engages in waterfront service activities and is taxable
as a C Corporation under federal and state income tax rules. The Fleet
furnishes to Clifton certain contract labor, receiving $8,500 for it.
Clifton's book value was reported at $132,492 at September 30, 2000.
Investment
Investments are stated at fair value and consist primarily of Mutual Funds
and Dreyfus Cash Management.

Income Taxes
The Fleet is a tax exempt entity under Section 501(c)(7) of the Internal
Revenue Code and, accordingly, is not subject to Federal income tax.
However, the Fleet is subject to Federal income tax on its unrelated
trade or business income of $1,000 or more. Interest income of $3,097
was taxable for 2000.

THE 76th GEORGE DAVENPORT HAYWARD CUP RACE
The Cup was given to the Fleet following the untimely death of its first Commodore. The race is
a handicap race with the slowest boats starting first, and the fastest class starting last; first boat
across the finish line wins. Each winner's names go on the permanent Trophy base, and also in
each Annual Report. The race has been held every year since 1925.
