REPORT OF THE COMMODORE
The past year was challenging, but given the unique circumstances I
was pleased we were able to open and provide most of the services and
programs you are accustomed to enjoying.
Our management team and staff worked very hard during the
pre-season planning phase and during the season to navigate the difficulty
of providing services while keeping our community safe. We were able
to provide a full complement of racing across all three race classes, our
launch service ran
as usual and 100%
of our moorings
were commissioned
and available to our
members. In the
abundance of caution
due to COVID 19
risks, we significantly
scaled back activities
in our junior sailing
program.
Lark and Lynnette sparring in the inaugural Double Trouble Race
I am pleased to
report that General
Manager Franny Charles and Operations Manager Melissa Walls will
return in 2021 to manage our staff and operations for their 13th and 7th
year, respectively. Gretchen Sullivan did a terrific job last summer directing
the Sailing School although she will not be returning in 2021. Gretchen,
her husband, and son have relocated to southern Maine.
Nick Steenberg was recently appointed to take over running the Sailing
School. Nick is from Blue Hill where he was captain of his high school
sailing team and is a graduate of the University of Southern Denmark.
Nick has considerable experience teaching youth sailing and racing - most
recently as the sailing director at Manhasset Bay Yacht Club.

Lynnette - pretty and fast
For 2021 we are looking for ways to become more efficient and reduce
costs. Currently, about half of our members still do business with us by
regular mail VS. email and electronic payment methods. For those of
you who are not yet enrolled in electronic billing, please consider doing
SO. It would make our operations more efficient and less costly. I would
encourage you to contact Melissa Walls at nehfleet@gmail.com to set this
up for you. Your cooperation on this would be greatly appreciated.
In closing I would like to thank all our members who supported our
Club last season. Our member renewal rate was 99% and during the
season we welcomed about 15 new members. I am optimistic for 2021.

REPORT OF THE FLEET MANAGER
What a year 2020 has been. We were fortunate to have a great team of
flag officers and committee members who contributed countless hours to
bring a successful season to fruition despite the Covid-19 pandemic. In
April we were wondering how we could do things safely and it appears all
those meetings paid off and our vision was fulfilled.
The 2020 flag officers and committee folks helped pull all the different
aspects of our plan together, along with help from the following people:
Fleet's bookkeeper Scott Redmon, who gets things posted
expeditiously for the three different corporations SO we understand the
consolidated picture at all times.
Fleet Captains Chris Hopkins, Rick Echard and Wells Bacon
Membership Chair Alix Smith who fascilitated the largest
number of new members in recent history
Race Committee members Henry Brauer, Wells Bacon, Chris
Hopkins, Rick Echard, John Henry, Sean Beaulieu, Ted Madara and Scott
Redmon who all contributed ideas about how to race safely this year.
And, we did!

The entire NEH Sailing School Board led by Ted Madara, who
took their roles seriously and set things in place not only for next
season but for many years to come by raising funds for the renewal of
tired equipment and to keep our youth excited about being mariners.

Henry Brauer, Bill Smith and Fred Ford.
Although I have the title of Manager, I am fully in awe of our NEHF
staff who make it happen. They are all personable, friendly, good natured
and bring self-initiative and healthy listening skills to their job every day.
My wife, Sue Charles was the other half of our super-safe two-person
race committe and assisted me in running almost every race during this
summer of covid. Sue also produced the Annual Report with Sydney
Roberts Rockefeller's proofing assistance. Melissa Walls provided every piece

of support for billing, moorings, SS registrations, weekly communication
with members, continuous consistency regarding our policies.
30+ year NEHF team member Roy Hadlock is always ready to assist with
moving docks, moorings, pier maintenance, race marks and this year laying
a new attic floor. Roy is a tremendous asset to the Fleet.
Our professional team of launch drivers had all returned to ferry
members to their boats and to maintain the boats which the Fleet owns
as well: Steve Lawson, Simon Hulbert, Chloe Vicenty, Wilson Hansen, and
occasionally Drew Hopkins.
This year's clean team thought creatively and kept every staff boat clean as
well as our launch, catboats and ventures. The youngest sailors were assisted
in keeping their hands clean and wearing face masks. Led by Charlie
Quimby we had a great team of Sophia Hack,
Campbell Herrington, James Lapsley, Michael
Hansen, Orion Wister and Charlie Sisson. They
compiled an excellent rigging demo for the
catboats and Ventures. They also excavated
layers of sheetrock and plywood which were
contaminated by otters living in the attic at
Clifton dock. The furry tenants are gone now
and we sure hope they don't come back.
And, let's not forget the team at Clifton
Dock led by Jane Joseph. They are like extended
family to the Fleet at Gilpatrick Cove and serve our membership well in a
consistently friendly and professional manner, thanks to Max, Ethan, Sarah
Knox and Sarah Joseph.
Gretchen Sullivan jumped in last fall to be our SS Director and got more
than she bargained for with the covid disruption and a boat acquisition to
complicate our usual group lessons. It was a pleasure to work with such a
qualified professional who underststood all the facets of teaching sailing
and guiding staff.
Looking forward to an almost-covid free summer in 2021.

REPORT OF THE GREEN TEAM
The cloudy skies of Covid-19 certainly made their impact felt in
Gilpatrick Cove in 2020. Our shoreside facilities were restricted and
our annual events were curtailed. Our docks were open, the launch was
running and we all shared the opportunity to experience anew what MDI
waters have to offer, and to reflect on just how fortunate we all are to enjoy
this very special place.
What a joy it is to look ahead to Summer 2021! We aim to emerge
from Covid restraints as much as safety will allow. We can re-focus on
our beloved Fleet, our environment and begin to re-think how we can
minimize our negative impact on both land and sea. Changing diets,
purchasing decisions which require minimal or no packaging, moderating
our consumption overall - we truly need to do everything we can to help.
With the wide acceptance of vaccinations and a general improvement in
everyone's outlook, we can again revel in the sea, sky and clean air of our
Acadia summers, SO let's all be thinking of how to minimize our respective
footprints. If we have the the will, we can change our habits. We can all
make a positive difference. Thank you in advance.

EGGEMOGGIN REACH REGATTA
The Eggemoggin Reach Regatta began humbly in 1985
with thirteen wooden boats and a dream.
Organizer Steve White along with Frank Hull of Brooklin Boatyard
first envisioned the race as an opportunity for wooden boat owners
to get to together and enjoy each others company as well as to compete.
The race quickly grew to 125 boats and is now co-hosted
by Brooklin Boatyard and Rockport Marine.

REPORT OF THE CRUISING CLASS CAPTAIN
Wow, what a year 2020 dealt us! While I think we are all glad to see
2020 in our rearview mirrors, those of us who were fortunate enough
to get to MDI last summer were all grateful for the opportunity to go
sailing. All of us who raced last year owe a tremendous Thank you! to our
Flag Officers, Race Committee and Fleet Management for all the hard
work and thoughtfulness that went into getting us on the racecourse
while keeping us safe!
The emphasis for the 2020 season was very much on family and
fun. Sailing with family became the standard and many boats sailed
short-handed as limitations on crew size required skippers to rethink the
size of their crews. Despite these limitations, the competition remained
strong throughout the season.
We were truly fortunate to be able to host many of our annual races as
scheduled although the format of many events was modified due to the
pandemic. The Great Harbor Dream and the August Cruise were among
the races that were very well attended despite the cancellation of the
traditional onshore festivities.
As we look toward the summer of 2021, we are excited for a return
to something approaching normal. While there will undoubtedly be
some restrictions in place, we are hopeful that we can host many of our
traditional events in some format. The Race Committee, the Flag Officers
and Class Captains have been working hard to put these plans in place
SO stay tuned for more information. We look forward to seeing all of you
back on the water again this year. Until then,

Pursuit Races and Corrected Time Races
AUGUST 22 & 23, 2020
The August Cruise was extremely challenging on both days of competition.
Conditions rewarded the sailors who showed patience and kept looking for
signs of where the next puff of wind might come from. Everyone was a
champ at some point during a race but mother nature kept changing the
music to make the sailors dance differently.
The Sunday morning race was pursuit style with Freight Train to Your Love,
Baby sailed by Bill and Otto Smith leading at the first turn as well as heading
into the second turn at the CG Station in SW Harbor. A massive hole formed
off Kings Point's lee shore which slowed both the Luders 16 and the IOD
Class sailboats. Dakota sailed by Pancho Cole got a puff first and stole the lead
from the Smiths in Freight Train. Back in the pack Ranger stopped to inspect
a few boulders along the Manset shoreline and then freed themselves while
Lynnette snuck by on the outside. Cybele sailed by the Burnes and Rockefeller
consortium were getting ready to pounce when they saw the boats ahead
sail into the vacuum. They jibed to sail around but actually got stuck without
wind for longer than anyone else. It was one of those days where every good
deed gets punished. Boats continued north to the entrance buoy of Somes
Sound and then had to return upwind.
The tide was starting to flood very hard as sailors chose which side of
Greening Island to pass on their route to the finish line outside SW Harbor.
Those who took the inside route sailed a much shorter distance but had to
break through the doldrums again in the opposite direction. Freight Train
and Cybele sailed to the east of the island and made huge gains back on the
leaders who spent lots of time drifting with their sails slack. Lynnette sailed
expertly by Commodore Mike Cook took the victory gun with Ken Weg's
Ranger in second and the Luders Freight Train just sneaking ahead of Tio Loco
sailed by Steve Madeira and Henry Brauer.
The afternoon race started with all the fleet lined up perfectly and Ned

Johnston in his Luders 16 Domino nailing the perfect start at the boat end
of the line. Everyone had to seek current relief along Manset's shoreline on
their way out of the Western Way. Tio Loco grabbed the lead and needed to
stretch it to win on corrected time. Cybele and Dreadnought would have none
of that. They kept picking away and performing their maneuvers flawlessly
for every sail change, tack and jibe. Lynnette was right with them and was
poised to pounce. The breeze swung 90 degrees to the west and the course
was changed into Southwest Harbor and a run to Bear Island following.
There were many tacks and turns in the effort to stay in the rapidly decreasing
wind pressure on the last leg. Tio Loco finished first but Dreadnought reeled
everyone in for the win on corrected time. Lynnette's crew led by Mike Cook
beat defending champ Ranger helmed by Ken Weg by eight seconds on
corrected time to beat them in the race and to take the overall 2020 August
Cruise Series Title as well.
Courtney Jenkins won the IOD Class title for the weekend and is looking
forward to do some dancing on the tables next year when we get back to
sailing, adventuring and partying it up, too.

MAX WARBURG MEMORIAL TROPHY
This trophy acknowledges a long life and a short life of two Warburg family
members within the 20th century, each exemplifying extraordinary courage.
Eric, born in Hamburg, Germany, grew to become an influential partner in the
family bank serving maritime industries. Yet in the face of Nazi persecution, his
focus in 1938 became the escape of family and community. The bank having been
sold, Eric joined US Army intelligence for the duration of the war. In face of
skepticism, adversity and fear of personal safety, his courage was expressed by his
immediate return to Hamburg where for the rest of his life, he successfully inspired
rejuvenation of family, community and restoration of family banking leadership.
Max, in his 11-year life, was an aspiring sailor, and often a member of the
"Cybele" crew competing on these waters. His courage was expressed in his
confrontation with his own disease while at the same time speaking out in public
inspiring potential donors to come forward for the benefit of 6,000 others also
seeking bone marrow transplants.

REPORT OF THE
INTERNATIONAL ONE DESIGN CLASS CAPTAIN
The 2020 IOD Class season began as others in the past with early
planning discussions around topics identified by members in our 2019
summer meeting. Key items included a more user-friendly schedule
that would allow for options to maintain a competitive season schedule
with flexibility to pursue family or flex time with less impact to qualifier
participation, as well as explore alternative local regatta events. This would
be achieved by modifying our discard schedule, and having open days
normally reserved for qualifier racing.
The input process on the approaching season was expanded with
initiatives by the Fleet officers and management which enabled detail
feedback and discussions involving the core racing entities, PHRF, IOD,
and Luders classes, along with fleet operations and the Sailing School.
We're thankful that our racing fleets add value to the whole community in
and around the Northeast Harbor Fleet.
Planning discussions began early in the year, and by March, had taken
on a completely different focus as the reality of the Covid-19 pandemic
became clear. Suddenly we were all facing the prospect of a cancelled
season. The Flag officers and Fleet management considered all options as
research and evaluation of large professional environments as well as small,
isolated venues were evaluated with our own fluid outline of what we could
accomplish with safety and inclusion as key priorities for services, if any,
that could be provided to Fleet members.
The IOD Class co-developed and agreed on measures for the season.
Reduced crew numbers and parameters to begin the season were adopted
along with mask protocols. Fleet property, launch, and racing safety
protocols were in effect all season. In addition, a contact tracing doc
was completed every race day and additional safety and low touch social
distancing rules were followed by all crews. Our due diligence
continued

and inclusive leadership, along with our intimate venue and remarkably
dry and warm weather, resulted in a sucessful and covid-free season that
extended through September.
Strong participation was evident with two traditional full months
completed. Sixteen different boats came to the line in July for twelve
races, and nineteen different boats for eleven races in August. Every race
saw well over ten boats starting. Participation was also strong for the 4th
of July; nine boats, and Labor Day Series; eleven boats. Franny and Sue
Charles provided excellent race management while two-handing our
modified low-touch Race Committee procedures.
Noteworthy performances were highlighted by team Mischief, skippered
by Sofie Dowling and
crewed by Alec Fisichella,
Nate Ingebritson and
Connor Ratcliff. This young
team schooled the old guard
with a strong third place
against sixteen boats in July
and third place again against
nineteen boats in August.
Our high school and college
Firefly
sailors' participation and
skills continues to grow. John Henry took honors for July and also for
August with co-skipper Tyler Steel. Steve Madeira won the Labor Day
series and took 2nd behind John for the July 4th series. Additionally,
in the inaugural participation for the fleet, Sydney Rockefeller won the
annual and Eggemoggin Reach Regatta in Brooklin, ME.
To our larger IOD World family, the Northeast Harbor Fleet IOD
Class wishes all a safe and healthy future and looks forward to seeing you
on and off the water when our special gatherings resume.

REPORT OF THE LUDERS 16 CAPTAIN
With SO many unknowns in the summer of covid, it was reassuring that
sailboat racing continued in the scenic waters of Mt Desert Island. Luders
Class participation was robust with thirteen boats in July and fourteen boats
in August. What was truly remarkable was that we had nine boats regularly
out on weekends of September after Labor Day.
All of the participants have now become members of the Northeast Harbor
Fleet and the NEH Fleet is now the sole organizing authority for the Luders
Class. Additional opportunities for all sailors include racing in all Fleet Pursuit
Races, 4th of July and Labor Day Series and the August Cruise.
We welcomed new competitors Carolyn and Chris Groobey with their
Luders Kathryn, Leif Heimbold sailing Triad and Alex Donahue skippering
Phi. It is refreshing to note that almost all Luders sailors were happy to share
the tiller or generously loaned their boat to friends or family to help get more
folks out on the water.
Jobs to be worked on by the class during the 2021 season will include
replacing the SWHF trophies, and researching the history of those trophies
going forward. We should also find new ways to continue and increase the
social aspect of our class. Members should prepare suggestions for upcoming
discussions on these issues.

NORTHEAST HARBOR FLEET SAILING SCHOOL
REPORT OF THE SAILING SCHOOL PRESIDENT
For all of us, 2020 was an extremely challenging year. Yet, we are very
optimistic for Summer 2021 as well as the future of the Sailing School and
we want to share why. Thanks to months of hard work by the flag officers,
our staff, our instructors and our board, the NEH Sailing School opened
in 2020 while many other area programs remained closed. We taught 700
lessons for over 100 members, ranging in age from 11 to 80, and had our
largest afternoon attendance in five years. We aren't out of the woods yet,
but we're ready for 2021 and expect significant momentum to carry over
from the summer of 2020.
Nicholas Steenberg is our new Sailing School Director. Nick grew up in
Blue Hill, Maine where he was captain of his high school sailing team. He
graduated from the University of Southern Denmark with an engineering
degree, and has taught youth sailing and racing for eight years, most recently
serving as the Sailing Director at Manhasset Bay Yacht Club. Nick has a
passion for youth sailing, has raced extensively in 420s, keelboats and offshore
yachts and he loves MDI.
As many of you know, this past summer we replaced our fifty year old
Mercuries with four new RS Ventures, and most of our Optimists with
twenty new RS Teras. The reception has been superb. With this fleet in place
we can now undertake:
Family Racing Nights
Adult Learn to Sail Lessons
All MDI Youth Regattas
All of the new boats were purchased from Fleet reserves accumulated over
many years. We replenished that Fleet capital through the Set Sail Campaign
that was launched in September. Members have now donated all twenty
Teras, and one of the four Ventures. We are thrilled by your generosity and
deeply thankful.

A few notes on Sailing School philosophy and spirit: For all of us on
the Board, the Sailing School represents a community we adore, spanning
multiple generations. Our goals for the NEH Sailing School are:
To provide a safe, fun and exciting environment to learn to race,
cruise and just "mess around in sailboats"
To provide an opportunity to foster friendships and spend time
with extended family
To reinforce the values of sportsmanship, teamwork and grit
To instill respect for the ocean and the environment and to

FLAG ETIQUETTE
GENERAL
Flags shall be flown properly or not at all.
Morning colors are made at 0800; evening colors at sunset.
As used herein, at anchor means not underway; may means the routine is
permissible; shall means the routine is required; starboard spreader means the
lowest, forward-most starboard spreader.
Only one flag may be displayed in the position called for by the routine. Except as
noted herein, any conflict shall be resolved by observing the following hierarchy:
1) Ensign

7) Club Burgee
8) Private Signal
ENSIGN
As used herein, "ensign" means the national ensign or the traditional circle of
thirteen stars around a fouled anchor yacht ensign if of U.S. registry. A yacht in
commission and manned shall display the ensign as follows:
1. At anchor, a yacht shall display the ensign at the stern between morning and
evening colors, except that a yacht that will be unmanned at color time shall make
evening colors before hand.

2. Underway, a yacht shall display the ensign when there is sufficient light for
identification.
a) A power yacht or a sailing yacht under power alone shall display the ensign at
the gaff or, lacking a gaff, at the stern.
b) A yacht under sail, when not racing, shall display the ensign preferably at the
gaff or upper leach of the after most sail, or at the stern. The ensign shall not be
displayed while racing.
3. The traditional yacht ensign shall not be flown in international waters.
NEHF BURGEE
The Club burgee may be displayed only when a yacht is under the
direct command of a Northeast Harbor Fleet member. The Club burgee shall be
displayed at the bow staff of single masted power yachts, at the foremost truck of
schooners and multi-masted power yachts and at the mainmast truck of other rigs.
The Club burgee shall be flown ONLY at the masthead position, never at a
spreader or other unauthorized position.
The Club burgee may be displayed at night.
DRESSING SHIP
On the appropriate occasions, a yacht may, when at anchor, or when underway in
a marine parade, weather permitting, dress ship from morning to evening colors.
Any sequence is acceptable. The proper procedure is that the halyard line of the
last flag off the bow and the stern should just touch the waterline.
PRIVATE SIGNAL
The private signal is normally displayed when the ensign is hoisted. It may be
displayed at the mainmast truck of schooners and power yachts and at the mizzen

THE NORTHEAST HARBOR FLEET
(AMENDED AND RESTATED AS OF FEBRUARY 23, 2018)
By Certificate of Organization of a Corporation under the general Law of the
State of Maine, the name of said corporation is: The Northeast Harbor Fleet
The purpose of the corporation is: A Yacht Club for the promotion of yachting
as an amateur sport at Northeast Harbor in the Town of Mount Desert, Maine
and its vicinity.
ARTICLE I - MEMBERSHIP
SECTION 1. Membership in the Northeast Harbor Fleet shall be open to
persons interested in yachting and shall be divided into seven classes, namely:
Honorary Members, Senior Members, Family Members, Individual Members,
Intermediate Members, Sustaining Members, and Resident Student Members.
The Board of Directors, or its designees, may from time to time elect eligible
persons to one of the seven classes of membership. Candidates for membership
must be nominated and seconded for membership by Family, Individual or
Intermediate members in good standing. The nominating letters should be
addressed to the Chairman of the Membership Committee, The Northeast
Harbor Fleet, P.O. Box 462, Northeast Harbor, Maine 04662. A former member
who was in good standing* at the time their membership was terminated may
apply for new membership by submitting an application to the Chairman of the
Membership Committee. *"In good standing" means that all dues, assessments
and fees had been paid in full.
HONORARY MEMBERS - Honorary Members shall be such persons as the
Board of Directors may from time to time elect to Honorary Membership.
Honorary Members are entitled to the full privileges of membership. There are
no dues or assessments for Honorary Members.
SENIOR MEMBERS - A member who has reached the age of 80, and who has
paid dues for a period of 35 years, shall not be required to pay further dues and
assessments. Annual dues and assessments for those members who reach the age
of 70 and who have been members for 25 years may be at a reduced rate as set by
the Board of Directors. Senior Members have the same privileges as Individual
Members.
FAMILY MEMBERS - Any person or couple otherwise eligible for membership
may be elected to Family Membership of the Fleet. Family Membership is

required when more than one individual in a family unit consisting of a head of
household, his or her spouse and or their children under the age of 24 desires to
enjoy the privileges of membership or to extend these privileges to Family Guests
(defined as visiting children, grandchildren, or great grandchildren of the Family
Member(s) for a period not to exceed one week each summer). Family Guests
need not be resident in the same household as the Family Member(s). In no case
will Family Guests be eligible for more than one week membership privileges
per summer. Upon reaching the age of 24, children of Family Members shall be
automatically eligible for Intermediate Membership.
INDIVIDUAL MEMBERS - Any eligible person who has reached their 30th
birthday may be elected an Individual Member of the Fleet. An Individual
Member of the Fleet may become a family Member without application by
notifying the Chairman of the Membership Committee and paying the dues for
that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has reached their
24th birthday but has not yet reached their 30th birthday as of the last day
of the current Fiscal Year may become an Intermediate Member of the Fleet.
Current Intermediate Members qualify as "member on-board" to win Fleet
Trophies, are eligible to represent the Fleet as NEHF Team Members and
may invite guests. They may become Individual Members or Family Members
when they reach their 30th birthday, without application, upon paying the
dues, assessments, and initiation fee for Individual or Family Membership. The
initiation fee shall be reduced by the amount of prior dues paid by the applicant
in this category.
SUSTAINING MEMBERS - A person who has been a member of the Fleet
for five consecutive years or more may become a Sustaining Member by
notifying the Chairman of the Membership Committee before April 30 of the
current year. Sustaining Members have no voting privileges, are not entitled to
participate in Fleet events, use the Fleet facilities or rent a Fleet mooring and are
not counted in the calculation of a quorum for Member Meetings. Sustaining
Members who wish to re-instate their full membership (either Individual or
Family) must notify the Chairman by before April 30 of the current year and
must pay the appropriate Membership Fee.
RESIDENT STUDENT MEMBERS - Available to persons who are residents
of Hancock County, who have reached their 6th birthday and are enrolled as
students in the Northeast Harbor Sailing School. Resident Student Members

are not entitled to voting privileges, and do not qualify as the "Member on
Board" in Northeast Harbor Fleet races, other than those races conducted by the
Northeast Harbor Sailing School. There shall be no initiation fee for Resident
Student Members.
GUESTS - The Northeast Harbor Fleet welcomes the crews and houseguests
of members when they are accompanied by the member and abide by Fleet
regulations. House guests may participate in the Adult and Junior Sailing
Program(s) of the Northeast Harbor Sailing School for a period of up to one
week, provided: 1. they are sponsored by the member; 2. there is space in the
Program; 3. they meet such eligibility requirements as the Fleet may from time
to time have in effect for the programs, and 4. they pay the applicable activity
fees. The facilities and moorings of the Fleet are restricted to use by members
only, except upon invitation of the Fleet to non members participating in Fleet
sponsored events.
INITIATION FEE - The Board of Directors may establish an initiation fee that
shall be paid by new Family and Individual Members of the Fleet and those
former members whose membership has lapsed for one year or more.
SECTION 2. Annual dues for the seven classes of membership shall be set
by the Board of Directors. Dues, assessments, and charges are payable within
30 days of invoice. A member whose dues, assessments, or charges remain
unpaid on July 1 is subject to having his or her name posted at the Fleet until
outstanding invoices have been paid. A boat will only be scored in a Fleet race
or event once the outstanding dues, capital assessments, charges and/or entry
fees (if any) have been paid. A race entered prior to payment shall be scored a
DNS. Members whose dues, assessments or charges are unpaid by July 31 will
have their names dropped from the membership rolls and is subject to initiation
fee(s).
SECTION 3. To fund capital assets, the Board of Directors may also assess the
membership a sum in addition to the annual dues, capital dues, but only upon
notice to the membership of the purpose and need for any such assessment. The
assessments shall be limited to the Family and Individual members and shall be
in proportion to the annual dues for those classes of members.
SECTION 4. Any member who shall have paid all dues, capital dues and
charges currently owed may resign upon written notice given to the Treasurer.
Upon termination of membership for any reason, a member shall forfeit to the
Fleet all the benefits and privileges of membership and all right, title and interest

in and to the Fleet and any of the Fleet's property.
SECTION 5. Membership shall not be transferable unless, in the case of death of
a member, the Board of Directors in its discretion shall SO permit.
SECTION 6. A member may be expelled by a majority vote of the Board
of Directors or a majority vote of the entire Fleet Membership at any duly
convened meeting of said Board or members of the Fleet, for failure to comply
with the articles of incorporation, by laws, or any duly adopted policies, rules
or regulations of the Fleet, provided that ten days written notice shall have been
given to such member setting forth the intention to propose his or her expulsion,
the specific reasons thereof, and the right of the member to appear and be heard
in person or by counsel at the meeting at which such expulsion shall be proposed.
ARTICLE II - MEETINGS OF MEMBERS
SECTION 1. The annual meeting of members shall be held at Northeast Harbor
in the month of August or September in each year on such day and at such hour
and place as the Board of Directors shall determine. Special meetings of the
members may be called at any time by the Commodore or by the Board of Direc-
tors or at the written request of ten or more members.
SECTION 2. Seven days written notice, from the date of postmark, of each
meeting of the members shall be sent to each voting member. In the case of
Special meetings, notification given by electronic mail will be considered written
notice. If a meeting is adjourned, it shall not be necessary to give any notice of
the adjourned meeting.
SECTION 3. Each voting member, which shall include all members except
Sustaining Members and Resident Student Members, shall be entitled to vote in
person or by proxy at every meeting of the members.
SECTION 4. The election of Officers and Directors shall be by ballot. A
majority of the votes cast at a duly organized meeting at which a quorum of
members is present in person or by proxy shall be necessary at all elections. Ten
percent (10%) of the members eligible to vote shall constitute a quorum for the
transaction of business at any meeting of members.

ARTICLE III - OFFICERS AND DIRECTORS
SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice
Commodore, a Rear Commodore, a Clerk, a Treasurer and such other officers
and assistant officers as may be deemed necessary and advisable by the Board of
Directors.
SECTION 2. All Officers and Directors shall be elected by the members of
the Fleet at the annual meeting and shall hold office from the first of October
following the election for a period of one year, or until their successors are
elected. Except as provided in Article VI, no perso shall be eligible for election
to any office at the annual meeting unless nominated in writing by five members
and filed with the Clerk not less than five days before the annual meeting. All
such nominations shall be posted on the bulletin board of the Fleet for five days
preceding such meeting.
SECTION 3. Any Officer or Director may be removed by the members at a
special meeting of the members called expressly for that purpose whenever, in
their judgment, the best interests of the Fleet will be served thereby, and the
members shall have the power to fill any vacancies in any office, occurring for
whatever reason. The affirmative vote of 2/3 of the members entitled to vote
shall be required for the removal of an Officer or Director.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining the offices
of President, Senior Vice President, Vice President, Secretary and Treasurer,
respectively. The Commodore shall be an ex officio member of all committees.
SECTION 5. The Board of Directors shall consist of the Officers.
SECTION 6. The Board of Directors shall manage the affairs of the Fleet, and
except as otherwise provided by the Charter or by these bylaws, shall exercise all
powers of the Fleet. Specifically, but without limitation, the Board of Directors
shall have the power and authority to hire and appoint a Fleet Manager and
Assistant Treasurer to perform those duties assigned by the Board of Directors.
A majority of the Directors shall constitute a quorum for the transaction of
business at any meeting of the Board of Directors. The act of the majority of the
Directors present at a meeting at which a quorum is present shall be the act of
the Board of Directors.

ARTICLE IV - MANAGEMENT COMMITTEE
SECTION 1. The Management Committee shall consist of the Officers and
such other members appointed by the Commodore.
SECTION 2. The Management Committee shall have such authority as may be
delegated by the Board of Directors from time to time.
ARTICLE V - RACE COMMITTEE
SECTION 1. The Race Committee shall consist of five or more appointed
members and the Commodore and the Fleet Manager, as members ex officio.
The appointed members shall serve for the same term, as provided by these
By Laws with respect to Officers. Members of the Committee shall notify
the Chairman of the Committee prior to July First if they are unable to be at
Mount Desert Island for any part of the summer during which they have been
appointed. The Race Committee Chairman shall fill any vacancies which may
occur for whatever cause, and may, at his/her discretion, at any time during the
summer when there are insufficient members of the Race Committee present for
the Race Committee to perform its assigned duties, appoint additional members
of the Race Committee.
SECTION 2. The management of all races shall be under the direction of the
Race Committee. All decisions of the Race Committee shall be by a majority
vote of its members present, except that in the case of a tie, the Commodore
shall cast the deciding vote, except as modified by these By Laws, or by Sailing
Instructions applicable to specific events or the general authority of the Race
Committee as defined in the Racing Rules of Sailing as adopted by the United
States Sailing Association.
ARTICLE VI - NOMINATING COMMITTEE
SECTION 1. The Nominating Committee shall be formed each year by the
Commodore to nominate candidates for office. The Committee shall consist of
five members, selected in the following manner: Two members shall be the most
immediate past Commodores willing to serve, with the most immediate past
Commodore as Chairman. One additional member shall be appointed by the
current Commodore. Two other members shall be appointed by the Chairman
described above.

SECTION 2. It shall be the responsibility of the current chairman of the
Nominating Committee to determine the two past Commodores willing to serve
on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office each year.
SECTION 4. No candidate for office shall serve on the Nominating Committee.
ARTICLE VII - FLEET INSIGNIA AND FLAG
SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow
pointing northeast. It shall be shown as in the published in the Annual Report.
SECTION 2. The Fleet Burgee shall consist of a red pointed flag, the hoist to be
two thirds of the length, with the Fleet insignia in blue of a diameter equal to one
third of the length centered equidistant from the two longer sides of the flag and
one third of the distance from the hoist to the end of the flag; the space between
the outer band and the central disk of the insignia to be white.
SECTION 3. The members of the Fleet shall have the exclusive right to fly the
Fleet Burgee. The Fleet Burgee shall be as shown on the front cover of the Annual
Report.
ARTICLE VIII FISCAL YEAR
The fiscal year of the Fleet shall end on December 31.
ARTICLE IX AMENDMENTS
These bylaws may be amended either by:

SECTION 1. A conflict-of-interest transaction is a transaction in which a
Director or Officer of the Fleet has a direct or indirect financial interest. For
the purposes of this section, a Director or Officer has an indirect interest in a
transaction if (a) another entity in which the Director or Officer has a material

interest or in which the Director or Officer is a general partner is a party to the
transaction; or (b) another entity of which the Director or Officer is a director,
officer or trustee is a party to the transaction.
SECTION 2. A conflict-of-interest transaction is not voidable or grounds for
imposing liability on a Director or Officer if the transaction was fair at the time
it was entered into or is approved as provided in Section 3.
SECTION 3. A transaction in which a Director or Officer has a conflict of
interest may be approved by the Directors or the members before or after
consummation of the transaction as follows:
A. The Board of Directors or a committee of the Board may authorize, approve
or ratify a transaction under this section if the material facts of the transaction
and the Director's or Officer's interest are disclosed or known to the Board or
committee of the Board. A conflict-of- interest transaction is approved if it
receives the affirmative vote of a majority of the Directors or of a committee
of the Board who have no direct or indirect interest in the transaction, but a
transaction may not be approved under this subsection by a single Director.
If a majority of the Directors who have no direct or indirect interest in the
transaction vote to approve the transaction, a quorum is present for the purpose
of taking action under this Section.
B. The members may authorize, approve or ratify a transaction under this Section
if the material facts of the transaction and the Director's or Officer's interest are
disclosed or known to the members. A conflict-of-interest transaction is approved
by the members if it receives a majority of the votes entitled to be counted under
this Section. Votes cast by or voted under the control of a Director or Officer
who has a direct or indirect interest in the transaction and votes cast by or voted
under the control of an entity described in subsection 1, paragraph A may not
be counted in a vote of members to determine whether to approve a conflict-of-
interest transaction.
