REPORT OF THE COMMODORE
2021 was a year much like the weather in Maine. It was promising at
first light then there was a hint of rain as an easterly breeze set in, soon
some fog arrived, and then the wind veered to the south and the sun came
shining through once again!
Let's focus on the sun. By the end of 2021, 28 new Family and
Individual members had joined our Fleet. Let's all seek out our new
members and welcome them when we get the opportunity this summer.
Additionally, we welcomed Kelsea Squires to the Fleet as Operations
Manager. Kelsea brings with her a wealth of sailing experience and a strong
commitment to youth sailing along with her amazing organizational skills
and "can do" attitude.
The Northeast Harbor Sailing School maintained a steady course with
a record number of junior sailors participating. We added 36 new Student
Members along the way as well. We also introduced two new on-water
courses: Women's Wednesday afternoon sailing instruction and a Boater
Safety Course. These were both well attended, and we will continue to
enhance them in 2022.
The IOD, Luders-16, and Cruising Classes enjoyed a stellar season of
weekly races with full crews. It is truly a joy to watch these beautiful boats
race in the Great Harbor and we encourage you to come out and watch
the splendor this season - if you are not already out there racing.
We continue to work on the physical plant and improve our Fleet
House, grounds, and Clifton. We have a wait list for moorings which we
are trying to address. The Fleet has asked the Harbormaster for permission
to drop additional moorings at Gilpatrick Cove to alleviate our deep
waiting lists. We hear our memberships requests and are trying to find a
reasonable solution to this situation SO we can get more people out on the
beautiful waters of the Great Harbor.
Summer 2022 marks our Fleet's 99th birthday! We are already busy
making plans for our 100th celebration in 2023, SO keep an eye out for
a survey to ask you for your thoughts on how best to celebrate the Fleet

Centennial. We would also like to ask you, our membership, to reflect on
our past 99 years and to share your stories, photographs, and memorabilia
SO we may showcase them in our celebration. Please reach out. We want to
hear from all of you.
The Event, Race and Sailing School calendars are live on our website.
We have added numerous social get-together events immediately
following racing; no longer will we wait for the end of summer for trophy
presentations, but instead will present awards immediately after a race or
regatta along with a gathering. One-and-all are encouraged to come down
to the Fleet House and join us as we cheer our racers on their successes
and listen to salty sailor stories that are sure to be told. This will also allow
us to show off our gorgeous old silver on display. Please consider this your
open invitation!
The legendary August Cruise is returning this summer after two
years of Covid postponements. This year we will be weaving it into the
spectacular Eggemoggin Reach Regatta in early August. Our Cruising
Class and IODs will race over to Brooklin on Friday, August 5th and race
back on Sunday the 7th. On Saturday, the IODs and many of our cruising
class boats will compete against over 100 classic wooden boats. There
are lots of opportunities for you to participate or to join the hundreds of
spectator boats observing this magnificent event. This is a rare opportunity
to see the grandeur of the past and delight in the beauty of the Maine
Coast once again as a Fleet.
In September, The Fleet will host the IOD North American
Championship. Steve Madeira will be chairing the event and 15 IOD
owners will graciously share their boats with visiting teams from around
the country. We look forward to extending our normal racing season for
this high caliber regatta. We would also greatly appreciate membership
help as well.
Youth sailing at the Fleet, the heart of our future, is expecting a strong,
post-covid enrollment this season. With seven Venture sailboats and
one 14' catboat to supplement the twenty Teras-all donated by our
membership-we expect to have a very busy and fun summer on the
water. Many of our seasoned staff are returning under the enthusiastic
leadership of Nick Steenberg as our Director. Again, a big Thank You! to

our membership for making this all possible.
At our annual meeting last September, we welcomed Peter Ill as Rear
Commodore and Lee Fox as Clerk. We would like to thank outgoing
Commodore Mike Cook and outgoing Clerk Gordon Beck for their
dedication and many contributions to our Fleet.
Finally, thank you for the team of Fran and Sue Charles. Fran keeps a
steady hand on the helm of our beloved Fleet. Fran has been our General
Manager for 13 years. He helps guide our staff and boards with knowledge
and calm reserve and runs all our races with skill and humor. Sue
memorializes our sailing exploits with amazing photography and videos.
Her pictures enrich our annual report. Their combined effort is what
makes this annual report SO special. Thank you both.

REPORT OF THE FLEET MANAGER
Despite covid's tentacles reaching into the Fleet's membership, the
summer boating season went on with precautions in place. We welcomed
Kelsea Squires as our Operation's Manager replacing Melissa Walls who
wanted to devote more time to her own business responsibilities on
MDI. Kelsea was unwavering in her ability to understand how our many
operations were functioning and had a knack for being super organized
and made sure that all events were conducted safely and were enjoyable
for all attending.
Steve Lawson led our launch drivers in not only getting all of our
vessels up and running but, kept everything functioning perfectly. Ben
Hulbert, Jack
Karst and Wilson
Hansen kept our
licensed launch
operational and
assisted countless
of our boaters in
solving mechanical
and electrical
issues on their
personal boats.
Ryan Donahue
at Ocean House overhauled the Shearwater and turned the boat into a
well-functioning & a good looking Race Committee signal boat which we
can all be proud of.
Our Sailing School returned to group lessons this summer and we
were fortunate to have new leadership by Nick Steenberg. Nick had a
hard-working and super effective cadre of senior instructors who were
backed up by apprentice junior instructors who seemed to love sharing
their skills and turning the younger sailors on to a lifelong respect for
the sea and the waterfront. New and modern Tera and Venture sailboats
made sailing classes novel and adventurous for many of the younger sailors

who were just dipping their toe in the water. A couple of our incredibly
generous members started a very significant initiative to offer sailing
lessons to the local youth in town for almost no cost.
Sue Charles was out on the water with me almost every day as we
organized sailboat racing. Not only did Sue publish some spectacular
photos but she is very capable at knowing all of the nuances of keeping
races fun, challenging and never repetitious. This past summer was the
thirteenth year which Sue put together the Annual Report for us to be able
reflect on all the happenings during the 98th year of the Fleet.
Your officers of the Fleet were very aware of the potential impact
which the pandemic might have had on our financial condition but put
guardrails in place to ensure that the ship sailed on. Many of the challenges
between the Fleet and the Sailing School governance were ironed out and
put to rest with a long-term agreement approved by both entities.
The success of 2021 will allow us to have even more fun in 2022 and we
look forward to helping all of our members enjoy being out on some the
most beautiful waters in the world. Aren't we lucky?

REPORT OF THE GREEN TEAM
For our 2021 season, the Fleet was awarded Gold Level Clean Regattas
Certification by Sailors for the Sea for the 5th year in a row. What
started as an effort to make the 2017 IOD World Championship a clean
regatta has become the paradigm for every season at the Fleet. With the
encouragement of the flag officers and support from class captains, staff
and membership, our early sustainability initiatives have taken hold,
endured Covid, and continue to evolve.
We look ahead to 2022, reinvigorated and ready to build upon the
successes of the past years.
Our Sailing School students are the future, and we're integrating
active environmental awareness into the summer sessions, with engaged
instructors and fun activities at all levels this year. Parents take note:
your children are learning not only to row and sail and compete but to
enthusiastically protect those very waters that provide us all SO much
enjoyment.
For 2022, we are re-emphasizing Pack it in/Pack it out and request that
all members and guests take your trash and recyclables home with you
to dispose of properly. The town of MDI has rejuvenated recycling for
households-now with comingled plastic, glass, metal and paper-to
make it easier to minimize the negative environmental impact of landfill.
Your Green Team continues to explore a variety of additional best
practices, including how to significantly reduce powerboat emissions
by backing off the throttle. As always, we welcome participation and
suggestions from Fleet members.
The sustainability section of the Fleet website has been updated, and
we hope you will find it to be a valuable resource for ways to reduce your
carbon footprint - and help keep the Fleet green!

REPORT OF THE CRUISING CLASS CAPTAIN
There's an old saying that "the only constant in life is change." While
you might argue that the fact that this statement still rings true after 98
years proves the statement itself to be incorrect, the past two years have
proven otherwise. While the 2021 sailing season was a lot more normal
than 2020, there was still enough change to keep us all on our toes!
Summer sailing in 2021 was soggy, with many of the races held in
gloomy conditions. Yet we were grateful for the return of many of our
traditional events: The Henry Reath Trophy, The Hospice Regatta and The
MDI Series. All saw strong turnouts and competitive racing. We also saw
the strong return of a new race introduced in 2020, the Double Trouble
double handed race which proved very popular.
Unfortunately, the untimely increase in Covid infection rates last
summer resulted in the cancellation of our August Cruise to Bar Harbor.
A quick pivot from our planned onshore activities to a two day racing
format gave us a solid turnout and some exciting long distance sailing
over two days in two classes. For the 2022 season, we're taking a new
approach to the August Cruise, combining it with the IOD fleets'
participation in the Eggemoggin Reach Regatta. We hope that you will
join us for this spectacular regatta. Stay tuned for details!
While the 2021 season was less stressful than 2020, we continue to
owe a great deal of gratitude to our flag officers, race committee members
and Fleet management for their efforts to keep us sailing through all
the changes. Through their hard work and dedication, we were able to
have a full slate of racing and social activity while managing the evolving
conditions. Looking forward to seeing you on the water,

AUGUST CRUISE
Pursuit Races and Corrected Time Races
AUGUST 21 & 22, 2021
The action was blustery and fun for all who ventured out on the Great
Hahbah of MDI. Our first race was a pursuit style and we had a very tight
finish in the Cruiser Division. Sidewinder won the first race with Tom Rolfes
on the helm followed by Eagle with Courtney and Charlotta Jenkins just
nosing out the Horneffer Family in Beckon by inches. In the MDI Racer
Division it took one full lap around the Harbor for the mighty Cybele sailed
by David Rockefeller to finally reel in Ranger helmed by Ken Weg but they
did it and stretched to a solid victory.
Our second race had the breeze piping up even more than the first race.
The racers had an interesting scoring dilemma going into this final race. All
three contestants were exactly tied on points for the entire summer long
series. The MDI Series is a six race affair with one discard allowed. How the
racers did in this last race would decide the entire summer's season as well
as the August Cruise. With the spray flying it was a great test for the crew
and expert seamanship in the challenging conditions. The delta among the
boats was less than 4 minutes on corrected time. Ranger won the race and the
MDI Series. Lynnette was second in the race and second in the MDI Series.
Cybele finishing third won the August Cruise Race Division in a tie-breaker
over Ranger.
Eagle won the Cruising Division of the 2021 August Cruise. They had a
decisive five point margin after three races were summarized.

MAX WARBURG MEMORIAL TROPHY
This trophy acknowledges a long life and a short life of two Warburg family members
within the 20th century, each exemplifying extraordinary courage.
Eric, born in Hamburg, Germany, grew to become an influential partner in the family
bank serving maritime industries. Yet in the face of Nazi persecution, his focus in 1938
became the escape of family and community. The bank having been sold, Eric joined
us Army intelligence for the duration of the war. In face of skepticism, adversity and
fear of personal safety, his courage was expressed by his immediate return to Hamburg
where for the rest of his life, he successfully inspired rejuvenation of family, community
and restoration of family banking leadership.
Max, in his II-year life, was an aspiring sailor, and often a member of the "Cybele"
crew competing on these waters. His courage was expressed in his confrontation with
his own disease while at the same time speaking out in public inspiring potential donors
to come forward for the benefit of 6,000 others also seeking bone marrow transplants.

REPORT OF THE
INTERNATIONAL ONE DESIGN CAPTAIN
The 2021 IOD Class season began as other years with early planning
around topics identified by members in our 2020 late summer meeting.
Discussions began early in the year, but by March had taken on a
completely different focus - Covid. We were facing a season that might
not have been. The
Flag officers and Fleet
management considered
all options as our research
of large and small venues
was evaluated in the
context of our own
fluid outline of what we
hoped to accomplish.
Safety and inclusion
were our key priorities
for providing services to
Fleet members.
The IOD Class
co-developed and agreed
on measures for the
season. Safety protocols
for the Fleet property,
PUFF
launch service, and
racing program were in
Nicholas Schoeder, Prof. Sean Smith, Jaci Daudt and Scott Homer
effect all season. The result
of our pivot, due diligence, inclusive leadership, intimate venue and good
weather, was a fortunate season that extended through September without
any Covid outbreaks.
Strong participation was evident with two traditional full months
completed in July and August. Seventeen boats came to the line for twelve
races in July and eighteen boats came for twelve more in August. Every
race saw well over ten boats starting. Franny and Sue Charles provided
excellent race management while double-handing 2021's modified low
touch on-water Race Committee procedures. This year also brought a
new-to-the-fleet boat on the line, IOD 32 Rocinante, which has been
beautifully restored thanks to owners Phil Kennedy and John Evans.

Dowling leading the
team of Alec Fisichella,
Connor Ratcliffe and Nate Ingebritson to victory in the July series and
to fourth in the August series, and seriously schooling the old guard in
the process. In addition, our high school and college sailors' performance
levels continue to grow as they compete on various sailing teams.
Here's to hopefully getting back to normal in 2022. The Northeast
Harbor Fleet IOD Class wishes everyone a safe and healthy future and
I look forward to seeing you on and off the water when our special
gatherings resume.

The Eagle Challenge Trophy was designed and commissioned
by Courtenay Jenkins in memory of Sandro Vitelli. This new trophy is

REPORT OF THE LUDERS 16 CLASS CAPTAIN
The 2021 Racing season for the Luders Class again brought out a solid racing
cadre of 16 boats. While there was a little less consistency in participation,
the July and August series each saw a total of 13 boats, with seven boats out
in June, and eight boats
in September. Seven
stalwart sailors came
out on October 14 for
the Indigenous People's
Regatta.
The 2022 season is
looking to rebound
toward pre-Covid -
numbers and the Fleet
is offering another full
schedule with 14 weeks
of Luders races, including
Wells & Mary
series races, single-handed racing, and pursuit racing.
We thank the Southwest Harbor Fleet for continuing to present the trophies
they awarded for years for the July and August series. This keeps alive a long
history of Luders participation in the Great Harbor.
We will be working in the 2022 season to make social gatherings around
racing work for both sides of the harbor.

Northeast Harbor Fleet Sailing School
REPORT OF THE SAILING SCHOOL DIRECTOR
The 2021 summer was a fantastic comeback season for sailing education
at the Fleet. With a total of 248 students of all ages and skill levels enrolled
in classes, from Rowing to Race Team, the Great Harbor was teaming with
activity. With the addition of an afternoon Learn-to-Sail class, our new fleet
of four RS Venture keelboats were off their moorings and out sailing all day
long. Our fleet of twenty RS Teras proved to be resilient and an absolute
blast to sail, with small rig sizes for our beginner skippers to the larger pro
rigs for our older Intermediate and Race Team sailors. With another three
RS Ventures added to the fleet
for 2022, even more sailors
will be able to enjoy these fun
modern boats.
One of the most notable
highlights of the summer was
the annual Barton Eddison
"Greatest Race on Earth"
where over fifty youth sailors
and instructors from MDI
Community Sailing and Northeast Harbor Sailing School boarded eleven
borrowed IODs. PRO Fran Charles set a perfect large port triangle course
using government and race marks in the center of Great Harbor, where lots
of competitive racing fun shortly ensued. It was an outstanding event for
youth sailing.
In 2021 we introduced our Women's Sailing program, where we had
thirteen students over seven sessions throughout the summer. Our RS
Ventures proved to be an excellent learning platform for the program. We
also introduced our Powerboating class this season, where students of all
ages learned how to operate small powerboats safely and with confidence.
The success of the season would not have been possible without the
dedicated team of twenty-two Sailing and Rowing Instructors, who gave their

all every day to ensure their students were safe, learning, making new friends,
and having tons of fun on the water. Head Instructors Sophia Hack, Elizabeth
Leo, Terra Ehrhart, Ryder Henry, and Allison Gingerich were instrumental in
leading their respective classes and inspiring fellow instructors. Special thanks
to Steve Lawson for his tireless efforts in ensuring all our coach boats and sailing
vessels were up and running, and for serving as grill master whenever needed;
to Kelsea Squires for keeping us coordinated and organized, and to Franny
Charles for his dedicated leadership and inspiration throughout the season.

FLAG ETIQUETTE
GENERAL
Flags shall be flown properly or not at all.
Morning colors are made at 0800; evening colors at sunset.
As used herein, at anchor means not underway; may means the routine is
permissible; shall means the routine is required; starboard spreader means the
lowest, forward-most starboard spreader.
Only one flag may be displayed in the position called for by the routine. Except as
noted herein, any conflict shall be resolved by observing the following hierarchy:

ENSIGN
As used herein, "ensign" means the national ensign or the traditional circle of
thirteen stars around a fouled anchor yacht ensign if of U.S. registry. A yacht in
commission and manned shall display the ensign as follows:
1. At anchor, a yacht shall display the ensign at the stern between morning and
evening colors, except that a yacht that will be unmanned at color time shall make
evening colors before hand.

2. Underway, a yacht shall display the ensign when there is sufficient light for
identification.
a) A power yacht or a sailing yacht under power alone shall display the ensign at
the gaff or, lacking a gaff, at the stern.
b) A yacht under sail, when not racing, shall display the ensign preferably at the
gaff or upper leach of the after most sail, or at the stern. The ensign shall not be
displayed while racing.
3. The traditional yacht ensign shall not be flown in international waters.
NEHF BURGEE
The Club burgee may be displayed only when a yacht is under the
direct command of a Northeast Harbor Fleet member. The Club burgee shall be
displayed at the bow staff of single masted power yachts, at the foremost truck of
schooners and multi-masted power yachts and at the mainmast truck of other rigs.
The Club burgee shall be flown ONLY at the masthead position, never at a
spreader or other unauthorized position.
The Club burgee may be displayed at night.
DRESSING SHIP
On the appropriate occasions, a yacht may, when at anchor, or when underway in
a marine parade, weather permitting, dress ship from morning to evening colors.
Any sequence is acceptable. The proper procedure is that the halyard line of the
last flag off the bow and the stern should just touch the waterline.
PRIVATE SIGNAL
The private signal is normally displayed when the ensign is hoisted. It may be
displayed at the mainmast truck of schooners and power yachts and at the mizzen
truck of yawls and ketches.
Cutters and sloops may display the private signal at the truck in lieu of the burgee
except while at anchor. At anchor, they may display the private signal at the jack
staff.
The private signal may be displayed at night.

BY-LAWS of
THE NORTHEAST HARBOR FLEET
(AMENDED AND RESTATED AS OF FEBRUARY 23, 2018)
By Certificate of Organization of a Corporation under the general Law of the
State of Maine, the name of said corporation is: The Northeast Harbor Fleet
The purpose of the corporation is: A Yacht Club for the promotion of yachting
as an amateur sport at Northeast Harbor in the Town of Mount Desert, Maine
and its vicinity.
Article I - Membership
SECTION 1. Membership in the Northeast Harbor Fleet shall be open to
persons interested in yachting and shall be divided into seven classes, namely:
Honorary Members, Senior Members, Family Members, Individual Members,
Intermediate Members, Sustaining Members, and Resident Student Members.
The Board of Directors, or its designees, may from time to time elect eligible
persons to one of the seven classes of membership. Candidates for membership
must be nominated and seconded for membership by Family, Individual or
Intermediate members in good standing. The nominating letters should be
addressed to the Chairman of the Membership Committee, The Northeast
Harbor Fleet, P.O. Box 462, Northeast Harbor, Maine 04662. A former member
who was in good standing* at the time their membership was terminated may
apply for new membership by submitting an application to the Chairman of the
Membership Committee. *"In good standing" means that all dues, assessments
and fees had been paid in full.
HONORARY MEMBERS - Honorary Members shall be such persons as the
Board of Directors may from time to time elect to Honorary Membership.
Honorary Members are entitled to the full privileges of membership. There are
no dues or assessments for Honorary Members.
SENIOR MEMBERS - A member who has reached the age of 80, and who has
paid dues for a period of 35 years, shall not be required to pay further dues and
assessments. Annual dues and assessments for those members who reach the age
of 70 and who have been members for 25 years may be at a reduced rate as set by
the Board of Directors. Senior Members have the same privileges as Individual
Members.
FAMILY MEMBERS - Any person or couple otherwise eligible for membership
may be elected to Family Membership of the Fleet. Family Membership is

required when more than one individual in a family unit consisting of a head of
household, his or her spouse and or their children under the age of 24 desires to
enjoy the privileges of membership or to extend these privileges to Family Guests
(defined as visiting children, grandchildren, or great grandchildren of the Family
Member(s) for a period not to exceed one week each summer). Family Guests
need not be resident in the same household as the Family Member(s). In no case
will Family Guests be eligible for more than one week membership privileges
per summer. Upon reaching the age of 24, children of Family Members shall be
automatically eligible for Intermediate Membership.
INDIVIDUAL MEMBERS - Any eligible person who has reached their 30th
birthday may be elected an Individual Member of the Fleet. An Individual
Member of the Fleet may become a family Member without application by
notifying the Chairman of the Membership Committee and paying the dues for
that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has reached their
24th birthday but has not yet reached their 30th birthday as of the last day

Current Intermediate Members qualify as "member on-board" to win Fleet
Trophies, are eligible to represent the Fleet as NEHF Team Members and
may invite guests. They may become Individual Members or Family Members
when they reach their 30th birthday, without application, upon paying the
dues, assessments, and initiation fee for Individual or Family Membership. The
initiation fee shall be reduced by the amount of prior dues paid by the applicant
in this category.
SUSTAINING MEMBERS - A person who has been a member of the Fleet
for five consecutive years or more may become a Sustaining Member by
notifying the Chairman of the Membership Committee before April 30 of the
current year. Sustaining Members have no voting privileges, are not entitled to
participate in Fleet events, use the Fleet facilities or rent a Fleet mooring and are
not counted in the calculation of a quorum for Member Meetings. Sustaining
Members who wish to re-instate their full membership (either Individual or
Family) must notify the Chairman by before April 30 of the current year and
must pay the appropriate Membership Fee.
RESIDENT STUDENT MEMBERS - Available to persons who are residents
of Hancock County, who have reached their 6th birthday and are enrolled as
students in the Northeast Harbor Sailing School. Resident Student Members

are not entitled to voting privileges, and do not qualify as the "Member on
Board" in Northeast Harbor Fleet races, other than those races conducted by the
Northeast Harbor Sailing School. There shall be no initiation fee for Resident
Student Members.
GUESTS - The Northeast Harbor Fleet welcomes the crews and houseguests
of members when they are accompanied by the member and abide by Fleet
regulations. House guests may participate in the Adult and Junior Sailing
Program(s) of the Northeast Harbor Sailing School for a period of up to one
week, provided: 1. they are sponsored by the member; 2. there is space in the
Program; 3. they meet such eligibility requirements as the Fleet may from time
to time have in effect for the programs, and 4. they pay the applicable activity
fees. The facilities and moorings of the Fleet are restricted to use by members
only, except upon invitation of the Fleet to non members participating in Fleet
sponsored events.
INITIATION FEE - The Board of Directors may establish an initiation fee that
shall be paid by new Family and Individual Members of the Fleet and those
former members whose membership has lapsed for one year or more.
SECTION 2. Annual dues for the seven classes of membership shall be set
by the Board of Directors. Dues, assessments, and charges are payable within
30 days of invoice. A member whose dues, assessments, or charges remain
unpaid on July 1 is subject to having his or her name posted at the Fleet until
outstanding invoices have been paid. A boat will only be scored in a Fleet race
or event once the outstanding dues, capital assessments, charges and/or entry
fees (if any) have been paid. A race entered prior to payment shall be scored a
DNS. Members whose dues, assessments or charges are unpaid by July 31 will
have their names dropped from the membership rolls and is subject to initiation
fee(s).
SECTION 3. To fund capital assets, the Board of Directors may also assess the
membership a sum in addition to the annual dues, capital dues, but only upon
notice to the membership of the purpose and need for any such assessment. The
assessments shall be limited to the Family and Individual members and shall be
in proportion to the annual dues for those classes of members.
SECTION 4. Any member who shall have paid all dues, capital dues and
charges currently owed may resign upon written notice given to the Treasurer.
Upon termination of membership for any reason, a member shall forfeit to the
Fleet all the benefits and privileges of membership and all right, title and interest

in and to the Fleet and any of the Fleet's property.
SECTION 5. Membership shall not be transferable unless, in the case of death of
a member, the Board of Directors in its discretion shall SO permit.
SECTION 6. A member may be expelled by a majority vote of the Board
of Directors or a majority vote of the entire Fleet Membership at any duly
convened meeting of said Board or members of the Fleet, for failure to comply
with the articles of incorporation, by laws, or any duly adopted policies, rules
or regulations of the Fleet, provided that ten days written notice shall have been
given to such member setting forth the intention to propose his or her expulsion,
the specific reasons thereof, and the right of the member to appear and be heard
in person or by counsel at the meeting at which such expulsion shall be proposed.
Article II - Meetings of Members
SECTION 1. The annual meeting of members shall be held at Northeast Harbor
in the month of August or September in each year on such day and at such hour
and place as the Board of Directors shall determine. Special meetings of the
members may be called at any time by the Commodore or by the Board of Direc-
tors or at the written request of ten or more members.
SECTION 2. Seven days written notice, from the date of postmark, of each
meeting of the members shall be sent to each voting member. In the case of
Special meetings, notification given by electronic mail will be considered written
notice. If a meeting is adjourned, it shall not be necessary to give any notice of
the adjourned meeting.
SECTION 3. Each voting member, which shall include all members except
Sustaining Members and Resident Student Members, shall be entitled to vote in
person or by proxy at every meeting of the members.
SECTION 4. The election of Officers and Directors shall be by ballot. A
majority of the votes cast at a duly organized meeting at which a quorum of
members is present in person or by proxy shall be necessary at all elections. Ten
percent (10%) of the members eligible to vote shall constitute a quorum for the
transaction of business at any meeting of members.

Article III - Officers and Directors
SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice
Commodore, a Rear Commodore, a Clerk, a Treasurer and such other officers
and assistant officers as may be deemed necessary and advisable by the Board of
Directors.
SECTION 2. All Officers and Directors shall be elected by the members of
the Fleet at the annual meeting and shall hold office from the first of October
following the election for a period of one year, or until their successors are
elected. Except as provided in Article VI, no perso shall be eligible for election
to any office at the annual meeting unless nominated in writing by five members
and filed with the Clerk not less than five days before the annual meeting. All
such nominations shall be posted on the bulletin board of the Fleet for five days
preceding such meeting.
SECTION 3. Any Officer or Director may be removed by the members at a
special meeting of the members called expressly for that purpose whenever, in
their judgment, the best interests of the Fleet will be served thereby, and the
members shall have the power to fill any vacancies in any office, occurring for
whatever reason. The affirmative vote of 2/3 of the members entitled to vote
shall be required for the removal of an Officer or Director.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining the offices
of President, Senior Vice President, Vice President, Secretary and Treasurer,
respectively. The Commodore shall be an ex officio member of all committees.
SECTION 5. The Board of Directors shall consist of the Officers.
SECTION 6. The Board of Directors shall manage the affairs of the Fleet, and
except as otherwise provided by the Charter or by these bylaws, shall exercise all
powers of the Fleet. Specifically, but without limitation, the Board of Directors
shall have the power and authority to hire and appoint a Fleet Manager and
Assistant Treasurer to perform those duties assigned by the Board of Directors.
A majority of the Directors shall constitute a quorum for the transaction of
business at any meeting of the Board of Directors. The act of the majority of the
Directors present at a meeting at which a quorum is present shall be the act of
the Board of Directors.

Article IV - Management Committee
SECTION 1. The Management Committee shall consist of the Officers and
such other members appointed by the Commodore.
SECTION 2. The Management Committee shall have such authority as may be
delegated by the Board of Directors from time to time.
Article V - Race Committee
SECTION 1. The Race Committee shall consist of five or more appointed
members and the Commodore and the Fleet Manager, as members ex officio.
The appointed members shall serve for the same term, as provided by these
By Laws with respect to Officers. Members of the Committee shall notify
the Chairman of the Committee prior to July First if they are unable to be at
Mount Desert Island for any part of the summer during which they have been
appointed. The Race Committee Chairman shall fill any vacancies which may
occur for whatever cause, and may, at his/her discretion, at any time during the
summer when there are insufficient members of the Race Committee present for
the Race Committee to perform its assigned duties, appoint additional members
of the Race Committee.
SECTION 2. The management of all races shall be under the direction of the
Race Committee. All decisions of the Race Committee shall be by a majority
vote of its members present, except that in the case of a tie, the Commodore
shall cast the deciding vote, except as modified by these By Laws, or by Sailing
Instructions applicable to specific events or the general authority of the Race
Committee as defined in the Racing Rules of Sailing as adopted by the United
States Sailing Association.
Article VI - Nominating Committee
SECTION 1. The Nominating Committee shall be formed each year by the
Commodore to nominate candidates for office. The Committee shall consist of
five members, selected in the following manner: Two members shall be the most
immediate past Commodores willing to serve, with the most immediate past
Commodore as Chairman. One additional member shall be appointed by the
current Commodore. Two other members shall be appointed by the Chairman
described above.

SECTION 2. It shall be the responsibility of the current chairman of the
Nominating Committee to determine the two past Commodores willing to serve
on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office each year.
SECTION 4. No candidate for office shall serve on the Nominating Committee.
Article VII - Fleet Insignia and Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow
pointing northeast. It shall be shown as in the published in the Annual Report.
SECTION 2. The Fleet Burgee shall consist of a red pointed flag, the hoist to be
two thirds of the length, with the Fleet insignia in blue of a diameter equal to one
third of the length centered equidistant from the two longer sides of the flag and
one third of the distance from the hoist to the end of the flag; the space between
the outer band and the central disk of the insignia to be white.
SECTION 3. The members of the Fleet shall have the exclusive right to fly the
Fleet Burgee. The Fleet Burgee shall be as shown on the front cover of the Annual
Report.
Article VIII Fiscal Year
The fiscal year of the Fleet shall end on December 31.
Article IX Amendments
These bylaws may be amended either by:

transaction if (a) another entity in which the Director or Officer has a material

interest or in which the Director or Officer is a general partner is a party to the
transaction; or (b) another entity of which the Director or Officer is a director,
officer or trustee is a party to the transaction.
SECTION 2. A conflict-of-interest transaction is not voidable or grounds for
imposing liability on a Director or Officer if the transaction was fair at the time
it was entered into or is approved as provided in Section 3.
SECTION 3. A transaction in which a Director or Officer has a conflict of
interest may be approved by the Directors or the members before or after
consummation of the transaction as follows:
A. The Board of Directors or a committee of the Board may authorize, approve
or ratify a transaction under this section if the material facts of the transaction
and the Director's or Officer's interest are disclosed or known to the Board or
committee of the Board. A conflict-of- interest transaction is approved if it
receives the affirmative vote of a majority of the Directors or of a committee
of the Board who have no direct or indirect interest in the transaction, but a
transaction may not be approved under this subsection by a single Director.
If a majority of the Directors who have no direct or indirect interest in the
transaction vote to approve the transaction, a quorum is present for the purpose
of taking action under this Section.
B. The members may authorize, approve or ratify a transaction under this Section
if the material facts of the transaction and the Director's or Officer's interest are
disclosed or known to the members. A conflict-of-interest transaction is approved
by the members if it receives a majority of the votes entitled to be counted under
this Section. Votes cast by or voted under the control of a Director or Officer
who has a direct or indirect interest in the transaction and votes cast by or voted
under the control of an entity described in subsection 1, paragraph A may not
be counted in a vote of members to determine whether to approve a conflict-of-
interest transaction.
A majority of the voting power, whether or not present, that is entitled to be

eastern seaboard in his Swan 38, Gaylark: the
Bermuda Race, Annapolis to Newport, and
Marblehead to Halifax. Anyone involved in
the high levels of ocean racing at the time
knew and respected Dr. Smith and his crew.
Although designed by the world-renowned
marine architect, Sparkman & Stephens,
the Swan 38 keel was not deep enough.
Dr. Smith built a new mold for a longer
keel in his basement, had the molten
lead from the old keel poured into it at a
foundry owned by a patient's husband, and
refastened the new keel to the hull. That year
(1983), he went on to win the Annapolis-
