The purposes of said corporation are:
A Yacht Club for the promotion of yachting as an ama-
tour sport at Northeast Harbor in the Town of Mount
Desert, Maine and its vicinity.

BY-LAWS
OF
THE NORTHEAST HARBOR FLEET
ARTICLE I
MEMBERSHIP
Section 1. Membership in The Northeast Harbor Fleet
shall be open to persons interested in yachting and shall be
divided into five classes: namely, Family Members, Regular
Members, Junior Members, Honorary Members and Non-
resident members. The Executive Committee shall from
time to time elect eligible persons to these categories.
Family Membership: Any person or couple eligible for
membership in the Fleet and desirous of providing the
privileges of membership for all members of their family
or friends who are living with them in their home may
become Family Members. All persons living in the home of
a Family Member are entitled to all the privileges of the
Fleet so long as they are staying with the Family Member.
Children or grandchildren of Family Members who have
reached their 6th birthday and have not passed their 18th
birthday and are living in the home of the Family Member,
may have their names listed in the Annual Report of the
Fleet as Junior Members and are eligible for the Sailing
Class. Children or grandchildren of Family Members who
are over 18 years old and who are living with Family Mem-
bers, may, in addition to enjoying all the privileges of the
Fleet, have their names listed as Regular Members and
receive Fleet notices upon payment of a $5.00 supplementary
charge plus tax.* ($1.00). Children or grandchildren of a
Family Member who are registered with the Fleet as either
Junior Members or Regular Members shall have the privi-
lege of voting. Dues for Family Membership shall be
$125.00 plus tax.* ($25.00)

Regular Membership: Any eligible person 18 years of age
or over may become a Regular Member of the Fleet. The
dues for Regular Membership shall be $25.00 plus tax.*
($5.00)
Junior Membership: Any eligible person who has reached
his 6th birthday and has not passed his 18th birthday may
become a Junior Member of the Fleet. Junior Membership
is required for participation in the Junior Program unless
the boy or girl in question is living with a Family Member.
The dues for Junior Membership shall be $10.00 plus tax.*
($2.00)
Honorary Membership: Honorary Members shall be such
persons as the Executive Committee may from time to time
elect to Honorary Membership. There shall be no dues for
Honorary Membership.
Non-resident Membership: In August of each year the
Executive Committee shall approve or disapprove, at its
direction, applications for Non-resident Membership basing
its decision on the following criteria. The applicant must
have had membership in the Fleet for five (5) consecutive
years preceding the application. The applicant must not
have resided in or regularly visited the Mount Desert Island
area during such period. The dues for Non-resident Mem-
bership shall be $10.00 plus tax.* ($2.00)
Except in Junior and Honorary Membership there shall
be an Initiation Fee of $10.00 plus tax* ($2.00) for all
new members of the Fleet.
Section 2. Membership shall not be transferable unless,
in the case of the death of a member, the Executive Com-
mittee in its discretion shall so permit.
Section 3. Any member who shall have paid all dues
and charges currently owing may resign upon written
notice given to the Treasurer. Upon termination of mem-

bership for any reason, a member shall forfeit to the cor-
poration all the benefits and privileges of membership and
all right, title and interest in and to the corporation or any
of its property.
Section 4. A member may be expelled by majority vote
of the Executive Committee or a majority vote of the entire
Fleet membership, at any duly convened meeting of said
Committee or members of said Fleet, for failure to comply
with the articles of incorporation, by-laws, or any duly
adopted policies, rules, or regulations of the association,
provided that ten days' written notice shall have been given
to such member setting forth the intention to propose his
expulsion, the specific reason therefor, and the right of the
member to appear and be heard in person or by counsel at
the meeting at which such expulsion shall be proposed.
ARTICLE II
MEETINGS OF MEMBERS
Section 1. The annual meeting of the members shall
be held at Northeast Harbor, Maine, in the month of
August in each year on such day and at such hour and
place as the Executive Committee may determine. Special
meetings of the members may be called at any time, at
the direction of the Commodore or of the Executive Com-
mittee or at the written request of ten or more of the
members.
Section 2. Seven days' written notice of each meeting
of the members shall be sent to each member. If a meet-
ing is adjourned, it shall not be necessary to give any
notice of the adjourned meeting.
Section 3. Each member shall be entitled to one vote
at every meeting of the members. Members may attènd
either in person or by written proxy, and ten members shall

constitute a quorum for the transaction of business at any
meeting.
Section 4. The election of officers and of members of
the Race Committee shall be by ballot. A majority of all
the votes cast at a duly organized meeting shall be neces-
sary in all elections.
ARTICLE III
OFFICERS
Section 1. The officers of the corporation shall be a
Commodore, a Vice-Commodore, a Rear Commodore, a
Secretary, a Treasurer, an Assistant Treasurer, a Clerk, a
Chairman of the Race Committee, a Chairman of the House
Committee and a Fleet Surgeon.
Section 2. With the exception of the Secretary, the
Assistant Treasurer, the Chairman of the Race Committee,
and the Fleet Surgeon, all officers shall be elected by the
members at the annual meeting and shall hold office from
the first of October following their election for a period of
one year or until their successors are elected. No person
shall be eligible for election to any office at the annual
meeting unless nominated in writing by five members and
filed with the Secretary not less than five days before the
annual meeting. All such nominations shall be posted on
the bulletin board of the Fleet Headquarters for the five
days preceding such meeting.
The Secretary and the Assistant Treasurer shall be elected
by the Executive Committee. The Chairman of the Race
Committee shall be appointed by the Commodore from the
existing members of the Race Committee. The Fleet Sur-
geon, a Fleet Captain and a Fleet Chaplain may be appointed
by the Commodore from the members.
Section 3. Any officer may be removed by the Executive
Committee whenever in its judgment the best interests of

the corporation will be served thereby, and the Executive
Committee shall have power to fill any vacancies in any
office, except that of Chairman of the Race Committee,
occurring from whatever reason.
Section 4. The duties of the Commodore, Vice-Commo-
dore, Rear Commodore, Secretary, Treasurer, Assistant
Treasurer and Clerk shall be those usually pertaining to the
offices of President, Senior Vice-President, Vice-President,
Secretary, Treasurer, Assistant Treasurer and Clerk, respec-
tively. The Commodore shall be an ex-officio member of all
committees. The Secretary shall act as Secretary of the
meeting at Class meetings for purposes of information, re-
cording of decisions, and reporting such decisions to the
Executive or Race Committee for their information or action,
and shall be an ex-officio member of the Race Committee.
ARTICLE IV
EXECUTIVE COMMITTEE
Section 1. The Executive Committee shall consist of the
officers, excent the Assistant Treasurer and the Clerk, and
of three other members appointed by the Commodore.
Section 2. The Executive Committee shall manage the
affairs of the corporation and, except as otherwise provided
by law, by the Charter or by these By-Laws, shall exercise
all powers of the corporation.
ARTICLE V
RACE COMMITTEE
Section 1. The Race Committee shall consist of five
elected members, and the Commodore and Secretary as
members ex-officio. Except as otherwise provided in these
By-laws, the ex-officio members shall be without vote. The
elected members shall be nominated and elected in the

same manner, and shall serve for the same term, as pro-
vided in these By-Laws with respect to officers. Members
of the Committee shall notify the Chairman of the Com-
mittee prior to July 1st if unable to be at Mount Desert
Island for any part of the summer during which they have
been elected to serve, in which case their resignation shall
become automatic. The Commodore shall fill any vacancies
which may occur from whatever cause, and may in his
discretion, at any time during the summer when there are
insufficient members of the Race Committee present for
the Race Committee to properly perform its assigned duties,
appoint additional members of the Race Committee.
Section 2. The management of all races shall be under
the direction of the Race Committee. All decisions of the
Race Committee shall be by majority vote of its members
present, except that in case of a tie, the Commodore may
cast the deciding vote. The general authority of the Com-
mittee is defined in Part 1, Rule 1, Racing Rules NAYRU
which read as follows:
"All races and the yachts sailing therein shall be under
the direction of the Race Committee of the Club under
whose auspices the races are sailed. All matters shall
be under their control, and all questions which arise
respecting such races shall be subject to their decision.
The decisions of the Race Committee shall be based upon
these rules, so far as they apply, but as no rules can be
devised capable of meeting every incident and accident of
sailing, the Race Committee shall keep in view the ordi-
nary customs of the sea, and discourage all attempts to
win the race by other means than fair sailing and superior
speed and skill."
Section 3. The Chairman of the Race Committee shall
conduct all meetings of the Committee and be its official
spokesman in all matters pertaining to the activities of
the Committee.

ARTICLE VI
FLEET INSIGNIA AND FLAG
Section 1. The Fleet Insignia shall be a symbolic com-
pass with the arrow pointing northeast. It shall be drawn
as shown in the attached diagram.
Section 2. The Fleet burgee shall consist of a red
pointed flag, the hoist to be two-thirds of the length, with
the Fleet Insignia in blue of a diameter equal to one-third
of the length centered at a point equidistant from the two
longer sides of the flag and one-third of the distance from
the hoist to the end of the flag; the space between the
outer band and the central disk of the insignia to be white.
Section 3. Every member of the corporation shall have
the right to fly the Fleet burgee.
ARTICLE VII
FISCAL YEAR
The fiscal year of the corporation shall be the calendar
year.

ARTICLE VIII
AMENDMENTS
These By-Laws may be amended by the Executive Com-
mittee or by the members, at any regular or special meeting
duly convened after seven days' written notice to the mem-
bers of the Executive Committee or the members of the
corporation, as the case may be, of that purpose; provided
that within ten days after the adoption of any amendment
of these By-Laws by the Executive Committee, written
notice thereof shall be sent to each member.

THE REPORT OF THE COMMODORE
1958
It is a privilege for me as your Commodore to submit
this brief report to the membership of the Fleet covering
a few of the significant aspects of the year 1958. It is a
special pleasure since I feel that we not only can look back
on the season past with satisfaction, but also can look to
the future with a genuine optimism. This would not be
so if it weren't for the cooperation and assistance of so
many dedicated to the Fleet's continued well being; whether
through the invaluable contribution of time and effort of
those who have aided in the administration of Fleet affairs,
or the willingness of those who lend us their boats, or the
help of those who make possible the informal gatherings
after races, or the ready financial support which is there
when we have pressing needs. To all of these friends of
the Fleet, I give my profound thanks.
You will recall that last winter your Executive Commit-
tee approved a major revision of the structure of our mem-
bership categories and scale of dues. This was made neces-
sary by rulings of the Internal Revenue Service which indi-
cated that certain of our charges, including dues, would no
longer be exempt from tax liability, and also by our realiza-
tion of the need for additional operating revenue in order to
keep the Fleet on a truly sound financial basis. General
reaction to the new arrangement of membership categories
and dues was studied carefully during the summer. Conse-
quently, with the guidance of helpful suggestions from our
members, further modifications and revisions were put into
effect for the current year. The details appear in the
Amendment to By-Laws which accompanied the dues notices

sent out in March. We believe we now have a workable
and satisfactory arrangement, but, of course, this is subject
to further revision as experience in the future may indicate.
I am happy to report that our financial posture is good.
Our increase in income over the year 1957 permitted, among
other things, necessary increases in salaries and a much
needed new engine for the Committee boat. It is antici-
pated that our normal operations will show a safe margin of
profit for the current year.
A significant development was the decision of your Execu-
tive Committee to obtain for Fleet ownership a number of
Mercury class sloops. This is an able, lively, thoroughly
tested fiberglas boat (15' LOA - 13' 10" LWL) which will
supplement, but not replace the Bullseye. There is need for
more boats for the ever increasing number of young in our
Junior program. It is felt that the Bullseye and the Mer-
curys will both benefit from the other. We believe that
these new boats will add greatly to the vitality of this pro-
gram, and will provide excellent training for the handling
of the larger boats later. Furthermore they will provide the
opportunity for short term charter, a welcome service. Six
Mecury sloops have already been ordered by the Fleet for
use next summer. I understand that some members of the
Fleet also have purchased them individually. Purchase of
these boats by the Fleet was made possible by a most
heartening generosity on the part of several members who
responded immediately to our appeal for funds. A second
purpose for seeking these funds was to create a capital
reserve to be used, as the Executive Committee deems
appropriate, for the purchase of boats of our one design
classes which appear on the market for possible sale out of

the Fleet, thereby weakening our sailing program and
jeopardizing the Fleet's future.
I need not dwell here on the success of our sailing activi-
ties last summer. It is felt by many that it was one of our
best seasons, particularly in the Junior program which, so
ably handled, reached an all-time high standard.
Again expressing my appreciation to those dedicated and
hard working individuals who make this all possible, I
would like to close on this note. We must constantly strive
towards maintaining and increasing the strength of our over-
all sailing program in order to perpetuate the activities of
the Fleet, consistent with its present ideals and objectives,
and because of what all this contributes towards the future
of Northeast Harbor.

We have examined the balance sheet of The Northeast
Harbor Fleet as at December 31, 1958, and the related state-
ment of income, expense and capital for the year ended
December 31, 1958. Our examination was made in accord-
ance with generally accepted auditing standards, and accord-
ingly included such tests of the accounting records and such
other auditing procedures as we considered necessary in the
circumstances.
Plant and equipment accounts are carried on the books
without deduction for depreciation. They do not include
all plant and equipment assets, certain expenditures for such
assets having been charged off against capital expenditure
fund or current income. The investment in Clifton Dock
Corporation is carried on the books at nominal value.
In our opinion, the accompanying balance sheet and state-
ment of income, expense and capital, subject to the qualifi-
cations in the preceding paragraph, present fairly the finan-
cial position of The Northeast Harbor Fleet at December 31,
1958, and the results of its operations for the year ended
December 31, 1958, in conformity with generally accepted
accounting principles applied on a basis consistent with that
of the preceding year.
