Town of Bar Harbor, a municipal corporation, in the County of

QUITCLAIM unto the said Inhabitants of the Town of Bar Harbor, its
successors and assigns forever, all its right, title and interest
in and to a certain lot or parcel of land situated in said Bar
Harbor, bounded and described as follows, to wit:
Beginning at a stone post set in the ground in the
eastern side of Ledgelawn Avenue at the southwestern corner of
land formerly of Jerry J. Cannon, deceased; thence easterly, but
always following the southern line of said land formerly of Cannon,
ninety-eight feet to a stone post set in the ground in the south-
eastern corner thereof, and in the western line of land formerly of
Ash; thence northerly, but everywhere following the western line of
said land formerly of Ash to the southwestern corner of a lot of
land owned now or formerly by Oscar Wentworth; thence easterly, but
everywhere following the southern line of said land now or formerly
of Wentworth and the southern line of lots now or formerly of
Benjamin Gower and Asa Hodgkins & Sons, three hundred and fifty
feet, more or less, to School Street; thence southerly, but every-
where following said School Street to the Park Road, formerly
Livingston Road Extension; thence westerly by said Park Road to the
eastern side line of Ledgelawn Avenue; thence northerly by said
Ledgelawn Avenue to the stone post at the place of beginning.
This conveyance is made expressly subject to all public
easements in and to such parts of the Park Road, School Street,
Ash Street and Ledgelawn Avenue as are included within the
limits of the above description, and also subject to private
easements in said Ash Street.
Being that lot of land conveyed to said The Wild Gardens
of Acadia Corporation by the Mount Desert Transit Company by deed
dated November 2, 1920, and recorded in the Hancock County Registry

RECORD OF SECOND MEMBERS MEETING.
A meeting of The Wild Gardens of Acadia was
duly called and held at the offices of Deasy, Lynam,
Rodick and Rodick, Bar Harbor, Hancock County, Maine, on
Monday
December 6th i 1948 at eleven o'clock
in the forenoon.
There were present Clarence E. Dow, Agnes Curtis,
Benjamin L. Hadley, Ruth L. Sleeper,
Edwin R. Smith, and John Whitcomb, being a quorum.
Upon motion duly seconded, it was voted to
authorize the Directors to convey such remaining land
of the Corporation as the Directors see fit to the
Town of Bar Harbor
Hancock of Public Reservations or The
Mount Desert Island Biological Laboratory, or both, for
such consideration and on such terms as they may determine
to be proper, or for no consideration, subject to any lease
or leases heretofore made by this Corporation as to any
portion of this land.
Upon motion duly seconded, it was further voted
to authorize the Directors in their discretion to release
The Mount Desert Island Biological Laboratory and its
successors or assigns from any or all of the conditions
contained in a deed of land from The Wild Gardens of Acadia

Likewise the Rainier National Park Company has among its
stockholders many of the best business men of Seattle
and Tacoma, and there are also many small stockholders in
this latter company. Companies of this kind, with Boards
of Directors made up of business men with only relatively
small blocks of stock, have not been altogether satisfactory
from our standpoint. The Directors have been inclined to
view the operation as more of a contribution on their part
to public welfare and have not cared particularly about
dividends. On the other hand, they have expected the
Government to do many things for the company that the
company should do for itself.
To Wild Gardens of Acadia:
To be used by the said corporation for the purposes
now provided in its incorporation and purposes that may be
authorized by any alteration of said purposes in the future.
When we have under consideration the requirements of
the public for service in a national park, we encourage
individuals or groups of individuals to interest themselves
in a plan for the installation of the new facilities, and we
seek men who are interested in park affairs and who may be
expected to approach the problem of handling a park opera-
tion not only with business judgment but with proper
public spirit.
Likewise the Rainier National Park Company has among its

I believe that getting effective work started on
moving the radio was far easier than getting some sound future
program developed in regard to the holdings of Mr. Dorr and the
wild Gardens of Acadia. I will, however, see what I can do
about it.
My recollection is that he planned on giving his own
properties to the wild Gardens of Acadia strengthening the
organization by putting in institutions such as Harvard, and
the Governor of Mei ne, etc., so that there would be a sound
Board to carry on the work. This has not as yet been done and
it may never be done. If not it will be left to whomsoever is
elected as members of the Corporation and they can do as they
please regarding its ownerships other than what might be given
it with strings attached.
I will go through the matter more carefully and attise
you later.

I have brought up to Mr. Dorr the matter of the land
holdings of the wild Gardens of Acadia and also of Mr. Dorr's
lands, other than his home property, suggesting that the wild
Gardens Incorporation is not satisfactory and also suggesting
that so me arrangement be made whereby the lands could be
transferred to the Government, und er similar cond it ions as to
theis use as now designed for them with the wild Gardens of
Acadia, and as a memorial to himself, his father and mother.
He did not take kindly to the suggestion. At present
it would be unwise, I think, to try to push it. I can, however,
keep it before him and he may later feel differently.
In the meantime I will prepare a copy of the terms of
the incorporation of the wild Gardens and the officers and
members for you.

of May 4th and May 6th.
Part of the contents of the letter of May 6th
have been communicated to Mr. Fred C.Lynam. Mr. Lynam's
reaction was that possibly you might like to make an
offer for the property that he could submit to Mrs. Lea's
guardians.
The informs tion desired concerning the land of
the Wild Gardens of Acadia and Mr. Dorr's land is being
compiled and I trust when you arrive it will be complete.
Mr. Lynam has devoted some time to this and so have I,
but the placing of all of Mr. Dorr's land entails consid-
erable work.
Mr. Lynem's condition is improving constantly
and when you arrive undoubtedly he will be able to see you
to take un the various matters with you. We are going
over the matters together and if by any change he is not
able to discuss the various things, I home to be in a
position to give you such information as you desire.
Mr. Lynam had quite a severe attack of angina

and while he is out and around a bit the Doctor does not
wish him to become excited or to walk up stairs. He is
therefore doing such business as is necessary in the direc-
tors' room of the Bar Harbor Banking & Trust Company.

BY-LAWS
No. 1 - Name
The name of the corporation shall be "The
Wild Gardens of Acadia", and its location and principal
office shall be Bar Harbor, Town of Eden, Hancock
County, Maine.
No. 2 - Members.
The members of the corporation shall be nine
in number.
Persons who have signed the articles of
association shall be members. Vacancies in membership
caused by death, resignation, or otherwise, shall be
filled by a majority vote of the remaining members sub-
ject to the following provision, to wit:
Three of said members shall at all times be
three persons nominated by Harvard University, Cambridge,
Mass.
One of said members shall at all times be a
person nominated by the Governor of the State of Maine.
One of said members shall at all times be a
person nominated by the Director of the National Park.
One of said members shall at all times be a
person nominated by the Bar Harbor Banking and Trust
Company of Bar Harbor, Maine.
One of said members shall at all times be a per-
son nominated by the Mount Desert Nurseries ofBar Harbor,
Maine.
One of said members shall at all times be
a person nominated by the New England Botanical Club,
Inc.
One of said members shall at all times be
a person nominated by the Appalachian Mountain Club of
Boston, Mass.
Should any of the above named corporations
cease to function its place shall be filled by the re- -
maining members of the Wild Gardens of Acadia.
Members of this corporation shall not, by
reason of such membership or by participation in meet-
ings, incur any liability of any nature.
No. 3 - Directors. All powers of the corpo-
ration, except such powers as are required by the laws of
the State of Maine or by these by-laws to be exercised by
the members, shall be vested in and exercised by a board
of directors, which said board shall consist of such num-
ber, not less than three nor more than nine, as shall be
determined by the members of the corporation at any annual
meeting. Such directors shall be elected at the meeting
of organization by the incorporators and thereafter by the
members and shall hold their offices from the time of their
election until the next annual meeting and thereafter until
their successors are elected.
No. 4- Officers. The officers of the corporation
shall consist of a President, Vice-President, Clerk and
Treasurer all of whom shall be chosen by the incorpo-
rators at their meeting for organization and thereafter
by the board of directors. The President shall be
a
member of the board of directors. All officers
shall hold their offices from the time of their election
until the next annual meeting and thereafter until their
successors are elected. These officers shall have the
powers usually belonging to such offices.
The offices
of President and Treasurer may be held by the same
person.
No. V - Committees.
Committees may be appointed at any time by
the President of the corporation.
No. VI Resignations
Any member may resign his membership in the
corporation at any time by written notification to the
Clerk of the Corporation.
No. VII. Meetings.
The annual meeting of the corporation shall
be held at Bar Harbor, Eden, Hancock County, Maine, on the
first Monday of August in each year at el even o'clock in
the forenoon at the Jesup Memorial Library or at such
other place as the directors may determine.
Special meetings of the corporation may be held
at any time upon the order of the President or three Di-
rectors.
It shall be the duty of the Clerk to give no-
tice of the annual meeting and all special meetings by
sending to each member, by mail, postage paid, a notice
of such meeting at least ten days before the time of
holding the same. Such notice shall be directed to each
member at his address appearing upon the books of the cor-
poration.
If no such address appears, such notices may
be directed to Bar Harbor, Maine, or such notices may be
given in hand to members ten days at least before the
time of holding the meeting. Such notices may be signed
by the President or Clerk.
All doings of the annual meeting shall be
valid notwithstanding no notice is given, but no business
shall be transacted at a special meeting of members unless
notice is given as aforesaid which notice shall specify
all business to be transacted.
A meeting of the directors shall be held without
notice immediately after the meeting for organization
and immediately after each annual meeting of members, at
the same place.
If all directors are present at any other meeting
of directors no notice shall be required, otherwise notice
of such meeting shall be given in hand to each di- -
rector or sent by mail to each director postage pre-
paid at least three days before such meeting. If
sent by mail such notices shall be directed to each
director at his address appearing upon the books of
the corporation.
If no such address appears such
notices shall be directed to Bar Harbor, Maine.
Such notices may be given either by the
President or Clerk. .
NO. VIII-- Quorum.
Three members of the corporation shall con- -
stitute a quorum of members and three directors shall
constitute a quorum of directors.
NO. IX. -Proxies.
Each member shall be entitled to one vote
and may be represented by proxy granted not more than
thirty days before the meeting.
NO. X - Contracts.
All contracts, deeds and mortgages shall be
authorized by vote of the Directors and executed on be-
half of the corporation by the President or Treasurer, or by
any other officer or agent authorized by vote of the
directors.
NO. XI. Secretary of Directors.
The Clerk of the c orporation shall be ex-
officio Secretary of the Board of Directors.
NO. XII. Amendments.
These by-laws may be altered, amended or
repealed by two-thirds vote of the entire membership
at any annual meeting and they may be likewise altered,
amended or repealed at any special meeting of the mem-
bers called for the purpose.
No. XIII. All the property now owned and
held by the corporation and all property hereafter
acquired by the corporation shall be held or the pro-
ceeds thereof if sold, exchanged or otherwise disposed
of, shall be held, for the purposes of the corporation.
Should the members of the corporation desire
to dissolve it, the property, and the proceeds of any
property sold, exchanged or otherwise disposed of, shall
be transferred to some corporation organized for similar
purposes, the property to be held in the same manner as
set forth herein.

PURPOSES OF THE WILD GARDENS OF ACADIA.
1. To acquire by gift, purchase, lease or otherwise, real
estate within the area of the State of Maine draining into the
Penobscot Bay and River, the Bay of Fundy, and the sea lying
between said Bays, and including also in the Dominion of Canada
the whole of Nova Seotia and New Brunswick;
2. To hold, develop and improve for the purpose of making a
permanent exhibit of scientific, educational and artistic value
for the public benefit, of trees, shrubs, herbs and other plants
and of striking scenic features;
3. For forming bird and other wild life refuges and gardens;
4. For the experimental growth of plants not native to the
region and publishing reports thereon; for publishing studies,
illustrations and descriptions of the region's native life and
landscape;
5.
For furnishing opportunities for observation and study to
students of plant life, of gardening, forestry and landscape art;
6. and for preserving and developing to the full, the natural
interest and beauty of the lands acquired, which may however be
sold, exchanged or otherwise disposed of, in any part that may
seem best to the members of the corporation's with reference to
the purpose of incorporation, or to their ability to carry out
these purposes.
7.
To act as a forestry and fishery association
within the aforesaid area, receiving in gift or acquiring by
purchase lands and waters suitable for successful forestry and
fishery, and operating those (1) for educational ends, (2) for
shelter to wild life and plants of lesser growth, and (3) for
the greater beauty, usefulness and interest of the tracts so
operated, any funds derived from such forestry or fishery to
be employed in furthering the corporation's public aims.

As I reflect about the matter, my impressi on is
that either you or Mr. Rodick did show me a plan which gave
the general information I wanted. Whether such a plan was

concerning a plan showing the wild Gardens' land, Mr.

When you first came in the summer I went over
this matter with you here in the office showing the
various pieces on the large map. There has been no
special plan as yet prepared showing the exact relation=
ship of the various parcels.
I believe I told you during the summer while Mr.
Dorr was ill that the Wild Gardens Corporation had con-
veyed all but a very little of its land to Kr. Dorr.
If you wish I will have Hill endeavor to make a
plan showing what Isinow Mr. Dorr's and what is Reservation's
and what is the Park, with relation to land now owned
by you.
There is one place where Hill informs me that
deeds will have to be given to straighten the Park and
Wild Gardens land out. This is near the old Quarry
J. D. R. Jr.

All and the same restrictions imposed by said George

peacefully and quietly at the end of the term aforesaid,
in as good order and condition (reasonable use and wearing
thereof, or inevitable accident, excepted) as the same are,
or may be put into by the said Lessor, and to pay all taxes
duly assessed thereon during theterm, and not make or suffer
any waste thereof; and that he will not assign or underlet the
premises or any part thereof, without the consent of the
Lessor in writing on the back of this Lease. And the Lessor
may enter to view and make improvements, and to expel the
Lessee if he shall make or suffer any strip or waste thereof,
or shall violate any of the covenants in this Lease by said
Lessee to be performed.

Curtis and Clarence E. Dow, and Frank W. Gray by Clarence E.
Dow, his proxy, these being all the members remaining of the
corporation and legally empowered to hold a meeting by

entrance, a bronze tablet secured upon a granite rock or
boulder, rehearsing the history of the acquisition of the

memorial nature of the gift in association with the late Dr.
S. Weir Mitchell of Philadelphia, whose name it shall bear
as a station of the Laboratory, and its intended chief station;

of Mount Desert Island Biological Laboratory, south by State

16 axees. This lot is under life lease to Mr. William Proctor
and by the terms of the lease he is to pay the taxes. In the
past Mr. Proctor has paid one-half the tax bill of The Wild
Gardens of Acadia, rather than the specific amount on this lot.
Third, a lot bounded north by the State highway, east
by Butterfield, south by DeLaittre and west by McFarland and
$ 300
Jellison, containing 51 acres. This lot has in the past been
erroneously taxed to Mr. Dorr, and 1948 is the first year it will

be taxed to the Corporation. This error was noted by Judge
Peters and Mr. Rodick and the tax changed at their order.
The land is probably located at Salisbury Cove and Mr. Dow,
one of the Tax Assessors, thinks it has little value.
The Town is about to place a tax lien upon the first
two lots of land for the balance of the 1947 tax ($45.64 plus
interest). I know that last year Mr. Rodick paid up back taxes
on this land and when I inquired about it he spoke vaguely of
"future plans" for the land and that he would recover the tax
money when the plans matured.
Can you tell me if you are interested in any of this
land? If so do you want to pay the balance of the 1947 tax
and assume the 1948 tax on the first and third lots above des-
cribed, pending any arrangement for the transfer of the lands
to you.
It is my impression that upon the termination of the
life lease in Mr. Proctor, that undoubtedly that land was in-
tended for the Mount Desert Island Biological Laboratory, this
is the second lot above described.
I am sorry to bother you with all this, but if you
are at all interested in the lands or any of them I thought it
best for you to know the situation.

If you know of the plans for the land would you kindly let
me know. The Collector will soon be obliged to bring
suit on the tax to protect his lien and if it is to be
paid perhaps we can have it-attended to before yunning
up costs.

It is difficult for me to reply to your letter
of June 18th about the three lots having to do with the
Wild Gardens of Acadia on the basis only of their
description. Can you, from one of Mr. Rodick's blue
prints or drawings, make a tracing or each area in its
relation to the bounding properties so that Incan locate
them.
From the description I would assume that the
first tract is the only one with which I might be con-
cerned and then only in case it might have to do with
the Ledgelawn Avenue Extension approach to the National
Park.
The second tract seems to be near Salisbury Cove.
If so I would know nothing about it. The location of the
third tract I can not figure out.

ing the lob. No transfer, however, was made of it because
of a flaw in the early title which Mr. Rodick felt the

As to the remaining lots of the Wild Gardens of
Acadia, I believe the Mount Desert Island Biological Labor-
atory will accept title if arrangements can be worked out
with Mr. Proctor, holder of a life lease of the lot located

there are no funds to pay the Town taxes upon it. Ben Had-
ley has talked it over with us and we think some disposition
can be made of the land this year before another tax year
comes around if we can get members into the Corporation and
elect officers to make a conveyance.

there is no hurry about that. I feel as though we soon will be the
land barons of the Island. All we need now is to strike oil or find
a commercial use for swamp water.

Dear Mr. Lynam:
Your letter of November 4th about Mr. Dorr's holdings and
the Wild Gardens of Acadia is received. As you of course know,
I
have no interest in either of these matters except as they may
ultimately affect the Park interests. Again, both you and I know
that Mr. Dorr really in the bottom of his heart wants to do the thing
that will make the lands which he has taken such pleasure in acquiring
and which he has so enjoyed owning most useful to the public in the years
to come. On the basis of these two premises, I feel you and I will only
be showing the genuineness of our friendship for Mr. Dorr in seeking
in any way we wisely can to help him to reach a satisfactory solution of
these two problems. To know just what lands are involved in each
ownership, namely, Mr. Dorris and the Wild Gardens of Acadia, is the
first step.
That Mr. Hill can plot for you if you can get the neces-
sary data. To know who are the present directors or trustees of the
Wild Gardens and the terms of incorporation, also the purpose for which
the corporation was created, would help in the study of the problem.
I recognize the difficulty of getting the informationn necessary without
seeming to be inquiring into Mr. Dorr's affairs in an unwarranted way.
Your own judgment will guide you as to how far you can wisely go and I
would not have you take any step that you do not fully approve.

Dear Mr. Lynam:
I have been recently looking over your letter to me of November
28th with its enclosures in regard to the Wild Gardens of Acadia. When
you last talked with Mr. Dorr about the possibility of his deeding this
property to Acadia National Park, retaining for his organization the right
to operate it as was done with the Abbey Museum, you found him not sym-
pathetic to the idea. It may be that after further reflection he will
feel differently about it. When I am in Maine, I shall be glad to dis-
cuss the subject with you again. In the meantime, I am wondering whether
you have had prepared a plan showing all of Mr. Dorr's personal real es-
tate holdings as well as all the property owned by the Wild Gardens of
Acadia in their relation to land owned by the Park and myself.
I think it is important that you and I study this whole prob-
lem and work together in an effort to help Mr. Dorr so arrange his
affairs that what he really desires to have done with this property
after he passes on will be done. His lack of experience in matters of
this kind may result in his not knowing how best to accomplish that end.
My present plan is to reach Seal Harbor Saturday morning,
May 13th, and to remain three or four days.

Sieur der Monts Spring Company
and The Wild Gardens Acadia.
In perpetuity, the right to maintain, protect and control
as a wild garden of the Acadian region, under the name of the
Delano Wild Gardens, a tract of land owned by said Spring
Company situated near Bar Harbor, in the Town of Eden, Hancock
County, Ma ine, bounded generally as follows:
The said tract consists of the valley of Trout Brook lying
between Sieur de Monts Tarn and the brook's crossing of Sieur
de Mont's Spring road, together with its entire drainage area
upon either side, so far as owned by the Spring Company, and
so far as the same lies between the County Road, the Tarn
and the Spring Road.
Provided, however, that said tract shall meet but not
extend across the foot of the path leading to the Sieur de
Monts National Monument at the foot of the Tarn and shall
border the County Road from the northern entrance of the
round turn encircling the summit of the Tarn's barrier
moraine to the entrance of the Sieur de Monts Spring Road,
and shall border the Spring Road thence to its crossing of
Trout Brook.
Reserving, however, to the Spring Company, its successors
and assigns, the right to enter upon any or all of such land,
to maintain water pipes and paths across the same, to name
such paths, to establish regulations for their proper use,
to post such regulations or other directions upon the land
