Mr. E. H. Greely has found certificate No. 71 for 646 shares
issued in his name and has brought it in to me.
I have forgotten just how we arranged the transfer of this
matter relative to this certificate. Shall I have Mr. Greely sign
a transfer of this certificate on the back, and if so to whom, and
mail to you? In this event what paper, acknowledgment or anything
else ought Mr. Greely to have from your end to protect him under any

My dear Mr. Dorr:
In order to keep the organization of the Carriage Road Co.
in tact, we had a meeting at Ellswar th at which two directors resigned
and Mr. Lynam and myself were elected in their places. The meeting
then adjourned to Bar Harbor and Mr. Hamlin, the third director,
resigned and you were elected to fill the vacancy. We then proceeded
to elect the following officers; President, George 3. Dorr, Treasurer,
L. B. Deasy, Clerk, A. H. Lynam.
It may be wise to have it appear upon the records that you
waived further notice of the Directors' Meeting to choose officers
which meeting was held or rather continued after you were chosen one
of the Directors. Will you therefore sign and return the enclosed
waiver of notice.
We have had all the stock transfered to you except two shares
putting the names of Mr. Lynam and myself to qualify us to act as
Directors. As this stock is paid for by the Trustees of Public
Reservations, it seems proper that we should execute a Declaration of
Trust that can be filed with the Directors of the latter corporation.
We accordingly hand you herewith such Declaration of Trust which will
you also please sign and return.
After this week I shall be in Augusta most of the time for
about three months. Letters addressed to me either at the State

Replying to your favor I beg to say that your assignment to

date in the assignment of the certificate which I received from you.
Your assignment is of all the right, title and interest which you
acquired under six assignments, No. 5 being from E. H. Greely dated
August 8, 1908, for 646 shares. There is a clause negativing any
warranty or guaranty of title.
I have also endorsed on the back of your assignment, the
following:
July 29, 1909.
Received of H. E. Hamlin original certificate No. 71 for 646
shares of stock in the Green Mountain Carriage Road Company, made out
in the name of E. II. Greely and by him assigned on back to George B.

Dear Mr. Dorr:
I am acknowledging your letter of May 16,

Mrs. Henry Parkman came into the office and

Brother Deasy:
Yours of the 28th inst. received returning the assignment
from Mr. Greely to me in re certificate number 71,646 shares, which
certificate was supposed to be lost.
Enclosed please find herewith the original certificate
number 71 assigned by Mr.Greely to George B. Dorr of Eden, Maine,
as requested by you. Have forgotten what kind of an assignment or
assignments I gave myself but it seems to me that either my assign-
ment of the supposed lost certificate ought to be returned to me or
else some memorandum made thereon to show the original certificate
has been found and transferred as per your request direct from Mr.
Greely to Mr. Dorr. Will you kindly look at my assignment of the
supposed lost certificate and let me hear from you further.
Very truly yours,
Heardin
P? S. Have left date of enclosed assignment blank as I did not
know the date of my previous assignment and it occurs to me that
this probably should be dated as of a fixed date SO as to correspond
with your records where you count this cen tificate as present
on
represented at any meetings. Kindly let me know what date you fill in.
