CONSTITUTION AND BY-LAWS
OF THE
BAR HARBOR CLUB
(As amended September 23, 1929)
BAR HARBOR, MAINE.
ARTICLE I. NAME AND SEAL.
This corporation shall be known by the name of
"The Bar Harbor Club", and shall have a corporate
seal which shall bear the inscription "The Bar Harbor
Club, Bar Harbor, Maine 1929" and its principal
office or place of business shall be at Bar Harbor,
Maine.
ARTICLE II. OFFICERS.
The officers of this corporation shall be a President,
Vice-President, Secretary, Treasurer, Assistant-Treas-
urer, and Clerk; and a Board of fifteen Directors who
shall be known as GOVERNORS.
The Board of Governors and the Clerk shall be
elected at the annual meeting of the Stockholders.
All of the other officers shall be elected by the Gov-
ernors. All of the officers and Governors shall hold
office for one year and thereafter until their successors
are elected and qualified. Each of the officers shall be
a holder of at least two shares of the Company's
stock which must be recorded on the Company's
books in his name.

ARTICLE III. GOVERNORS.
All of the powers of the corporation except as other-
wise required by law or by these by-laws, shall be vested
in a board of fifteen Governors. Governors shall be
elected by the Stockholders at their annual meeting
and five of the fifteen Governors shall constitute
a quorum transacting all of the business of the
Governors. The President shall preside at all meetings
of the Governors, or in his absence the Vice-President,
or in the absence of both, the Governors may choose
one of their own number to preside.
The Governors shall keep a complete record of all
their acts and doings and meetings and shall present
a full statement of the financial condition of the Club,
showing in detail the assets and liabilities of the Club
and the general condition of its affairs, to the Stock-
holders at their annual meeting. They shall have
complete charge of all of the affairs of the Club and
may appoint and remove at pleasure any and all
employees and agents of the Club or corporation and
require of them, or any of them, security for the faith-
ful performance of their duties.
The Governors may appoint an executive com-
mittee, which shall consist of the President of the Club
and three Governors, which Executive Committee
will have full charge of the affairs of the Corporation
between meetings of the Board of Governors. The
Governors may appoint such other committees as to
them seem best, but each committee shall consist of
at least three members and shall have for their Chair-
man a member of the Board of Governors.

The Governors shall have the authority to fill all
vacancies in their own number or in any office, or to
remove any officers or members of any committee,
and shall have power to assess each member in a sum
not exceeding one hundred dollars ($100.)
They shall have the power to purchase property for
the corporation, both real and personal, to sell or
mortgage the same, shall audit all accounts and fix
the compensation of any and all officers. They shall
have the power to incur any indebtedness in the name
of the Club, to declare dividends out of the profits
of the Club, mortgage the property of the Club, issue
bonds against the property of the Club, fix the terms
and conditions of any of the Club's financings.
All of the contracts and payments made by the
Club, excepting such payments from petty cash as
they may authorize the Treasurer or Assistant-Treas-
urer to make shall have the approval of the Board of
Governors.
The Board of Governors shall have full power to
make rules and regulations as to charges and assess-
ments and for the qualification and admission of mem-
bers and to change such rules and regulations from
time to time as they see fit.
The Board of Governors shall have power to main-
tain a special fund called the "Sinking Fund" to
which shall be transferred all initiation fees which
shall be considered as capital and shall only be used
for capital purposes by a vote of the Board of Gov-
ernors.

ARTICLE IV. PRESIDENT.
The President shall be elected by the Governors at
their annual meeting and shall preside at all meetings
of the Governors and Stockholders, and shall sign all
the certificates of stock and all contracts and other
instruments in writing after they have been approved
by the Board of Governors. He shall sign the call
for all special meetings of the Stockholders and of
the Board of Governors as is hereinafter provided for.
He shall be a member ex-officio of all of the committees
of the Club. He shall be a regular member of the
Executive Committee. He shall perform all the duties
required of him by these by-laws and by the laws of
the State of Maine and such other duties as usually
appertain to the office of President.
ARTICLE V. VICE-PRESIDENT.
The Vice-President shall be elected by and from the
Board of Governors. He shall, in the absence of the
President, perform all of the acts and duties of the
President.
ARTICLE VI. SECRETARY.
The Secretary shall be elected by and from the
Board of Governors, and he shall keep a record of all
the meetings of the Club, and he shall conduct the
correspondence of the Club and shall sign the call for
the regular meetings of the Club and of the Board of
Governors. He shall notify all persons elected to
membership in the Club of their election and shall
notify the Treasurer of the names of all persons SO

elected. In the absence of the Secretary his duties
shall be discharged by a Secretary Pro Tem, to be
appointed by the Board of Governors.
ARTICLE VII. TREASURER.
The Treasurer shall be elected by and from the
Board of Governors. It shall be the duty of the
Treasurer to keep in a safe place all the moneys,
notes, stocks, bonds, securities, and property of the
corporation and to disburse the same under the gen-
eral direction of the Board of Governors. He shall
at each annual meeting of the Stockholders submit
a complete statement of his accounts for the past
corporate year with proper vouchers for the infor-
mation of the Stockholders and Governors, and shall
be prepared to account for these to the Governors at
such times and places as they may require. He shall
give a bond for the faithful discharge of his duties
in such amount and with proper sureties, if and when
SO required by the Board of Governors. He shall,
after authorization by the Governors, sign all certi-
ficates of stock, mortgages, deeds, and contracts, with
the President, and shall have the care and custody of
the stock book showing the shares issued and the trans-
fer of the same. He shall keep in a manner prescribed
by the Board of Governors all the accounts of the
corporation, and shall discharge all of his duties in a
manner prescribed by the Board of Governors.
The fiscal year shall terminate on the thirty-first
day of December in each year.

ARTICLE VIII. ASSISTANT TREASURER AND CLERK.
The Assistant Treasurer may perform such of the
duties of the Treasurer as the Treasurer may require
of him, excepting that he shall not sign stock certi-
ficates, deeds, contracts, or mortgages. He shall
give a bond for the faithful discharge of his duties, if
required by the Board of Governors, in such amount
and with such sureties as the Board may direct. He
shall be elected by the Board of Governors. The
Assistant Treasurer and Clerk may be one and the
same person.
The Clerk shall keep a record of all the meetings of
the Stockholders. He shall be elected by the Stock-
holders and shall perform such other duties pertaining
to his office as may be prescribed by the Governors or
required by these by-laws or by the laws of Maine.
In the absence of the Clerk there may be chosen a
Clerk Pro Tem.
The Clerk shall have the custody and care of the
Corporate Seal.
ARTICLE IX. MEMBERS.
Any person meeting the rules, requirements, quali-
fications and regulations of the Board of Governors
may become a member and be entitled to the privileges
of The Bar Harbor Club.
Persons whose names are set forth in the list hereto
appended are charter members of the Club. Other
persons may be added upon the following conditions:

1. That said person shall be a holder of at least
two shares of the capital stock of the corporation.
2. With the above qualification a person, to become
a member, must then be elected in a manner to be
prescribed by the Board of Governors and rules made
by said Board of Governors. Stock ownership shall
not ipso facto entitle the owner to membership. Any
member may be removed from membership upon vote
of the Board of Governors.
ARTICLE X. MEETINGS.
A. Stockholders Meetings.
The annual meeting of the Stockholders shall be
held on the second Tuesday of August in each year
at the Club House at Bar Harbor, Maine. Special
meetings of the Stockholders may be called by the
President, or in his absence by the Vice President, at
said President's or Vice President's discretion, and the
President or, in his absence, the Vice President, shall
call a special meeting of the Stockholders when SO
requested in writing by a majority of the Board of
Governors.
No business shall be transacted at any special meet-
ing unless specified in substance in the call for the
meeting. Special meetings may be held at such times
and places as may be announced in the call. Notice
of the meetings, excepting the regular meetings, shall
be signed by the President. The Secretary shall
sign the call for the regular meeting.
B. Governors Meetings.
There shall be a regular organization meeting of

the Governors immediately following the annual
meeting of the Stockholders without special call or
notice. There shall be a regular meeting of the Gov-
ernors on the first Tuesday of each month in the months
from July to September inclusive, at the Club House
at Bar Harbor or at such other place as the Governors
may determine. Special meetings of the Governors may
be called by the President, or in his absence by the
Vice-President, for such time and place as he may
determine. A special meeting shall be called by the
President or in his absence, by the Vice President,
upon the written request of five of the Governors.
The call for special meetings of the Governors shall
be signed by the President, or in his absence, by the
Vice President. The call for the regular meetings of
the Governors shall be signed by the Secretary.
ARTICLE XI. NOTICE OF MEETINGS.
A. Notice of Stockholders Meetings.
Notice of the annual meetings shall be mailed to
each of the Stockholders at least five days before the
meeting, signed by the Secretary, and shall be pub-
lished in some newspaper in Hancock County at least
five days before. the meeting. The certificate of the
person who signed the notice of call, recorded upon
the books of the corporation as to publication or
mailing, shall be sufficient proof that due notice of
that meeting was given.
B. Notice of Governors Meetings.
The Secretary shall mail to all of the Governors
notice of the regular meetings of the Governors at

least one day before the meeting. No notice shall be
required or call made for the regular meeting following
the annual meeting.
ARTICLE XII. QUORUM.
Five directors shall make a quorum of the Governors;
and one-third of the stock issued shall constitute a
quorum of the Stockholders.
ARTICLE XIII. PROXIES.
At any meeting the Stockholders may be represented
by proxy, dated not more than sixty days prior to the
meeting.
ARTICLE XIV. CERTIFICATES OF STOCK
AND CONTRACTS.
Stock certificates, deeds, contracts, and mortgages
shall be authorized by the Governors and signed by
the President and Treasurer. All cheques of the cor-
poration must be signed by at least two of the follow-
ing officers: President, Vice President, Treasurer or
Assistant-Treasurer. The old stock certificates shall
be surrendered before new certificates in lieu thereof
shall be issued.
ARTICLE XV. AMENDMENTS.
These by-laws may be altered and amended or
repealed by a two-thirds vote of the stock present at
any meeting called for the purpose, provided said
stock at the meeting represents a quorum as herein-
above provided for, and provided further that notice
must be given of the proposed changes in the by-laws

in any call for a meeting at which said by-laws are
changed; said notice specifying the by-law which it is
proposed to change and the substance of the proposed
change.
RULES
RIGHTS AND DUTIES OF MEMBERS.
1. Initiation Fee. Each person qualifying for mem-
bership under the by-laws of the Club shall be at least
twenty-one years of age and shall pay two hundred
dollars ($200.) as initiation fee, plus any Federal tax
levied thereon, and shall receive two shares of the
stock of The Bar Harbor Club from the Treasurer;
and he shall endorse the same to The Bar Harbor
Club and agree to return said share to it upon ceasing
to be a member or in any way severing his connection
with the Club. Provided, however, that any holder
of income bonds in the denomination of five hundred
dollars ($500.) or over, who does not at the time of
purchasing said bonds own at least two shares of the
stock of The Bar Harbor Club upon being elected to
membership shall be entitled to said two shares without
further charge except any Federal tax levied thereon.
2. Each candidate for membership shall be pro-
posed by one member of the Club and seconded by
another, neither of whom shall be members of the
Board of Governors.
3. The names of every candidate for membership,
the names of the proposer, and seconder must be en-
tered in a book and posted seven days before balloting.
One blackball is sufficient for rejection of a candidate.

4. Each candidate must be known personally by
two members of the Board of Governors.
5. The proposer and seconder must each obtain
from, and file with the Secretary, a blank to be used
for stating all the facts relative to the candidate, his
clubs and qualifications for membership, or any other
facts for the guidance of the Board of Governors.
Two letters should be furnished concerning each
candidate, in addition to the above.
6. Annual Dues. The annual dues for members are
payable on the first day of June in each year. A mem-
ber admitted before the fifteenth day of August shall
pay the full annual dues, if admitted on or after the
fifteenth day of August, shall pay $18.33 per month
for the remainder of the year, including the month in
which he is elected.
7. The name of every member failing to pay his or
her annual dues when payable shall on the first day
of the following July be placed upon the Bulletin
Board of the Club House, and a notice thereof shall be
mailed by registered mail to such member or his agent,
to his or her last known address, and if such dues be
not paid before the first day of August following, the
member SO failing to pay shall cease to be a member
of the Club, and his or her name shall be erased from
the list of members.
8. Any member who has thus ceased to be a mem-
ber of the Club may be reinstated by a vote of the
Board of Directors at a meeting.

9. On the first day of each month a notice of the
amount of his or her last indebtedness to the Club
shall be sent to each member and to each subscriber.
On the 20th day of each month a list shall be posted
on the Club Bulletin Board of the amount (excepting
for annual dues) owing by members or subscribers
on the first day of the preceding month and the member
shall be notified of such posting.
10. Any member or subscriber failing to pay any
amount due the Club (excepting the annual dues)
on or before the first day of the month following the
posting as indicated in Rule 9, shall be liable to have
his or her membership or subscription forfeited at a
meeting of the Board of Governors by an affirmative
vote of a majority of those present.
11. When the indebtedness of any member or sub-
scriber exceeds the sum of $200., he or she may be
notified by the Executive Committee that his or her
credit is suspended until all indebtedness to the Club
shall have been paid.
OFFICERS OF ARMY AND NAVY AND CLERGYMEN.
Officers of the Army and Navy and members of the
Clergy may be admitted to the Club with such privi-
leges and upon such terms and conditions as may be
prescribed from time to time by the Board of Gover-
nors.
ADMISSION OF VISITORS.
Visitors may be admitted to the Club with such
privileges and upon such terms and conditions as may
be prescribed from time to time by the Board of
Governors.

COMMITTEES.
No expenditure of money shall be empowered to
any other than the Executive Committee without a
specific appropriation by the Board of Governors
having first been made.
The Chairman of each Committee shall call all
meetings of his committee.
The following shall be the Committees until other-
wise provided.
THE EXECUTIVE COMMITTEE.
Between the meetings of the Board of Governors
this committee shall have full management and control
of the affairs, funds and property of the Club, subject
to the By-Laws.
It shall authorize all such contracts, purchases and
payments as it shall deem necessary or proper.
It shall make such rules as to the use of the Club
House, pool and grounds, and the management thereof
as it may deem expedient from time to time and as
may be consistent with the By-Laws.
It shall control the expenses and charges of the Club,
authorize the employment of such assistants and
servants as it shall deem expedient, and receive and
redress complaints, provided the same be properly
made to it in writing.
It shall have the power to prohibit any games,
sports or competitions which it may consider pre-
judicial to the best interests of the Club.

It shall have the power to appoint any sub-com-
mittees which it may deem necessary, and to abolish
the same at its discretion.
It may, at its discretion, issue complimentary
tickets.
THE FINANCIAL COMMITTEE.
The Chairman of the Finance Committee shall be
the Treasurer of the Club. It shall have charge of
the finances of the Club in conjunction with the
Treasurer, the raising of all funds needed by the Club,
the adjustment and determination of all the obligations
of the Club, and shall participate with the Treasurer
in the annual report to the Club, of its financial con-
ditions.
THE SWIMMING POOL COMMITTEE.
The Swimming Pool Committee shall have full
charge of the swimming instructor, and his assistant,
his retention or dismissal, the conduct of those using
the pools, all games and sports therein. All contests,
the hours for the use of the pool and every activity in
relation thereto.
THE TENNIS COMMITTEE.
The Tennis Committee shall have control of all the
activities of the tennis courts, tennis tournaments and
all prizes for the same. It shall have control of the
tennis instructor and the regulation of hours of use of
the courts. All conduct of those using courts and all
supplies and equipment thereof.

THE ENTERTAINMENT COMMITTEE.
The Entertainment Committee shall have charge of
all entertainments given at the Club, such as balls
and receptions, and exhibitions, the entertainment of
distinguished visitors and strangers. It shall issue all
cards and invitations for such occasions, and make
such rules and regulations for the same as it may
think best for the interest of the Club.
SUBSCRIBERS.
Any person of either sex, over eighteen years of age,
may have his or her name proposed to the Board of
Governors by a member in good standing, who shall
become financially responsible for all unpaid charges of
the Club, against such subscribers. No one who has
been a season subscriber for two years separately or
in succession may again become such a subscriber,
but must then apply for regular membership.
The subscriber shall be notified by the Secretary of
his or her acceptance, by the Board of Governors, or
the Executive Committee, and shall receive a notice
of the terms and conditions of their enrollment as
subscriber.
The dues of subscribers are payable upon the is-
suance of a subscription ticket bearing upon its face
the name, residence, and the expiration of the term of
the subscription.
Each subscriber shall settle all charges of the Club
against such subscriber according to rules 9 and 10
preceding.

No money shall be given as a gratuity to any one
in the employ of the Club under any pretense whatso-
ever.
Dogs are not allowed in any of the Club buildings,
or on the grounds, unless carried or on a leash.
The Club House and grounds will be open at 8 A.M.
and closed at 11:30 P.M., excepting on the evenings of
special entertainment.
No governess nor tutor of any member or sub-
scriber, when not accompanying any of member's or
subscriber's family, shall be entitled to the use of the
tennis courts or swimming pool.
One day tickets to visitors must only be given to one
vouched for by a member, or a subscriber. Each
visitor must be registered as to name and address,
and name of proposer.
No checks shall be cashed by the Club for any
amount exceeding $25.00.
All complaints and suggestions as to the manage-
ment shall be made in writing to the Executive Com-
mittee.
No member nor subscriber shall take any property
whatsoever belonging to the Club from the Club,
except on the authority of a resolution of the Board of
Governors.
The resignations must be made in writing, addressed
to the Secretary.
The private dining-rooms may be engaged for en-
tertainments for four or more persons and non-mem-

bers may be entertained in these rooms. These rooms
may not be reserved for card parties in case a member or
subscriber wishes it for a luncheon or a dinner. At
least one day's notice of any entertainment in the
private dining-room must be given to the Clerk.
Any person not having engaged the exclusive use
of any of the Club rooms, who uses the rooms after
11:30 P.M., may be charged a service fee in the dis-
cretion of the Executive Committee.

LIMITED SUBSCRIBERS.

of the Club and attend the Club dances
throughout their visit, also for one day to
enjoy the use of the pool and tennis courts
free of charge, but must register their
names and name and residence of the
member on that day.
There will be no additional charge to Reg-
ular members, junior members, regular
subscribers and associate members for
the use of the swimming pool, the tennis
courts and attendance at the regular
Saturday night dances.
