DEDICATION TO BURTON CRAIGE GRAY
We mourn the death of Burton Craige Gray who died on October 26,
1989. He was 48 years of age.
Burton first came to Northeast Harbor in the early 1970's, joining the
Fleet at that time. Already a sailor, he gained racing experience
crewing on Internationals and in 1980 purchased his beloved Number
8, Aurora, from Marblehead, bringing it back to its original home.
Always seeking to improve his racing and sailing skills, Burton liked
nothing better than trying out his theories on his favorite single-
handed excursions; he soon became a respected competitor in the
IOD Class. As we got to know him, we learned that he was gifted with
an intense intellectual curiosity, and behind his shy facade lay a
strength of character possessing many of the "old fashioned" virtues:
personal integrity, honesty in dealings with his fellows and an abiding
sense of fair play. These traits were evident in all his life, but most
vividly demonstrated when rounding a mark in heavy traffic.
In recognition of these qualities, he was elected Rear Commodore of
the Fleet in 1984, a position in which he served 2 years. In 1987, Burton
was elected Vice Commodore and served until he was elected in 1988
to be Commodore, then re-elected to that post in 1989.
Burton Craige Gray gave unstintingly to The Northeast Harbor Fleet.
To honor Burton, our dear friend, fellow sailor and Commodore, we
dedicate this 1990 yearbook to his memory.

ARTICLE I
Membership
SECTION I. Membership in The Northeast Harbor Fleet shall be
open to persons interested in yachting and shall be divided into five
classes: Namely, Family Members, Individual Members, Junior Mem-
bers, Honorary Members, and Non-resident Members. The Executive
Committee may from time to time elect eligible persons to one of these
categories.
FAMILY MEMBERSHIP: Any person or couple eligible for member-
ship in the Fleet and desirous of providing the privileges of member-
ship for their immediate family (spouse, children and grandchildren
under 18) who are living with them in their home may become Family
Members. House guests of Family Members are entitled to use the
Fleet's facilities, but are not entitled to other privileges of membership.
INDIVIDUAL MEMBERSHIP: Any eligible person 18 years of age or
over may become an Individual Member of the Fleet. The spouse,
children and house guests of Individual Members, when accompanied
by the member, are entitled to use the Fleet's facilities, but are not
entitled to other privileges of membership.
JUNIOR MEMBERSHIP: Any eligible person who has reached his
6th birthday and has not passed his 18th birthday may become a
Junior Member of the Fleet. Junior Membership is required for partic-
ipation in the Junior Program, except that Junior Members may intro-
duce as guests other juniors, not part of their immediate family, stay-
ing with them in their home, for one period each summer not to exceed
one week. Such guests may enjoy all the privileges of membership to
which the Junior Member is entitled except being listed in the Annual
Report. Junior guests whose stay in a member home is expected to
exceed one week and who are desirous of continuing the privileges of
membership must apply to become Junior Members. Junior Members

are not entitled to voting privileges. There shall be no dues for children
of Family Members.
HONORARY MEMBERSHIP: Honorary Members shall be such per-
sons as the Executive Committee may from time to time elect to
Honorary Membership. There shall be no dues for Honorary Member-
ship.
NON-RESIDENT MEMBERSHIP: In August of each year the Execu-
tive Committee shall approve or disapprove, at its discretion, applica-
tions for Non-resident Membership basing its decision on the follow-
ing criteria. The applicant must have had membership in the Fleet for
five (5) consecutive years preceding the application. The applicant
must not reside in or regularly visit the Mount Desert Island area
during such period of Non-resident Membership.
INITIATION FEE: Except in Junior and Honorary Membership,
there shall be an Initiation Fee for all new members of the Fleet, except
for former Junior Members who have not yet reached their 30th
birthday.
SECTION 2. Dues are payable July 1 and names of members with
dues unpaid by July 1 will be posted at the Fleet Headquarters. In no
event may members (including Junior Members) or their guests use
Fleet facilities or participate in Fleet activities without having paid the
appropriate member dues. Members with dues unpaid on August 31
will be dropped from the rolls.
SECTION 3. Any member who shall have paid all dues and charges
currently owed may resign upon written notice given to the Treasurer.
Upon termination of membership for any reason a member shall
forfeit to the Fleet all the benefits and privileges of membership and all
right, title and interest in and to the Fleet of any of its property.
SECTION 4. Membership shall not be transferable unless, in the
case of the death of a member, the Executive Committee in its discre-
tion shall so permit.
SECTION 5. A member may be expelled by majority vote of the
Executive Committee or a majority vote of the entire Fleet member-
ship, at any duly convened meeting of said Committee or of members
of said Fleet for failure to comply with the articles of incorporation,
by-laws, or any duly adopted policies, rules, or regulations of the
Fleet, provided that ten days written notice shall have been given to
such member setting forth the intention to propose his expulsion, the
specific reason therefor, and the right of the member to appear and be
heard in person or by counsel at the meeting at which such explusion
shall be proposed.
ARTICLE II
Meetings of Members
SECTION 1. The annual meeting of the members shall be held at
Northeast Harbor, Maine, in the month of August or September in
each year on such day and at such hour and place as the Executive

Committee may determine. Special meetings of the members may be
called at any time, at the direction of the Commodore or of the Execu-
tive Committee or at the written request of ten or more of the
members.
SECTION 2. Seven days' written notice of each meeting of the
members shall be sent to each voting member. If a meeting is
adjourned, it shall not be necessary to give any notice of the
adjourned meeting.
SECTION 3. Each voting member, which shall include all members
except Junior Members, shall be entitled to one vote at every meeting
of the members.
SECTION 4. The election of officers and of members of the Race
Committee shall be by ballot. A majority of all the votes cast at a duly
organized meeting shall be necessary in all elections.
ARTICLE III
Officers
SECTION 1. The officers of the Fleet shall be a Commodore, a
Vice-Commodore, a Rear Commodore, a Clerk, a Treasurer, a Chair-
man of the Race Committee, a Chairman of the House Committee, a
Fleet Counselor, and such other officers and assistant officers as may
be deemed necessary or advisable by the Executive Committee.
SECTION 2. With the exception of the Chairman of the Race Com-
mittee and the Fleet Counselor, all Officers shall be elected by the
members at the annual meeting and shall hold office from the first of
October following their election for a period of one year or until their
successors are elected. No person shall be eligible for election to any
office at the annual meeting unless nominated in writing by five
members and filed with the Clerk not less than five days before the
annual meeting. All such nominations shall be posted on the bulletin
board of the Fleet Headquarters for the five days preceding such
meeting.
The Fleet Counselor shall be elected by the Executive Committee.
The Chairman of the Race Committee shall be appointed by the
Commodore from the existing members of the Race Committee.
SECTION 3. Any officer may be removed by the Executive Commit-
tee whenever in its judgment the best interests of the Fleet will be
served thereby, and the Executive Committee shall have power to fill
any vacancies in any office, except that of Chairman of the Race
Committee (who shall be appointed by the Commodore), occuring
from whatever reason.
SECTION 4. The duties of the Commodore, Vice-Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining to
the offices of President, Senior Vice-President, Vice President, Secre-
tary and Treasurer, respectively. The Commodore shall be an ex-
officio member of all committees.

ARTICLE IV
Executive Committee
SECTION 1. The Executive Committee shall consist of the officers,
and of three other members appointed by the Commodore.
SECTION 2. The Executive Committee shall manage the affairs of
the Fleet and, except as otherwise provided by law, by the Charter or
by these By-Laws, shall exercise all powers of the Fleet. Specifically,
but without limitation, the Executive Committee shall have the power
and authority to hire and appoint an Executive Secretary and Assist-
ant Treasurer to perform those duties assigned by the Executive
Committee.
ARTICLE V
Race Committee
SECTION 1. The Race committee shall consist of five elected
members, and the Commodore and Executive Secretary, if any, as
members ex-officio. Except as otherwise provided in these By-Laws,
the ex-officio members shall be without vote. The elected members
shall be nominated and elected in the same manner, and shall serve
for the same term, as provided in these By-Laws with respect to
officers. Members of the committee shall notify the Chairman of the
committee prior to July 1st if unable to be at Mount Desert Island for
any part of the summer during which they have been elected to serve,
in which case their resignation shall become automatic. The Commo-
dore shall fill any vacancies which may occur from whatever cause,
and may in his discretion, at any time during the summer when there
are insufficient members of the Race Committee present for the Race
Committee to properly perform its assigned duties, appoint additional
members of the Race Committee.
SECTION 2. The management of all races shall be under the direc-
tion of the Race Committee. All decisions of the Race Committee shall
be by majority vote of its members present, except that in case of a tie,
the Commodore may cast the deciding vote. The general authority of
the Committee is defined in The Yacht Racing Rules as adopted by The
U.S.Y.R.U., Part II, Rule 1.2:
1. All races shall be arranged, conducted and judged by a
Race Committee under the direction of the sponsoring organi-
zation, except as may be provided under rule 1.2. The Race
Committee may delegate the conduct of a race, the hearing and
deciding of protests or any other of its responsibilities to one or
more sub-committees which, if appointed, will hereinafter be
included in the term "Race Committee" wherever it is used.
SECTION 3. The Chairman of the Race Committee shall conduct all
meetings of the Committee and be its official spokesman in all matters
pertaining to the activities of the Committee.

ARTICLE VI
Fleet Insignia And Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with the
arrow pointing northeast. It shall be drawn as shown in the attached
diagram.
SECTION 2. The Fleet burgee shall consist of a red pointed flag, the
hoist to be two-thirds of the length, with the Fleet Insignia in blue of a
diameter equal to one third of the length centered at a point equidist-
ant from the two longer sides of the flag and one-third of the distance
from the hoist to the end of the flag; the space between the outer band
and the central disk of the insignia to be white.
SECTION 3. Every member of the Fleet shall have the right to fly the
Fleet burgee.

ARTICLE VII
Fiscal Year
The fiscal year of the Fleet shall end on September 30.
ARTICLE VIII
Amendments
These By-Laws may be amended by the Executive Committee or by
the members, at any regular or special meeting duly convened after
seven days' written notice to the members of the Executive Committee
or the members of the Fleet as the case may be, of that purpose;
provided that within sixty (60) days after the adoption of any amend-
ment of these By-Laws by the Executive Committee, written notice
thereof shall be sent to each member.

REPORT OF THE COMMODORE
1990
Dear Fleet Members:
We have been deeply affected by the sudden and premature death
on October 26th of Burton C. Gray, our Commodore of only one
year. I trust all of you received the letter I sent out late last fall
informing you of this sad fact. Once again I would like to extend the
fleet membership's sympathy to all his family. It is hard to imagine
the International One Design Class without Burton racing "Aurora",
but more poignant, not seeing him out sailing her alone every
afternoon. There is no doubt that Burton's death has yet to be felt
completely by his Northeast Harbor friends.
Of course there are happier and more positive aspects of Fleet
affairs to mention. Burton wrote to all of you advising you of the
departure of our Fleet Executive Secretary, Morgan Brown. We are
very happy to report that we have hired a replacement, Andrew W.
Stephenson, whose experience, background, self-motivation and
enthusiasm should quickly revitalize the Fleet's sailing and activities
agendas.
Andy and his wife Becky, young and energetic, are both involved
with education. Becky teaches at MDI High School while Andy con-
ducts individual and semi-private tutorial instruction in Southwest
Harbor. Andy holds a BS Degree from Trinity College and was a
faculty member and Associate Director of Admissions at Cushing
Academy in Ashburnham, Massachusetts, from 1983-1989.
Andy's sailing background, for one of 29 years of age, is equally
excellent. Since his childhood he has raced in a variety of boats
including Widgeons, 420's, 110's, J-24's, Shields, IOD's and IOR class
yachts. He has been Head Instructor of the West Shore Marine Service
Sailing School in Marblehead, Mass., a Group Leader for students on
week-long diving and sailing programs in the British Virgin Islands,
and an instructor for the National Marine Fisheries Service in their
Marine Offshore Science Program. Andy has also served administra-
tively for the 700() member Pleon Yacht Club in Marblehead, Massa-
chusetts, as its Race Committee Chairman, Rear Commodore and
Commodore.
Andy began his tour as Fleet Executive Secretary on February 1st
and is already at work on Fleet matters. He is an enthusiastic Staff
Member and we look forward to his inspiration and leadership.
Because of the excitement engendered by the Optimist Dinghys,
two more were donated by Fleet Members which brought the fleet up
to nine. This meaningful and necessary participation by our Member-

ship is most gratifying. We sincerely hope this support will continue so
that we might soon have the necessary number of Optimists for run-
ning a full-fledged, dinghy oriented, sailing program.
A committee of Flag Officers and interested parents was formed
last summer to review the Sailing Program's material and presentation
methods, and to work with Staff to ensure that the Fleet provided a
strong program for its Junior members. This is one of Fleet's
priorities and efforts to strengthen our program will continue. We all
agree that bad weather such as last summer's can erode the best of
the staff's inventiveness, but we want to challenge foggy and rainy
days with a creative program. Suggestions from interested members
will be warmly welcomed.
The International One Design Class now numbers thirty
the
largest IOD fleet in the world. Such resurgent growth has not gone
unnoticed, both inside and outside Fleet. Efforts to rekindle member-
ship interest in Mercury and J-24 classes was undertaken by respec-
tive class members and leadership last season with good initial
results. Meetings concerning issues and innovations produced pro-
posals for improving participation in the activities of these two classes
which have already been submitted to the Executive Committee for
consideration.
We are all encouraged by interest within the "thirty-something"
group to help bring divergent and new thoughts to the Fleet's
mission and vision. Happily there are many interested members who
will make good leaders in the future.
Each year there are those whose service to Fleet is given without
much attention but is deserving of our appreciation.
To Burton Gray: He put in timeless energy and humor in his years
as Flag Officer, in his work to bring back a generation who had left
the Fleet at an early age for other Northeast Harbor adventures, for
his generous staff dinners, in his move to make the 1988 IOD Worlds
a success and for his patience and guidance during the Flag Officer's
meetings.
To Harry Madeira: In 1988, as newly elected Rear Commodore, I was
asked to say a few words about our outgoing Commodore at the
Annual Meeting. To say a few words about Harry was a daunting task,
but in trying to resurrect the essence of those thoughts for this report,
I remember saying "he was always there". Harry has always been
there, always at the Fleet, just across the parking lot, in town meetings
on our behalf, looking in on the Fleet every evening, leading us to
marks in the fog, showing us where we should have found the wind
during yet another flukey race day.

Harry called his thirteen years as Flag Officer and five years as
Commodore a "highlight in his life". I am sure we all agree that we
and the Fleet have taken some of the most important time in his life
- all to our benefit - and we are more indebted to him than I can
express. And he is still there, this very minute and let's hope will
always agree to be.
To Phil Caughey: Once again for his continued work throughout
his prolonged retirement. He was invaluable during a period of
transition and those of us who have known him forever, as I have, will
find it difficult to imagine his office without his comfortable and
reassuring presence. We will not say goodbye because he will return
to Northeast Harbor and may finally have his first sail!
To Robin Gregory: For her ideas, energy and devotion to the Fleet
as head of the House Committee, for adding to and keeping up with
the Fleet's traditions, for new Fleet programs - most notably talks by
some of our most impressive skippers, E. Newbold Smith and Kevin
Mahaney, for arranging for the Saturday, Hayward Cup and Annual
Meeting teas which all run smoothly.
To: Freddy Towers and his Race Committee members, whose
enthusiasm every Saturday morning was unflagging; Connie Madeira
who once again kept the trophies ordered, organized, engraved,
boxed, packed and sent without a hitch; Dale Hadlock who was there
the second he was needed - if not before - with a smile and a nice
word for everyone; cheerful Correnia Hadlock, secretary, and Kay
Graves, bookkeeper, working behind the scenes to take over the reins
given up by Phil Caughey.
To: Win Fletcher whose loyalty to Clifton Dock is unmatched.
To Eric Champlin: For his hard efforts to create an atmosphere of

Harbor Fleet as of September 30, 1989 and 1988, and the related
statement of income, and cash flows for the years then ended. These
financial statements are the responsibility of management. Our
responsibility is to express an opinion on these financial statements
based on our audit.
We conducted our audit in accordance with generally accepted
audited standards. Those standards require that we plan and perform
the audit to obtain reasonable assurance about whether the financial
statements are free of material misstatement. An audit includes
examining, on a test basis, evidence supporting the amounts and
disclosures in the financial statements. An audit also includes
assessing the accounting principles used and significant estimates

1. Significant Accounting Policies
The organization utilizes the accrual method of accounting.
Investment in the Clifton Dock Corporation is represented by ownership of the
outstanding shares of that corporation. Its book value was reported at $65,490 at
September 30, 1989.
Investment securities held in James G. Ducey Memorial Fund are carried at
market value, which is below cost by $1,513 at September 30, 1989.
2. Plant and Equipment
Plant and equipment are recorded at cost and are depreciated at rates
calculated to amortize the original cost over the useful lives of the related
