Nimick 8 By Certificate of Organization of a Corporation under the General Law of the State of Maine The name of said corporation is THE NORTHEAST HARBOR FLEET The purpose of said corporation is: A Yacht Club for the promotion of yachting as an amateur sport at Northeast Harbor in the Town of Mount Desert, Maine and its vicinity. THE NORTHEAST HARBOR FLEET BY-LAWS ARTICLE I Membership SECTION 1. Membership in The Northeast Harbor Fleet shall be open to persons interested in yachting and shall be divided into five classes, namely: Family Members, Individual Members, Junior Members, Honorary Members, and Non-resident Members. The Executive Committee may from time to time elect eligible persons to one of these categories. FAMILY MEMBERS. Any person or couple eligible for membership in the Fleet and desirous of providing the privileges of membership for their immediate family (spouse, children and grandchildren under 18) who are living with them in their residence may become Family Members. House guests of Family Members are entitled to use the Fleet's facilities, but are not entitled to other privileges of membership. INDIVIDUAL MEMBERS. Any eligible person 18 years of age or over may become an Individual Member of the Fleet. The spouse, children and house guests of Individual Members, when accompanied by the member, are entitled to use the Fleet's facilities, but are not entitled to other privileges of membership. JUNIOR MEMBERSHIP. Any eligible person who has reached his 6th birthday and has not passed his 18th birthday may become a Junior Member of the Fleet. Junior Membership is required for participation in the Junior Program, except that Junior Members may introduce as guests other juniors, not part of their immediate family, staying with them in their home, for one period each summer not to exceed one week. Such guests may enjoy all the privileges of membership to which the Junior Member is entitled except being listed in the Annual Report. Junior guests whose stay in a member home is expected to exceed one week and who are desirous of continuing the privileges of membership 9 must apply to become Junior Members. Junior Members are not entitled to voting privileges. There shall be no dues for children of Family Members. HONORARY MEMBERS. Honorary Members shall be such persons as the Executive Committee may from time to time elect to Honorary Membership. There shall be no dues for Honorary Membership. NON-RESIDENT MEMBERS. In August of each year the Executive Committee shall approve or disapprove, at its discretion, applications for Non-resident Membership basing its decision on the following criteria. The applicant must have had membership in the Fleet for five (5) consecutive years preceding the application. The applicant must not reside in or regularly visit the Mount Desert Island area during such period of Non-resident Membership. INITIATION FEE. Except in Junior and Honorary Membership, there shall be an Initiation Fee for all new members of the Fleet, except for former Junior Members who have not yet reached their 30th birthday. SECTION 2. Dues are payable July 1 and names of members with dues unpaid by July 1 will be posted at the Fleet Headquarters. In no event may members (including Junior Members) or their guests use Fleet facilities or participate in Fleet activities without having paid the appropriate member dues. Members with dues unpaid on August 31 will be dropped from the rolls. SECTION 3. Any member who shall have paid all dues and charges currently owned may resign upon written notice given to the Treasurer. Upon termination of membership for any reason a member shall forfeit to the Fleet all the benefits and privileges of membership and all right, title and interest in and to the Fleet of any of its property. SECTION 4. Membership shall not be transferable unless, in the case of the death of a member, the Executive Committee in its descretion shall SO permit. SECTION 5. A member may be expelled by majority vote of the Executive Committee or a majority vote of the entire Fleet membership at any duly convened meeting of said Committee or of members of said Fleet, for failure to comply with the articles of incorporation, by-laws, or any duly adopted policies, rules, or regulations of the Fleet, provided that ten days written notice shall have been given to such member setting forth the intention to propose his expulsion, the specific reason therefor, and the right of the member to appear and be heard in person or by counsel at the meeting at which such expulsion shall be proposed. ARTICLE II Meetings of Members SECTION 1. The annual meeting of the members shall be held at Northeast Harbor, Maine, in the month of August or September in 10 each year on such day and at such hour and place as the Executive Committee may determine. Special meetings of the members may be called at any time, at the direction of the Commodore or of the Executive Committee or at the written request of ten or more of the members. SECTION 2. Seven days' written notice of each meeting of the members shall be sent to each voting member. If a meeting is adjourned, it shall not be necessary to give any notice of the adjourned meeting. SECTION 3. Each voting member, which shall include all members except Junior members, shall be entitled to one vote at every meeting of the members. SECTION 4. The election of officers and of members of the Race Committee shall be by ballot. A majority of all the votes cast at a duly organized meeting shall be necessary in all elections. ARTICLE III Officers SECTION 1. The officers of the Fleet shall be a Commodore, a Vice Commodore, a Rear Commodore, a Clerk, a Treasurer, a Chairman of the Race Committee, a Chairman of the House Committee, a Fleet Counselor, and such other officers and assistant officers as may be deemed necessary or advisable by the Executive Committee. SECTION 2. With the exception of the Chairman of the Race Committee and the Fleet Counselor, all Officers shall be elected by the members at the annual meeting and shall hold office from the first of October following their election for a period of one year or until their successors are elected. No person shall be eligible for election to any office at the annual meeting unless nominated in writing by five members and filed with the Clerk not less than five days before the annual meeting. All such nominations shall be posted on the bulletin board of the Fleet Headquarters for the five days preceding such meeting. The Fleet Counselor shall be elected by the Executive Committee. The Chairman of the Race Committee shall be appointed by the Commodore from the existing members of the Race Committee. SECTION 3. Any officer may be removed by the Executive Committee whenever in its judgment the best interests of the Fleet will be served thereby, and the Executive Committee shall have power to fill any vacancies in any office, except that of Chairman of the Race Committee (who shall be appointed by the Commodore), occuring from whatever reason. SECTION 4. The duties of the Commodore, Vice Commodore, Rear Commodore, Clerk and Treasurer, shall be those usually pertaining to the offices of President, Senior Vice President, Vice President, 11 Secretary and Treasurer, respectively. The Commodore shall be an ex- officio member of all committees. ARTICLE IV Executive Committee SECTION 1. The Executive Committee shall consist of the officers, and of three other members appointed by the Commodore. SECTION 2. The Executive Committee shall manage the affairs of the Fleet and, except as otherwise provided by law, by the Charter or by these By-Laws, shall exercise all powers of the Fleet. Specifically, but without limitation, the Executive Committee shall have the power and authority to hire and appoint an Executive Secretary and Assistant Treasurer to perform those duties assigned by the Executive Committee. ARTICLE V Race Committee SECTION 1. The Race Committee shall consist of five elected members, and the Commodore and Executive Secretary, if any, as members of ex-officio. Except as otherwise provided in these By-Laws, the ex-officio members shall be without vote. The elected members shall be nominated and elected in the same manner, and shall serve for the same term, as provided by these By-Laws with respect to officers. Members of the Committee shall notify the Chairman of the Committee prior to July 1st if unable to be at Mount Desert Island for any part of the summer during which they have been elected to serve, in which case their resignation shall become automatic. The Commodore shall fill any vacancies which may occur from whatever cause, and may in his discretion, at any time during the summer when there are insufficient members of the Race Committee present for the Race Committee to properly perform its assigned duties, appoint additional members of the Race Committee. SECTION 2. The management of all races shall be under the direction of the Race Committee. All decisions of the Race Committee shall be by majority vote of its members present, except that in case of a tie, the Commodore may cast the deciding vote. The general authority of the Committee is defined in The Yacht Racing Rules as adopted by The U.S.Y.R.U., Part II, Rule 1.2: 1. All races shall be arranged, conducted and judged by a Race Committee under the direction of the sponsoring organization, except as may be provided under rule 1.2. The Race Committee may delegate the conduct of a race, the hearing and deciding of protests or any other of its responsibilities to one or more sub- committees which, if appointed, will hereinafter be included in the term "Race Committee" wherever it is used. 12 SECTION 3. The Chairman of the Race Committee shall conduct all meetings of the Committee and be its official spokesman in all matters pertaining to the activities of the Committee. ARTICLE VI Fleet Insignia And Flag SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow pointing northeast. It shall be drawn as shown in the attached diagram. SECTION 2. The Fleet burgee shall consist of a red pointed flag, the hoist to be two-thirds of the length, with the Fleet insignia in blue of a diameter equal to one-third of the length centered at a point equidistant from the two longer sides of the flag and one-third of the distance from the hoist to the end of the flag; the space between the outer band and the central disk of the insignia to be white. SECTION 3. Members of the Fleet shall have the right to fly the Fleet burgee. ARTICLE VII Fiscal Year The fiscal year of the Fleet shall end on September 30. ARTICLE VIII Amendments These By-Laws may be amended by the Executive Committee or by the members at any regular or special meeting duly convened after seven days' written notice to the members of the Executive Committee or the members of the Fleet as the case may be, of that purpose; provided that within sixty (60) days after the adoption of any amendment of these By-Laws by the Executive Committee, written notice thereof shall be sent to each member. 13 REPORT OF THE COMMODORE 1991 Dear Members, Last summer was one of many beginnings. Andy Stephenson, our towering new Executive Secretary, came to us with a lot of new ideas, and as his Sailing Master had a change of heart in the final hour, the staff that remained had a large vacuum to fill. Spearheaded by Gretchen Kelly, all did an excellent job and we look forward to seeing them again this summer. Andy initiated many new concepts in the Sailing Class. While attendance was down, there was a higher percent of children coming more often and vast improvement by most counts in the program. That improvement will continue. There will be a revitalization of the Junior Sailing committee comprised of parents, staff and Executive Committee members who will constantly reassess our methods of teaching, scheduling and ways to instill enthusiasm in the students. Our main goal is to get everyone out racing. We are also working with the other Northeast Harbor clubs to coordinate our activities. The Rowing Class, a favorite of mine, continued to thrive under the leadership of Thayer McSweeney and we will be creative in adding new tests to keep everyone busy, happy and interested in earning more ribbons and preparing for the very popular Optimists. For several years we have all been concerned that the International One Design Class has dominated the afternoon racing series to the detriment of the other classes. We had many conversations with and letters from representatives of both the J-24 and Mercury classes and although having two short races on Saturday afternoons was a valiant experiment, we have decided to revert to the old schedule of one race on Saturdays and Mondays and to try to devise other ways to solve the problem. With Phil Caughey's second and final retirement after SO many years of extraordinary service, we had a lot of learning to do. Our bookkeeper Kay Graves and secretary Correnia Hadlock did a marvelous job of taking over a very complex task. I, too, was new due to Burton Gray's sad and untimely death, and my leadership has been a bit choppy at best. Vice Commodore Stephen Homer has taken an enormous amount of work from my shoulders, and I can't thank him enough for that. Little did he know how time consuming the Vice Commodore's job can become. 14 Freddy Towers and the other members of the Race Committee, including Jim Lash the newest member, spent many hours at an often unpleasant and grueling task, and I thank them for their sacrifice and commitment. Alan McIlhenny, Jr., has agreed to be our Rear Commodore and his experience as former Secretary will be invaluable. I am delighted that Tom Elkins has joined the Executive Committee. His input has already been felt. Another new member of the Executive Committee is a true friend of the Fleet. Frances Cochran Smith has done a superb job as Chair of the House Committee. The teas have a new look - flowers, tablecloths, homemade cookies, cakes and tea! Thanks go to all of you who put such an effort into making the teas SO special. In addition, Frances has housed and hosted staff and has sat in on endless meetings, and worked very hard helping Phil Fuller to make the IOD North American Championship in September a success. I am, of course, indebted to many other people: Harry Madeira with his wisdom from years of experience as Commodore, to Charlie Dickey our Treasurer who plunged into Phil's numbers, to Wayne Wibby who fired up the Nominating Committee, to Joe Grant who chaired it, and to Dale Hadlock who does everything. A special thanks goes to Connie Madeira who has served as Executive Secretary, Clerk, MYRA Representative and trophy tender, the last being the most thankless of all tasks. At the annual meeting I announced that the Flag Officers had voted unanimously to give her an Honorary Membership. She certainly deserves that, at the very least. Mr. Jarvis Cromwell, our Commodore from 1946 to 1947, loyal supporter of the Fleet and recipient of the Charles Dickey Memorial award in 1983 has very generously donated his Commodore's jacket to the Fleet for the use of future commodores. It was a very touching and thoughtful act and all of the Flag Officers thank him very much. Another new element of the summer was the weather. We had a dismal spell at the beginning of August, but for the most part we had a great deal of sunshine. Only two races were postponed both due to fog and several times it was warm enough for bathing suits! The Hayward Cup Race was smaller than usual as was the August Cruise, but the Cruise was great fun and we have even been invited back to Blue Hill for good behavior. Think about joining both of these events next summer. To those of you who donated to the Capital Campaign, I thank you again. 15 There is a dedicated group of people working hard to strengthen this special little club. Significant Accounting Policies The organization utilizes the accrual method of accounting. Investment in the Clifton Dock Corporation is represented by ownership of the outstanding shares of that corporation. Its book value was reported at $71,796 at September 30, 1990. Investment securities held in James G. Ducey Memorial Fund are carried at market value, which is below cost by $3,926 at September 30, 1990. 2.
