The purpose of said corporation is:
A Yacht Club for the promotion of yachting as an amateur sport at
Northeast Harbor in the Town of Mount Desert, Maine and its
vicinity.
THE NORTHEAST HARBOR FLEET
BY-LAWS
ARTICLE I
Membership
SECTION 1. Membership in The Northeast Harbor Fleet shall be
open to persons interested in yachting and shall be divided into five
classes, namely: Family Members, Individual Members, Junior
Members, Honorary Members, and Non-resident Members. The
Executive Committee may from time to time elect eligible persons to
one of these categories.
FAMILY MEMBERS. Any person or couple eligible for membership
in the Fleet and desirous of providing the privileges of membership for
their immediate family (spouse, children and grandchildren under 18)
who are living with them in their residence may become Family
Members. House guests of Family Members are entitled to use the
Fleet's facilities, but are not entitled to other privileges of membership.
INDIVIDUAL MEMBERS. Any eligible person 18 years of age or
over may become an Individual Member of the Fleet. The spouse,
children and house guests of Individual Members, when accompanied
by the member, are entitled to use the Fleet's facilities, but are not
entitled to other privileges of membership.
JUNIOR MEMBERSHIP. Any eligible person who has reached his
6th birthday and has not passed his 18th birthday may become a Junior
member of the Fleet. Junior Membership is required for participation
in the Junior Program, except that Junior Members may introduce as
guests other juniors, not part of their immediate family, staying with
them in their home, for one period each summer not to exceed one
week. Such guests may enjoy all the privileges of membership to which
the Junior Member is entitled except being listed in the Annual Report.

Junior guests whose stay in a member home is expected to exceed one
week and who are desirous of continuing the privileges of membership
must apply to become Junior Members. Junior Members are not
entitled to voting privileges. There shall be no dues for children of
Family Members.
HONORARY MEMBERS. Honorary Members shall be such
persons as the Executive Committee may from time to time elect to
Honorary Membership. There shall be no dues for Honorary
Membership.
NON-RESIDENT MEMBERS. In August of each year the Executive
Committee shall approve or disapprove, at its discretion, applications
for Non-resident Membership basing its decision on the following
criteria. The applicant must have had membership in the Fleet for five
(5) consecutive years preceding the application. The applicant must not
reside in or regularly visit the Mount Desert Island area during such
period of Non-resident Membership.
INITIATION FEE. Except in Junior and Honorary Membership,
there shall be an Initiation Fee for all new members of the Fleet, except
for former Junior Members who have not yet reached their 30th
birthday.
SECTION 2. Dues are payable July 1 and names of members with
dues unpaid by July 1 will be posted at the Fleet Headquarters. In no
event may members (including Junior Members) or their guests use
Fleet facilities or participate in Fleet activities without having paid the
appropriate member dues. Members with dues unpaid on August 31
will be dropped from the rolls.
SECTION 3. Any member who shall have paid all dues and charges
currently owed may resign upon written notice given to the Treasurer.
Upon termination of membership for any reason a member shall
forfeit to the Fleet all the benefits and privileges of membership and all
right, title and interest in and to the Fleet of any of its property.
SECTION 4. Membership shall not be transferrable unless, in the case
of the death of a member, the Executive Committee in its descretion
shall SO permit.
SECTION 5. A member may be expelled by majority vote of the
Executive Committee or a majority vote of the entire Fleet membership
at any duly convened meeting of said Committee or of members of said
Fleet, for failure to comply with the articles of incorporation, by-laws,
or any duly adopted policies, rules, or regulations of the Fleet, provided
that ten days written notice shall have been given to such member
setting forth the intention to propose his or her expulsion, the
specific reason therefor, and the right of the member to appear and
be heard in person or by counsel at the meeting at which such
expulsion shall be proposed.

ARTICLE II
Meetings of Members
SECTION 1. The annual meeting of the members shall be held at
Northeast Harbor, Maine, in the month of August or September in
each year on such day and at such hour and place as the Executive
Committee may determine. Special meetings of the members may be
called at any time, at the direction of the Commodore or of the
Executive Committee or at the written request of ten or more of the
members.
SECTION 2. Seven days' written notice of each meeting of the
members shall be sent to each voting member. If a meeting is
adjourned, it shall not be necessary to give any notice of the adjourned
meeting.
SECTION 3. Each voting member, which shall include all members
except Junior members, shall be entitled to one vote at every meeting
of the members.
SECTION 4. The election of officers and of members of the Race
Committee shall be by ballot. A majority of all the votes cast at a duly
organized meeting shall be necessary in all elections.
ARTICLE III
Officers
SECTION 1. The officers of the Fleet shall be a Commodore, a Vice
Commodore, a Clerk, a Treasurer, a Chairman of the Race Committee,
a Chairman of the House Committee, a Fleet Counselor, and such
other officers and assistant officers as may be deemed necessary or
advisable by the Executive Committee.
SECTION 2. With the exception of the Chairman of the Race
Committee and the Fleet Counselor, all Officers shall be elected by
the members at the annual meeting and shall hold office from the first
of October following their election for a period of one year or until
their successors are elected. No person shall be eligible for election
to any office at the annual meeting unless nominated in writing by five
members and filed with the Clerk not less than five days before the
annual meeting. All such nominations shall be posted on the bulletin
board of the Fleet Headquarters for the five days preceding such
meeting.
The Fleet Counselor shall be elected by the Executive Committee.
The Chairman of the Race Committee shall be appointed by the
Commodore from the existing members of the Race Committee.
SECTION 3. Any officers may be removed by the Executive
Committee whenever in its judgment the best interests of the Fleet
will be served thereby, and the Executive Committee shall have
power to fill any vacancies in any office, except that of Chairman of the

Race Committee (who shall be appointed by the Commodore),
occuring from whatever reason.
SECTION 4. The duties of the Commodore, Vice Commodore,
Rear Commodore, Clerk and Treasurer, shall be those usually
pertaining to the offices of President, Senior Vice President, Vice
President, Secretary and Treasurer, respectively. The Commodore
shall be an ex-officio member of all committees.
ARTICLE IV
Executive Committee
SECTION 1. The Executive Committee shall consist of the officers,
and of three other members appointed by the Commodore.
SECTION 2. The Executive Committee shall manage the affairs of
the Fleet, and except as otherwise provided by law, by the Charter or
by these By-Laws, shall exercise all powers of the Fleet. Specifically,
but without limitation, the Executive Committee shall have the
power and authority to hire and appoint an Executive Secretary and
Assistant Treasurer to perform those duties assigned by the Executive
Committee.
ARTICLE V
Race Committee
SECTION 1. The Race Committee shall consist of five elected
members, and the Commodore and Executive Secretary, if any, as
members of ex-officio. Except as otherwise provided in these By-
Laws, the ex-officio members shall be without vote. The elected
members shall be nominated and elected in the same manner, and
shall serve for the same term, as provided by these By-Laws with
respect to officers. Members of the Committee shall notify the
Chairman of the Committee prior to July 1st if unable to be at Mount
Desert Island for any part of the summer during which they have been
elected to serve, in which case their resignation shall become
automatic. The Commodore shall fill any vacancies which may occur
from whatever cause, and may in his discretion, at any time during the
summer when there are insufficient members of the Race Committee
present for the Race Committee to properly perform its assigned
duties, appoint additional members of the Race Committee.
SECTION 2. The management of all races shall be under the
direction of the Race Committee. All decisions of the Race Committee
shall be by majority vote of its members present, except that in case of
a tie, the Commodore may cast the deciding vote. The general
authority of the Committee is defined in The Yacht Racing Rules as
adopted by The U.S.S.A., Part II, Rule 1.2:

1. All races shall be arranged, conducted and judged by a Race
Committee under the direction of the sponsoring organization,
except as may be provided under rule 1.2. The Race Committee
may delegate the conduct of a race, the hearing and deciding of
protests or any other of its responsibilities to one or more
sub-committees which, if appointed, will hereinafter be included
in the term "Race Committee" wherever it is used.
ARTICLE VI
SECTION 1. The Nominating Committee shall be formed each year
to nominate candidates for office. The Committee shall consist of five
members, selected in the following manner:
Two members shall be the two most immediate past Commo-
dores willing to serve, with the most immediate such past
Commodore as Chairman. One additional member shall be
appointed by the current Commodore. Two other members
shall be appointed by the three members described above.
SECTION 2. It shall be the responsibility of the current Chairman of
the Nominating Committee to ascertain the two past Commodores
willing to serve on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each
office each year except Fleet Counselor and Race Committee
Chairman.
SECTION 4. No candidate for Office shall serve on the Nominating
Committee.
ARTICLE VII
Fleet Insignia And Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with
the arrow pointing northeast. It shall be drawn as shown in the
attached diagram.
SECTION 2. The Fleet burgee shall consist of a red pointed flag, the
hoist to be two-thirds of the length, with the Fleet insignia in blue of a
diameter equal to one-third of the length centered at a point
equidistant from the two longer sides of the flag and one-third of the
distance from the hoist to the end of the flag; the space between the
outer band and the central disk of the insignia to be white.
SECTION 3. Members of the Fleet shall have the right to fly the
Fleet burgee.

ARTICLE VIII
Fiscal Year
The fiscal year of the Fleet shall end on September 30.
ARTICLE IX
Amendments
These By-Laws may be amended by the Executive Committee or by
the members at any regular or special meeting duly convened after
seven days' written notice to the members of the Executive
Committee or the members of the Fleet as the case may be, of that
purpose; provided that within sixty (60) days after the adoption of
any amendment of these By-Laws by the Executive Committee,
written notice thereof shall be sent to each member.

REPORT OF THE COMMODORE
1993
Dear Fleet Members,
I will remember last summer as one of the most poignant in my 49
years of coming to this magical island. I am still amazed that I was
elected Commodore (the first woman) and that despite all the hard
work that comes with the job that I would be SO emotional about
relinquishing it. My commitment to the Fleet and its programs has
been sincere if chaotic but I hope that the extraordinary hard work
and collaborative efforts between the Flag Officers, Staff, Junior
Sailing Program, Long-Range Planning, Nominating, Race Commit-
tees, and work with the other clubs - tennis, swimming and golf,
culminating in the Quadrathlon has helped renew some enthusiasm
into our program. At our our annual meeting on September 3rd, I
really missed seeing the Fleet floor overflowing with children, but
because of the lateness of Labor Day we presented the awards a week
earlier. It was a marvelous event attended by many happy young
rowers and sailors and very proud parents.
Despite a relatively grey, cold, windless or too windy summer, we
made strides in becoming a stronger organization by combining a
more professional program intersperced with a variety of non-
competitive events. There are SO many people to thank for these
innovations, that instead of including them in this letter, they are
printed on page 18. They all get a huge heartfelt collective hug from
me. Every one of them has made a very important contribution to the
Fleet. The two most notable being the Summer Series Ocean Races
and the Wednesday evening races.
Earlier last summer I heard a rumor, and to my utmost despair found
out that it was true. Unfortunately for all of us, Andy Stephenson has
decided not to return as Executive Secretary next summer. In his
official letter of resignation to me dated September 9th he explained
coming to this decision SO he could spend more time with his wife
Becky and the need to take the necessary courses to earn his teaching
certification. He also added that the Fleet has done a lot for him in the
last three years and he has met some very generous and kind people,
and feels a strong commitment to our organization. I know we will all
miss him and wish him the best of luck, but are thankful that he is
willing to help train his successor and wants to continue to share in
the fun that the Fleet affords.
The choice to give the Charles D. Dickey Award is one of the
Commodore's privileges. It is given to a person who has shown

enormous interest in the Fleet over a long period of time. It has not
been awarded every year because its recipient must be really special,
but as last summer was my last chance, I couldn't resist the privilege.
The person I chose has been a clear-headed and wise member of the
Executive Committee on and off since 1965 and despite the fact that
he resigned the minute I became Commodore, he grew to be an
extremely supportive friend on land and competitor on sea. This
award came from my heart to someone who has given a lot of his
heart to the Fleet: Minot K. Milliken.
I can't resist mentioning two important people who aren't printed on
the list on page 18. These are my long suffering parents, Bayard and
Weasel Roberts. They have been incredibly generous landlords, hosts
and invaluable, energetic and patient advisors.
In conclusion I would also like to thank all of you for being SO
supportive of me. It would have been a lonely and formidable task
without it. To those members of the Executive Committee who will
no longer be serving officially, you have been a dedicated and superb
influence to us over the years - Harry Madeira, Constance Madeira,
Joseph Grant and Frances Smith. Words cannot express my gratitude.
I know that Alan McIlhenny, Jr., will do a superb job. You have all
received a letter from him outlining our new hopes and dreams, and I
look forward to continue working with him and the other members
of the Executive Committee. It has been a real honor to serve you and
I will always treasure the nickname - Hurricane Syd.

We have audited the accompanying statement of assets,
liabilities, and fund balances of the Northeast Harbor Fleet as of
September 30, 1992 and 1991, and the related statements of revenue,
expenses, and changes in fund balances and cash flows for the years
then ended. These financial statements are the responsibility of
management. Our responsibility is to express an opinion on these
financial statements based on our audits.
We conducted our audits in accordance with generally accepted
auditing standards. Those standards require that we plan and perform

Note 1 - Significant Accounting Policies
Income Recognition
The financial statements are presented on the accrual basis.
Cash and Cash Equivalents
All cash is held in liquid checking, money market or savings
deposits.
Inventories
Supplies and resale items are carried at cost, determined by the
first-in, first-out method.
Depreciation
Plant and equipment are recorded at cost and are depreciated at
rates calculated to amortize the original cost over the useful lives of
the respective assets on a straight-line basis.

Investment - Clifton Dock Corporation
Northeast Harbor Fleet owns all the outstanding stock of Clifton
Dock Corporation which engages in waterfront service activities and
is taxable as a C Corporation under federal and state income tax rules.
The Fleet pays mooring fees to Clifton and also furnishes certain
contract labor for it. Clifton's Book value was reported at $55,749 at
September 30, 1992.
Investment - Memorial Fund
Investments in the James G. Ducey Memorial Fund had an
aggregate cost and market value of $27,254 and $27,264 at September
30, 1992, and in accordance with Fleet policy are stated at market
value.

Income Taxes
The Fleet is a tax exempt entity under Section 501(c)(7) of the
Internal Revenue Code and, accordingly, is not subject to Federal
Tax. However, the Fleet is subject to Federal income tax on its
unrelated trade or business income of $1,000 or more. Interest
income of $1,362 was taxable for 1992.
