The purpose of said corporation is:
A Yacht Club for the promotion of yachting as an amateur sport at
Northeast Harbor in the Town of Mount Desert, Maine and its
vicinity.
THE NORTHEAST HARBOR FLEET
BY-LAWS
ARTICLE I
Membership
SECTION 1. Membership in The Northeast Harbor Fleet shall be
open to persons interested in yachting and shall be divided into six
classes, namely: Family Members, Individual Members, Intermediate
Members, Junior Members, Honorary Members, and Non-resident
Members. The children, grandchildren and great-grandchildren of
Family Members who have not yet reached their 21st birthday are
termed "Family Juniors" but are not considered to be a category of
membership.
The Executive Committee may from time to time elect eligible
persons to one of the six categories of membership. Former members
or Family Juniors in good standing may reactivate a lapsed
membership within five years by applying directly to the Fleet
Secretary. Other eligible candidates for Family Member, Individual
Member and Intermediate Member must be proposed by and
seconded by letters from members who are not junior members of
the Fleet. Nominating letters are sent by mail or delivered by hand to
the Northeast Harbor Fleet, Northeast Harbor, Maine 04662. Eligible
candidates for Junior Membership require no supporting letters, but
must be proposed by an adult who will be responsible for paying the
dues and fees incurred by the Junior. The rules for Honorary
Members and Non-resident members are defined below.
FAMILY MEMBERS. Any person or couple eligible for membership
in the Fleet and desirous of providing the privileges of membership
for themselves and their children and/or grandchildren under 21
who are living with them in their residence may be elected Family
Members. The children, grandchildren and great-grandchildren of
family members who are under 21 are exempt from paying dues and

are termed 'Family Juniors' and are entitled all the privileges ofJunior
Members. House guests of Family Members when accompanied by a
member, are entitled to use the Fleet's facilities, but are not entitled
to other privileges of membership.
INDIVIDUAL MEMBERS. Any eligible person 30 years of age or over
may be elected an Individual Member of the Fleet. The spouse,
children and house guests of Individual Members, when
accompanied by the member, are entitled to use the Fleet's facilities,
but are not entitled to other privileges of membership.
INTERMEDIATE MEMBERS. Any eligible person who has reached
his or her 21st birthday but has not yet reached his or her 30th
birthday may be elected an Intermediate Member of the Fleet. A
Junior Member or Family Junior may become an Intermediate
Member without application by notifying the Fleet and paying the
dues amount for Intermediate Membership on or before his or her
22nd birthday. The spouse, children and house guests of
Intermediate Members, when accompanied by the member, are
entitled to use the Fleet facilities but are not entitled to other
privileges of membership. Children of Intermediate Members not
otherwise covered under a Family Membership must apply to
become Junior Members to participate in the Junior Program.
JUNIOR MEMBERSHIP. Any eligible person who has reached his or
her 6th birthday and has not passed his or her 21st birthday may
become a Junior member of the Fleet. Junior Membership is required
for participation in the Junior Program. Junior house guests of Junior
Members are entitled to use the Fleet facilities including
participation in the Junior Program for a period up to one week, but
are not entitled to other privileges of membership. House guests of
Junior Members who are desirous of continuing the privileges of
membership beyond one week must apply to become Junior
Members. Junior Members are not entitled to voting privileges.
HONORARY MEMBERS. Honorary Members shall be such persons
as the Executive Committee may from time to time elect to Honorary
Membership. There shall be no dues for Honorary Membership.
NON-RESIDENT MEMBERS. Persons having been a member of the
Fleet or a Family Junior for a minimum of five consecutive years and
who reside more than one hundred miles from Mount Desert Island
and intend to spend less than two weekends or five days in the Mount
Desert Island area during the period beginning July 1st and ending on
Labor Day in any given year, may opt to become Non-resident
Members for a period of up to five consecutive years before their
membership lapses. Non-resident Members may not use the Fleet
facilities and are not entitled to voting privileges.
INITIATION FEE. The Executive Committee may establish an
initiation fee that shall be paid by new Family and Individual members
of the Fleet and those former members whose membership has

lapsed for more than five years. Intermediate Members who have not
previously been Junior Members or Family Juniors shall pay the
applicable initiation fee upon reaching their 30th birthday. An
initiation fee is not required for Junior Members or Family Juniors.
SECTION 2. Annual dues for the six categories of membership shall
be set by the Executive Committee. Dues are payable within 30 days
of invoice. A member whose dues remain unpaid on July 1st is subject
to having his or her name posted at the Fleet until all outstanding
invoices have been paid. A boat will only be scored in a Fleet race or
event once the dues and/or initiation and entry fees (if any) have
been paid. A race entered prior to payment shall be scored as a DNS.
Members whose dues are unpaid by August 31st will have their names
dropped from the membership roles and may be reinstated as
members at the discretion of the Executive Committee once their
outstanding invoices have been paid.
SECTION 3. Any member who shall have paid all dues and charges
currently owed may resign upon written notice given to the
Treasurer. Upon termination of membership for any reason a
member shall forfeit to the Fleet all the benefits and privileges of
membership and all right, title and interest in and to the Fleet of any of
its property.
SECTION 4. Membership shall not be transferrable unless, in the
case of the death of a member, the Executive Committee in its
descretion shall SO permit.
SECTION 5. A member may be expelled by majority vote of the
Executive Committee or a majority vote of the entire Fleet
membership at any duly convened meeting of said Committee or of
members of said Fleet, for failure to comply with the articles of
incorporation, by-laws, or any duly adopted policies, rules, or
regulations of the Fleet, provided that ten days written notice shall
have been given to such member setting forth the intention to
propose his or her expulsion, the specific reason therefor, and the
right of the member to appear and be heard in person or by counsel at
the meeting at which such expulsion shall be proposed.
ARTICLE II
Meetings of Members
SECTION 1. The annual meeting of the members shall be held at
Northeast Harbor, Maine, in the month of August or September in
each year on such day and at such hour and place as the Executive
Committee may determine. Special meetings of the members may be
called at any time, at the direction of the Commodore or of the
Executive Committee or at the written request of ten or more of the
members.
SECTION 2. Seven days' written notice of each meeting of the
members shall be sent to each voting member. If a meeting is
adjourned, it shall not be necessary to give any notice of the

adjourned meeting.
SECTION 3. Each voting member, which shall include all members
except Junior members, shall be entitled to one vote at every meeting
of the members.
SECTION 4. The election of officers and of members of the Race
Committee shall be by ballot. A majority of all the votes cast at a duly
organized meeting shall be necessary in all elections.
ARTICLE III
Officers
SECTION 1. The officers of the Fleet shall be a Commodore, a Vice
Commodore, a Clerk, a Treasurer, a Chairman of the Race
Committee, a Chairman of the House Committee, a Fleet Counselor,
and such other officers and assistant officers as may be deemed
necessary or advisable by the Executive Committee.
SECTION 2. With the exception of the Chairman of the Race
Committee and the Fleet Counselor, all Officers shall be elected by
the members at the annual meeting and shall hold office from the first
of October following their election for a period of one year or until
their successors are elected. No person shall be eligible for election
to any office at the annual meeting unless nominated in writing by five
members and filed with the Clerk not less than five days before the
annual meeting. All such nominations shall be posted on the bulletin
board of the Fleet Headquarters for the five days preceding such
meeting.
The Fleet Counselor shall be elected by the Executive Committee.
The Chairman of the Race Committee shall be appointed by the
Commodore from the existing members of the Race Committee.
SECTION 3. Any officers may be removed by the Executive
Committee whenever in its judgment the best interests of the Fleet
will be served thereby, and the Executive Committee shall have
power to fill any vacancies in any office, except that of Chairman of
the Race Committee (who shall be appointed by the Commodore),
occuring from whatever reason.
SECTION 4. The duties of the Commodore, Vice Commodore,
Rear Commodore, Clerk and Treasurer, shall be those usually
pertaining to the offices of President, Senior Vice President, Vice
President, Secretary and Treasurer, respectively. The Commodore
shall be an ex-officio member of all committees.
ARTICLE IV
Executive Committee
SECTION 1. The Executive Committee shall consist of the officers,
and of three other members appointed by the Commodore.
SECTION 2. The Executive Committee shall manage the affairs of
the Fleet, and except as otherwise provided by law, by the Charter or

by these By-Laws, shall exercise all powers of the Fleet. Specifically,
but without limitation, the Executive Committee shall have the
power and authority to hire and appoint an Executive Secretary and
Assistant Treasurer to perform those duties assigned by the Executive
Committee.
ARTICLE V
Race Committee
SECTION 1. The Race Committee shall consist of not less than five
elected members, and the Commodore and Executive Secretary, if
any, as members of ex-officio. Except as otherwise provided in these
By-Laws, the ex-officio members shall be without vote. The elected
members shall be nominated and elected in the same manner, and
shall serve for the same term, as provided by these By-Laws with
respect to officers. Members of the Committee shall notify the
Chairman of the Committee prior to July 1st if unable to be at Mount
Desert Island for any part of the summer during which they have been
elected to serve. The Commodore shall fill any vacancies which may
occur from whatever cause, and may in his discretion, at any time
during the summer when there are insufficient members of the Race
Committee present for the Race Committee to properly perform its
assigned duties, appoint additional members of the Race Committee.
SECTION 2. The management of all races shall be under the
direction of the Race Committee. All decisions of the Race
Committee shall be by majority vote of its members present, except
that in case of a tie, the Commodore may cast the deciding vote. The
general authority of the Committee is defined in The Yacht Racing
Rules as adopted by The U.S.S.A., Part II, Rule 1.2:
1. All races shall be arranged, conducted and judged by a Race
Committee under the direction of the sponsoring organization,
except as may be provided under rule 1.2. The Race Committee
may delegate the conduct of a race, the hearing and deciding of
protests or any other of its responsibilities to one or more
sub-committees which, if appointed, will hereinafter be
included in the term "Race Committee" wherever it is used.
ARTICLE VI
SECTION 1. The Nominating Committee shall be formed each year
to nominate candidates for office. The Committee shall consist of five
members, selected in the following manner:
Two members shall be the two most immediate past Commo-
dores willing to serve, with the most immediate such past
Commodore as Chairman. One additional member shall be
appointed by the current Commodore. Two other members
shall be appointed by the three members described above.
SECTION 2. It shall be the responsibility of the current Chairman of

the Nominating Committee to ascertain the two past Commodores
willing to serve on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each
office each year except Fleet Counselor and Race Committee
Chairman.
SECTION 4. No candidate for Office shall serve on the Nominating
Committee.
ARTICLE VII
Fleet Insignia And Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with
the arrow pointing northeast. It shall be drawn as shown in the
attached diagram.
SECTION 2. The Fleet burgee shall consist of a red pointed flag, the
hoist to be two-thirds of the length, with the Fleet insignia in blue of a
diameter equal to one-third of the length centered at a point
equidistant from the two longer sides of the flag and one-third of the
distance from the hoist to the end of the flag; the space between the
outer band and the central disk of the insignia to be white.
SECTION 3. Members of the Fleet shall have the right to fly the
Fleet burgee.
ARTICLE VIII
Fiscal Year
The fiscal year of the Fleet shall end on September 30.
ARTICLE IX
Amendments
These By-Laws may be amended by the Executive Committee or by
the members at any regular or special meeting duly convened after
seven days' written notice to the members of the Executive
Committee or the members of the Fleet as the case may be, of that
purpose; provided that within sixty (60) days after the adoption of
any amendment of these By-Laws by the Executive Committee,
written notice thereof shall be sent to each member.

Commodore's Report
1994
Dear Members of the Northeast Harbor Fleet
I attended the National Junior Sailing Symposium last October in
Houston, Texas. The Symposium is an annual event organized by U.S.
Sailing that brings together people from all over the country who are
interested in the benefits of teaching children how to sail. A broad
array of topics was covered in a lively manner over the course of 31/2
days. It was a great opportunity to learn new ideas and share
experiences with sailors representing clubs that run the gamut from
small community sailing associations operating out of someone's
home to very large and fancy clubs with guards at the gate. The host
of the symposium, the Houston Yacht Club, was one of the latter.
What all these people and clubs shared was a very strong belief in
junior sailing. No one thought sailing was easy to teach, or that junior
programs didn't cause themselves or their clubs a variety of
headaches. But we all agreed that it was hard to think of an activity
that brings joy for a lifetime, teaches and demands responsibility, and
allows girls and boys to compete as equals any better than sailing
does.
While the Northeast Harbor Fleet has always believed strongly in
the importance of teaching sailing to our children, junior sailing was
quite new to many of the yacht clubs represented in Houston. And it
was very much an afterthought for these clubs in terms of budget
dollars and prestige. I think we've had our priorities right for a long
time. The Fleet has one of the largest and best equipped junior
programs in the nation, and we should all be very proud of that.
What we don't have is enough time with the children. When I
was the Executive Secretary 15 years ago we had more time because
the kids were in Northeast Harbor longer, or at least that is my
recollection. Now we have many children who come to sailing class
for only a week or two. They may come summer after summer, but
they spend half their time relearning what they learned the year
before and only make a little progress. Then they get to be 12 or 14,
and many get discouraged that after all of those summers in sailing
class they still don't really know what they are doing. So they quit and
try something easy, like golf, or tennis, or sitting by the pool.
I'm sure you'd like me to tell you now that you all have to take
longer vacations in Northeast Harbor with your children SO that they
can spend more time learning how to sail, and that I've made it
possible for you. Sorry. But what the Junior Sailing Committee has
been working on is a consistent curriculum that has discrete building
blocks, if you will. So that when your child comes to class for the first
time each summer, even though the instructor may be new, the

curriculum is not. And your child will know, and we'll have the
records to remind her, what skills she had mastered and what the
next ones were that she needed to learn. The new curriculum, when
fully implemented, should permit us to use your child's time more
productively. If it succeeds, we'll have more kids out racing, and a
better and stronger Fleet.
Our children have less time for sailing class because many of us
have less time for Maine vacations. What used to be the yacht club of a
summer resort is now a club that draws many of its most active and
enthusiastic racers from the year-round community. And many of us
who used to be called summer residents are now better described as
summer visitors. These changes are forcing the Fleet to adapt in ways
that go beyond the Junior Program. Last summer we experimented,
successfully, with the schedule of the August Cruise SO that we could
attract cruising boats from Blue Hill, Deer Isle and points beyond to
join our diminished number of cruiser-racers. Next summer we are
going to schedule more of our special races - the Seaman's, the W.
Barton Eddison, etc. - on Sundays SO that those who can't race
during the week will have the opportunity to participate. (Last
summer we were forced to reschedule the July single-handed race
because no one showed up on the Thursday it was originally planned
for.) In recent years we've tried adding an awards ceremony at the
end of July to accommodate those who wouldn't be around for the
Annual Meeting in late August. That was a good idea whose time has
yet to come, judging by the attendance.
The Fleet has to keep changing to meet the changing needs of its
members. But we have a very special club and we have to be careful
to preserve those qualities that make it special. The Houston Yacht
Club was very grand, and it had a beautiful pool and an elegant dining
room, but it didn't have the soul the Fleet has. It was too formal and
sterile. But it does fill a larger social role than the Fleet does, and
demands may grow in the future for the Fleet to offer more than
post-race teas that end at five o'clock. It is for reasons such as these
that we have in recent years institutionalized a long-range planning
function in the management of the club. By carefully thinking about
the future of the club we can make reasoned decisions. I encourage
all of you to participate in this effort by sharing your ideas and
concerns with the flag officers, or other members of the Long-Range
Planning Committee.
The Northeast Harbor Fleet celebrated (quietly) its 70th
anniversary last summer. No club can reach a major milestone like
that without the love and dedication of many people. My sincere
thanks go out to all of the staff who worked SO hard to teach our
children and run our races. My thanks go, too, to all of you who
volunteered SO much time and talent to the Fleet. (Please take a
moment to look at the long list of volunteers on page 20 who served

on committees, and otherwise helped all of us.) In particular, I'd like
to thank Fred Towers for serving as Chairman of the Race Committee
for SO many years, and Wayne Wibby for his many years of service on
the Executive Committee. I'd also like to give special thanks to John
Torgersen, who served as our Executive Secretary last summer. John
worked hard and didn't always get the credit he deserved.
Management problems that the Fleet has had to a certain extent
since Phil Caughey retired came to a head last summer. We did a poor
record-keeping job and our revenues suffered as a result. In response
to these difficulties, Vice Commodore Chace led a thorough review
of our management organization this fall with the help of Debby Lash,
myself and others. Because of this review, the job description of the
Executive Secretary has been rewritten. Many of the record-keeping
and communication responsibilities that used to be part of that job
will be shifted to a new Administrative Secretary. Our goal is to make
it far easier for all of you to deal with the Fleet.
Next September, after most of the usual activities of the Fleet
have ended, the Fleet will again play host to the International One-
Design Class World Championship. It is an honor for us to do so, and
a testament to the continued strength of a class that I thought was on
its last legs when I was Executive Secretary. Even though the regatta
won't be until September, there is a lot that we can all do to help
prepare for it. Please help Sydney Rockefeller and the other
organizers of the event if they call upon you. Let's put on a good show
for our guests!
Having pitched the IOD class, I now want to put in a strong plea
in behalf of our other racing classes. While the IOD class has
strengthened over the past 15 years, our other classes have
weakened. The Fleet will be stronger overall, and better able to
attract new skippers and crews, if we have a more versatile and less
expensive boat to complement the IOD's. For many years the J/24
filled that role, and it is possible that it will continue to do SO.
Introducing a new class is not an easy thing to do, as former Soling
sailors can attest. No one boat will completely satisfy everyone. But
after reviewing a variety of boats the consensus supports the J/22 as
the best design for the job - it is less expensive, easier to sail and
requires a smaller crew than the 24 - and there is already a nucleus
of a strong new class out racing. Five J/22's sailed in the Labor Day
series. Thanks to the generosity of several J/22 owners our more
experienced junior sailors will get the opportunity to sail these boats
this summer. I hope these young sailors and their families will go on
to become regular participants in the class. We need another strong
one-design fleet to bridge the gap between the Mercuries and the
Internationals.

Finally, as the snow piles up and the ice dam on my roof grows, I
can't think back on last summer and the Fleet without sadness. Polly
McIlhenny, my mother, died unexpectedly in late October shortly
after I returned from Houston. She epitomized for me, and I think for
many others, much of what the Northeast Harbor Fleet is all about.
She loved to sail and race, and did SO almost every summer of her life;
she took a very genuine pleasure in teaching youngsters how to sail
and took pride in their success; and she was always interested in the
life of the Fleet: the friends she'd see at teas, the new sailing
instructors each year, the policies and politics. The Northeast Harbor
Fleet was always very important for her. I know she will miss the
Fleet, and I think the Fleet will miss her. I have taken the liberty of
dedicating this annual report to her memory.

We have audited the accompanying statement of assets,
liabilities, and fund balances of the Northeast Harbor Fleet as of
September 30, 1993 and 1992, and the related statements of revenue,
expenses, and changes in fund balances and cash flows for the years
then ended. These financial statements are the responsibility of
management. Our responsibility is to express an opinion on these
financial statements based on our audits.
We conducted our audits in accordance with generally accepted
auditing standards. Those standards require that we plan and
perform the audits to obtain reasonable assurance about whether the
financial statements are free of material misstatement. An audit
includes examining, on a test basis, evidence supporting the amounts
and disclosures in the financial statements. An audit also includes
assessing the accounting principles used and significant estimates
made by management, as well as evaluating the overall financial
statement presentation. We believe that our audits provide a

Note 1 - Significant Accounting Policies
Income Recognition
The financial statements are presented on the accrual basis.
Cash and Cash Equivalents
All cash is held in liquid checking, money market or savings
deposits.
Inventories
Supplies and resale items are carried at cost, determined by the
first-in, first-out method.
Depreciation
Plant and equipment are recorded at cost and are depreciated at
rates calculated to amortize the original cost over the useful lives of
the respective assets on a straight-line basis.

Investment - Clifton Dock Corporation
Northeast Harbor Fleet owns all the outstanding stock of Clifton
Dock Corporation which engages in waterfront service activities and
is taxable as a C Corporation under federal and state income tax rules.
The Fleet pays mooring fees to Clifton and also furnishes certain
contract labor fot it. Clifton's book value was reported at $55,749 at
September 30, 1993.
Investment - Memorial Fund
Investments in the James G. Ducey Memorial Fund had an
aggregate cost and market value of $28,202 and $28,625 at September
30, 1993, and in accordance with Fleet policy are stated at market
value.

Income Taxes
The Fleet is a tax exempt entity under Section 501 (c)(7) of the
Internal Revenue Code and, accordingly, is not subject to Federal
Tax. However, the Fleet is subject to Federal income tax on its
unrelated trade or business income of $1,000 or more. Interest
income of $1,226 was taxable for 1993.
