THE COMMODORE'S REPORT
The S.S. Northeast Harbor Fleet has completed yet another two year voyage,
and in true nautical fashion she will soon set sail with a new Captain. Thus, it
is up to her current Captain to reflect on the voyage and summarize the past
two years.
First, I would like to thank the crew. Vice Commodore Jim Lash and Rear
Commodore David Rockefeller, Jr. provided continuous backup and support.
Our treasurer Chris Hutchins, completes an extraordinary seven years in the
purser's office. On the Executive Committee with these gentlemen were Bob
Brown who is on the Junior Sailing Committee, Buildings & Grounds Chair Gail
Cook, House Committee Chair Mimi Heckman, John Kelly Counsel, Alan
Mcllhenny, Jr. N:S.A. Representative, Race Committee Chair John Roberts,
Chris van Heerden Clerk, and Sandro Vitelli Head of the Watercraft Committee.
We could not have asked for a better lot.
Our permanent staff of Assistant Treasurer Kay Graves, Administrative
Manager Kathleen Slack, and Properties Manager Roy Hadlock, however, are
the ones who really kept the ship afloat. As Cruise Director, Pat Gilbert became
an indispensible provider of enjoyment to all. What a great pleasure it was that
we were lucky enough to have her for two years! How much she will be
missed!
In Race Management, Matt Evans set some of the finest courses we have
ever seen in these parts, and doubled the size of the Junior Racing Program.
And Laura Welles ran a superb program for the Beginners and Intermediates.
Following five years of intensive planning and re-working, the Junior Sailing
Program under the leadership of these two reached new heights. As a measure
of its success, this year we finished third in the Sears Cup eliminations, and
won the Seal Harbor Regatta, and the Southwest Harbor Regattas. Further, our
own Sam Cocks finished fourth overall and first in the Junior division in the
Mercury National Championships. It was an impressive record.
We were fortunate to have Ashley Light as Rowing Master in July and Tacy
Connell came back as August Rowing Master, and Wallace Pooler did an extra-
ordinary job as Launch Captain.
In the Cruising Class we had an impressive Down East Race Week with 14
boats competing. The MDI Series now draws six to eight boats in each of the
four races. This compares to three years ago when there were three boats on
the August Cruise and all other events were cancelled for lack of interest. In the
IOD class, up to 18 boats raced this year, down slightly because three of our
best sailors were taking a year off. In the J-24 Class we held a successful State
Championship Regatta; although the J-22 class is struggling, it competes fierce-
ly every Saturday.
This was a Mercury year. Following up on the ideas and hard work of Class
Captain Toby Elliman and Bob Brown, we held the first National Championship
in several years. The Regatta drew 27 boats. Sparked by this interest, up to eight
Mercuries raced in the July Series and four in August. Two years ago, no boats
qualified in either July or August. Thus, we are bringing the Mercuries back.
We also held our first Optimist Regatta with over 20 competitors coming from
as far away as Camden.

At the very end of the summer we heard the news that Charles Butt on
Volador had won an impressive victory in the New York Yacht Club Cruise, and
our own Northeast Harbor crews retrieved the Red Gauntlet challenge trophy
by winning an impressive three out of three team races against Kollegwidgwok.
On the social front, the opening picnic is now an established tradition with
over 150 members attending. As with last year, we held two Fleet Nights, one
to honor the Mercury Class, and another to listen to David Rockefeller, Jr. It is
significant that all four of these events have drawn over 100 members and
guests each.
No voyage can be successful without the passengers and we, the crew, have
a lot to thank you for. You have contributed over $100,000 toward needed
repairs and maintenance. We have a new parking lot, a new addition to the club
house, a new tool shed, a rebuilt Captain's Shack, a new gangplank, and over
$50,000 has been spent on the boats. Under the leadership of Sandro Vitelli and
Bob Brown, the Mercuries are completely re-rigged and have new sails. We have
added a new whaler, repaired all the rest of them and spent close to $15,000
upgrading the Shearwater. Are we better off? Yes! However, the real stars are
you the membership for making it possible. At the annual meeting, I asked the
Officers and Staff to join me in giving you the round of applause you SO richly
deserve.
Thus, I turn over the Con to my successor with the confidence that he gets
a ship shape vessel. I have the greatest respect for Jim. I know he will do a good
job. Please join me in wishing him well. I hand over the keys with a salute and
the time honored Navy phrase, "I stand relieved, Sir."

By Certificate of Organization of a Corporation under the general Law of

The purpose of said corporation is:
A Yacht Club for the promotion of yachting as an amateur sport at
Northeast Harbor in the Town of Mount Desert, Maine and its vicinity.
BY-LAWS
Article I - Membership
SECTION 1. Membership in the Northeast Harbor Fleet shall be open to
persons interested in yachting and shall be divided into six classes, namely:
Family Members, Individual Members, Intermediate Members, Junior Members,
Honorary Members and Non-Resident Members.
The Executive Committee, or its designee(s), may from time to time elect
eligible persons to one of the six classes of membership. Candidates for mem-
bership must be nominated and seconded for membership by letters from adult
Fleet members in good standing.* The nominating and seconding letters should
be addressed to the Executive Committee, The Northeast Harbor Fleet,
Northeast Harbor, Maine 04662. Eligible candidates for Junior Membership
require no supporting letters, but must be proposed by an adult who will be
responsible for paying the dues and fees incurred by the Junior Member. A for-
mer member in good standing* may re-activate a lapsed membership by appli-
cation to the Fleet Secretary.
* "In good standing" means that all dues and fees for current and prior years
have been paid in full.
HONORARY MEMBERS - Honorary Members shall be such persons as the
Executive Committee may from time to time elect to Honorary Membership.
Honorary Members are entitled to full privileges of membership. There are no
dues for Honorary Members.
FAMILY MEMBERS - Any person or couple otherwise eligible for mem-
bership may be elected to Family Membership of the Fleet. Family
Membership extends the privileges of Junior Membership without the payment
of additional dues, to the children, grandchildren and great-grandchildren
residing in the summer residence of a Family Member who have reached their
6th birthday but have not reached their 21st birthday. Family membership is
required when more than one individual in a family unit consisting of a head of
household, his or her spouse and/or their children is desirous of membership.
INDIVIDUAL MEMBERS - Any eligible person who has reached his or her
30th birthday may be elected an Individual Member of the Fleet. An Individual
Member of the Fleet may become a Family Member without application by noti-
fying the Fleet and paying the dues for that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has reached his or
her 21st birthday but has not yet reached his or her 30th birthday may be elect-
ed an Intermediate Member of the Fleet. Intermediate Members may become
Individual Members or Family Members when they reach their 30th birthday
without application by notifying the Fleet Secretary and paying the dues for the
desired class of membership. Intermediate Members who wish to extend the
privileges of membership to their spouses and or children shall become a

Family Member of the Fleet.
JUNIOR MEMBERS - Any eligible person who has reached his or her 6th
birthday and has not passed his or her 21st birthday may be elected to Junior
Membership. Junior Membership is also extended to children otherwise eligi-
ble for membership as part of a Family Membership. Except for certain house
guests (see below) Junior Membership or Family Membership is required for
those participating in the Junior Sailing Programs of the Fleet. Junior Members
may become Intermediate Members or Family Members when they reach their
21st birthdays without application by notifying the Fleet Secretary and paying
the dues for the appropriate class of membership.
NON-RESIDENT MEMBERS - A person who has been a member of the
Fleet for five consecutive years or more may become a Non-Resident Member
without application by notifying the Fleet. Non-Resident Membership is avail-
able to those who live more than 150 miles from the Fleet and who do not
spend more than five days on Mount Desert Island during the period from July
first to Labor Day. Non-Resident Members have no voting privileges and are not
entitled to participate in Fleet events or use the Fleet facilities.
GUESTS The Northeast Harbor Fleet welcomes the crews and house
guests of its members when they are accompanied by the member and abide by
Fleet regulations. House guests of members may participate in the Adult and
Junior Sailing Program(s) of the Fleet for a period of up to one week, provided:
1. They are sponsored by the member; 2. There is space in the program; 3.
They meet such eligibility requirements as the Fleet may from time to time have
in effect for the programs, and 4. They pay the applicable activity fees. House
guests desirous of continuing their association with the Fleet for more than one
week shall apply for an appropriate membership. The facilities and moorings
of the Fleet are restricted to use by members only, except upon invitation of
the Fleet to non-members participating in Fleet sponsored events.
INITIATION FEE - The Executive Committee may establish an initiation fee
that shall be paid by new Family and Individual Members of the Fleet and those
former members whose membership has lapsed for more than five years.
Intermediate Members who have not previously been Junior Members shall pay
the applicable initiation fee upon reaching their 30th birthday. An initiation
fee is not required for Junior Members or family Juniors.
SECTION 2. Annual dues for the six classes of membership shall be set by
the Executive Committee. Dues are payable within 30 days of invoice. A mem-
ber whose dues remain unpaid on July 1st is subject to having his or her name
posted at the Fleet until outstanding invoices have been paid. A boat will only
be scored in a Fleet race or event once the outstanding dues and/or entry fees
(if any) have been paid. A race entered prior to payment shall be scored a DNS.
Members whose dues are unpaid by August 31st will have their names dropped
from the membership rolls, and may be reinstated as members at the discretion
of the Executive Committee once their outstanding invoice(s) have been paid.
SECTION 3. Any member who shall have paid all dues and charges cur-
rently owed may resign upon written notice given to the Treasurer. Upon ter-
mination of membership for any reason, a member shall forfeit to the Fleet all
the benefits and privileges of membership and all rights, titles and interest in
and to the Fleet of any of its property.
SECTION 4. Membership shall not be transferable unless, in the case of
death of a member, the Executive Committee in its discretion shall SO permit.
SECTION 5. A member may be expelled by majority vote of the Executive

Committee or a majority vote of the entire Fleet Membership at any duly
convened meeting of said Committee or members of the Fleet, for failure to
comply with the articles of incorporation, by-laws, or any duly adopted poli-
cies, rules or regulations of the Fleet, provided that ten days written notice shall
have been given to such member setting forth the intention to propose his or
her expulsion, the specific reason thereof, and the right of the member to
appear and be heard in person or by counsel at the meeting at which such
expulsion shall be proposed.
Article II - Meetings of Members
SECTION 1. The annual meeting of the members shall be held at Northeast
Harbor, Maine in the month of August or September in each year on such day
and at such hour and place as the Executive Committee may determine.
Special meetings of the members may be called at any time, at the direction of
the Commodore or of the Executive Committee or at the written request of ten
or more members.
SECTION 2. Seven days written notice of each meeting of the members
shall be sent to each voting member. If a meeting is adjourned, it shall not be
necessary to give any notice of the adjourned meeting.
SECTION 3. Each voting member, which shall include all members except
Junior Members, shall be entitled to one vote at every meeting of the members.
SECTION 4. The election of officers and of members of the Race
Committee shall be by ballot. A majority of all the votes cast at a duly organized
meeting shall be necessary in all elections.
Article III - Officers
SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice
Commodore, a Rear Commodore, a Clerk, a Treasurer, a Chairman of the Race
Committee, a Chairman of the House Committee, a Fleet Counselor, and such
other officers and assistant officers as may be deemed necessary and advisable
by the Executive Committee.
SECTION 2. With the exception of the Chairman of the Race Committee
and the Fleet Counselor, all officers shall be elected by the members of the Fleet
at the annual meeting and shall hold office from the first of October following
their election for a period of one year, or until their successors are elected. No
person shall be eligible for election to any office at the annual meeting unless
nominated in writing by five members and filed with the clerk not less than five
days before the annual meeting. All such nominations shall be posted on the
bulletin board of the Fleet for the five days preceding such meeting.
SECTION 3. Any officers may be removed by the Executive Committee
whenever, in its judgment, the best interests of the Fleet will be served there-
by, and the Executive Committee shall have the power to fill any vacancies in
any office, except that of Chairman of the Race Committee (who shall be
appointed by the Commodore), occurring from whatever reason.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining to the
offices of President, Senior Vice president, Vice President, Secretary and
Treasurer, respectively. The Commodore shall be an ex-officio member of all
committees.

Article IV - Executive Committee
SECTION 1. The Executive Committee shall consist of the officers, and of
three other members appointed by the Commodore.
SECTION 2. The Executive Committee shall manage the affairs of the Fleet,
and except as otherwise provided by law, by the Charter or by these By-Laws,
shall exercise all powers of the Fleet. Specifically but without limitation, the
Executive Committee shall have the power and authority to hire and appoint
an Executive Secretary and Assistant Treasurer to perform those duties
assigned by the Executive Committee.
Article V - Race Committee
SECTION 1. The Race Committee shall consist of no less than five elected
members and the Commodore and Executive Secretary, if any, as members ex-
officio. Except as otherwise provided in these by-laws, the ex-officio members
shall be without vote. The elected members shall be nominated and elected in
the same manner, and shall serve for the same term, as provided by these by-
laws with respect to officers. Members of the Committee shall notify the
Chairman of the Committee prior to July 1st if they are unable to be at Mount
Desert Island for any part of the summer during which they have been elected
to serve. The Commodore shall fill any vacancies which may occur from what-
ever cause, and may, at his/her discretion, at any time during the summer when
there are insufficient members of the Race Committee present for the race
Committee to properly perform its assigned duties, appoint additional mem-
bers of the Race Committee.
SECTION 2. The management of all races shall be under the direction of
the Race Committee. All decisions of the Race Committee shall be by the
majority vote of its members present, except that in the case of a tie, the
Commodore may cast the deciding vote, except as modified by these By-laws,
or by Sailing Instructions applicable to specific events, the general authority of
the Race Committee is defined in the Yacht Racing Rules as adopted by the
United States Sailing Association.
Article VI - Nominating Committee
SECTION 1. The Nominating Committee shall be formed each year to
nominate candidates for office. The Committee shall consist of five members,
selected in the following manner:
Two members shall be the two most immediate past Commodores willing
to serve, with the most immediate past Commodore as Chairman. One
additional member shall be appointed by the current Commodore. Two
other members shall be appointed by the three members described above.
SECTION 2. It shall be the responsibility of the current Chairman of the
Nominating Committee to ascertain the two past Commodores willing to serve
on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office
each year, except Fleet Counselor and Race Committee Chairman.
SECTION 4. No candidate for office shall serve on the Nominating Com-
mittee.
Article VII - Fleet Insignia and Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow
pointing northeast. It shall be drawn as shown in the attached diagram.

SECTION 2. The Fleet Burgee shall consist of a red pointed flag, the hoist
to be two thirds of the length, with the Fleet insignia in blue of a diameter equal
to one third of the length centered equidistant from the two longer sides of the
flag and one third of the distance from the hoist to the end of the flag; the
space between the outer band and the central disk of the insignia to be white.
SECTION 3. Members of the Fleet shall have the right to fly the Fleet
Burgee.
Article VIII - Fiscal Year
The fiscal year of the Fleet shall end on September 30.
Article IX - Amendments
These By-laws may be amended by the Executive Committee or by the
members at any regular or special meeting duly convened after seven days'
written notice to the members of the Executive Committee or the members of
the Fleet as the case may be of that purpose; provided that within sixty (60)
days after the adoption of any amendment of these By-laws by the Executive
Committee, written notice thereof shall be sent to each member.

We have audited the accompanying statement of assets,
liabilities, and fund balances of the Northeast Harbor Fleet
as of September 30, 1996 and 1995, and the related statements
of revenue, expenses, and changes in fund balances and cash
flows for the years then ended. These financial statements
are the responsibility of management. Our responsibility is
to express an opinion on these financial statements based on
our audits.
We conducted our audits in accordance with generally accepted
auditing standards. Those standards require that we plan and perform
the audits to obtain reasonable assurance about whether the financial
statements are free of material misstatement. An audit includes
examining, on a test basis, evidence supporting the amounts and
disclosures in the financial statements. An audit also includes
assessing the accounting principles used and significant estimates
made by management, as well as evaluating the overall financial
statement presentation. We believe that our audits provide a

Note 1 - Significant Accounting Policies
Nature of Activities
The purpose of The Northeast Harbor Fleet is to provide sailing
instructions, racing & cruising activities serving 379 members.
Income Recognition
The financial statements are presented on the accrual basis.
Cash and Cash Equivalents
All cash is held in liquid checking, money market or savings deposits.
Inventories
Supplies and resale items are carried at cost, determined by the first-in,
first-out method.
Depreciation
Plant and equipment are recorded at cost and are depreciated at rates
calculated to amortize the original cost over the useful lives of the respective
assets on a straight-line basis.

Investment - Clifton Dock Corporation
Northeast Harbor Fleet owns all the outstanding stock of Clifton Dock
Corporation which engages in waterfront service activities and is taxable as a C
Corporation under federal and state income tax rules. The Fleet furnishes to
Clifton certain contract labor for it. Clifton's book value was reported
at $82,974 at September 30, 1996.
Investment - Memorial Fund
Investments in the James G. Ducey Memorial Fund had an aggregate cost and
market value of $32,175 and $31,754 at September 30, 1996, and in accordance with
Fleet policy are stated at market value.
Income Taxes
The Fleet is a tax exempt entity under Section 501 (c) (7) of the Internal
Revenue Code and, accordingly, is not subject to Federal Income Tax. However, the
Fleet is subject to Federal income tax on its unrelated trade or business income of
$1,000 or more. Interest income of $1,510 was taxable for 1996.
