The name of said corporation is
THE NORTHEAST HARBOR FLEET
The purposes of said corporation are:
A Yacht Club for the promotion of yachting as an ama-
teur sport at Northeast Harbor in the Town of Mount
Desert, Maine and its vicinity.

REVISION OF BY-LAWS
ARTICLE I
Membership
Section 1. Membership in The Northeast Harbor Fleet shall
be open to persons interested in yachting and shall be divided
into six classes: Namely, Household Members, Family Mem-
bers, Regular Members, Junior Members, Honorary Members
and Non-resident Members. The Executive Committee shall
from time to time elect eligible persons to these categories.
Household Membership: Any person or couple eligible for
membership in the Fleet and desirous of providing the privi-
leges of membership for all children and grandchildren who
are living with them in their home may become Household
Members. Houseguests of Household Members are entitled to
use the Fleet's facilities and to skipper in Fleet-sponsored
races, but are not entitled to other privileges of membership.
Children or grandchildren of Household Members who have
reached their 6th birthday and have not passed their 18th
birthday and are living in the home of the Household Mem-
ber may have their names listed in the Annual Report of the
Fleet as Junior Members. Children or grandchildren of House-
hold members who have reached their 18th birthday and who
are living with Household Members may have their names
listed as Regular Members and receive Fleet notices.
Children or grandchildren of a Household Member who are
registered with the Fleet as either Junior Members or Regu-
lar Members shall have the privilege of voting.

All Juniors as defined above, living with a Household Mem-
ber, are eligible for the junior program. Annual dues for
Household Membership shall be $250.00
Family Membership: Any person or couple eligible for
membership in the Fleet and desirous of providing the privi-
leges of membership for their immediate family (spouse and
children under 30) who are living with them in their home
may become Family Members. House guests of Family Mem-
bers are entitled to use the Fleet's facilities, but are not en-
titled to other privileges of membership. Children of Family
Members who have reached their 6th birthday and have not
passed their 18th birthday and are living in the home of the
Family Member may have their names listed in the Annual
Report of the Fleet as Junior Members. Children of Family
Members who have reached their 18th, but have not reached
their 30th birthday and who are living with Family Members
may have their names listed as Regular Members and receive
Fleet notices.
Children of a Family Member who are registered with the
Fleet as either Junior Members or Regular Members shall have
the privilege of voting.
All juniors, as defined above, living with a Family Member,
are eligible for the junior program. Annual dues for Family
Membership shall be $150.00.
Regular Membership: Any eligible person 18 years of age
or over may become a Regular Member of the Fleet. The an-
nual dues for Regular Membership shall be $60.00.
Junior Membership: Any eligible person who has reached
his 6th birthday and has not passed his 18th birthday may
become a Junior Member of the Fleet. Junior Membership is
required for participation in the Junior Program unless the

boy or girl in question is living with a Household or Family
Member. The annual dues for Junior Membership shall be
$12.00.
Honorary Membership: Honorary Members shall be such
persons as the Executive Committe may from time to time
elect to Honorary Membership. There shall be no dues for
Honorary Membership.
Non-resident Membership: In August of each year the
Executive Committee shall approve or disapprove, at its direc-
tion, applications for Non-resident Membership basing its de-
cision on the following criteria. The applicant must have had
membership in the Fleet for five (5) consecutive years pre-
ceding the application. The applicant must not reside in or
regularly visit the Mount Desert Island area during such
period of Non-resident Membership. The annual dues for Non-
resident Membership shall be $12.00.
Initiation Fee: Except in Junior and Honorary Membership
there shall be an Initiation Fee of $25.00 for all new members
of the Fleet.
Section 2. Dues are payable within 60 days. Names of
members with dues unpaid by July 1 will be posted at the
Fleet Headquarters. If no action is taken by September 30,
those members with unpaid dues accounts will be dropped
from the rolls.
Section 3. Any member who shall have paid all dues and
charges currently owing may resign upon written notice given
to the Treasurer. Upon termination of membership for any
reason, a member shall forfeit to the corporation all the bene-
fits and privileges of membership and all right, title and in-
terest in and to the corporation or any of its property.

Section 4. Membership shall not be transferable unless, in the
case of the death of a member, the Executive Committee in
its discretion shall SO permit.
Section 5. A member may be expelled by majority vote of
the Executive Committee or a majority vote of the entire
Fleet membership, at any duly convened meeting of said Com-
mittee or members of said Fleet for failure to comply with the
articles of incorporation, by-laws, or any duly adopted policies,
rules, or regulations of the association, provided that ten days'
written notice shall have been given to such member setting
forth the intention to propose his expulsion, the specific rea-
son therefor, and the right of the member to appear and be
heard in person or by counsel at the meeting at which such
expulsion shall be proposed.
ARTICLE II
MEETINGS OF MEMBERS
Section 1. The annual meeting of the members shall be
held at Northeast Harbor, Maine, in the month of August or
September in each year on such day and at such hour and
place as the Executive Committee may determine. Special
meetings of the members may be called at any time, at the
direction of the Commodore or of the Executive Committee
or at the written request of ten or more of the members.
Section 2. Seven days' written notice of each meeting of
the members shall be sent to each member. If a meeting
is adjourned, it shall not be necessary to give any notice
of the adjourned meeting.
Section 3. Each member shall be entitled to one vote at
every meeting of the members. Members may attend either

in person or by written proxy, and ten members shall con-
stitute a quorum for the transaction of business at any
meeting.
Section 4. The election of officers and of members of
the Race Committee shall be by ballot. A majority of all
the votes cast at a duly organized meeting shall be neces-
sary in all elections.
ARTICLE III
OFFICERS
Section 1. The officers of the corporation shall be a
Commodore, a Vice-Commodore, a Rear Commodore, a
Secretary, a Treasurer, an Assistant Treasurer, a Clerk, a
Chairman of the Race Committee, a Chairman of the
House Committee and a Fleet Surgeon.
Section 2. With the exception of the Secretary, the
Assistant Treasurer, the Chairman of the Race Committee,
and the Fleet Surgeon, all officers shall be elected by the
members at the annual meeting and shall hold office from
the first of October following their election for a period
of one year or until their successors are elected. No person
shall be eligible for election to any office at the annual
meeting unless nominated in writing by five members and
filed with the Secretary not less than five days before the
annual meeting. All such nominations shall be posted on
the bulletin board of the Fleet Headquarters for the five
days preceding such meeting.
The Secretary and the Assistant Treasurer shall be elected
by the Executive Committee. The Chairman of the Race
Committee shall be appointed by the Commodore from the

existing members of the Race Committee. The Fleet Sur-
geon, a Fleet Captain and a Fleet Chaplain may be appointed
by the Commodore from the members.
Section 3. Any officer may be removed by the Executive
Committee whenever in its judgment the best interests of
the corporation will be served thereby, and the Executive
Committee shall have power to fill any vacancies in any
office, except that of Chairman of the Race Committee,
occurring from whatever reason.
Section 4. The duties of the Commodore, Vice-Com-
modore, Rear Commodore, Secretary, Treasurer, Assistant
Treasurer and Clerk shall be those usually pertaining to the
offices of President, Senior Vice-President, Vice-President,
Secretary, Treasurer, Assistant Treasurer and Clerk, respec-
tively. The Commodore shall be an ex-officio member of
all committees. The Secretary shall act as Secretary of
the meeting at Class meetings for purposes of information,
recording of decisions, and reporting such decisions to the
Executive or Race Committee for their information or action,
and shall be an ex-officio member of the Race Committee.
ARTICLE IV
EXECUTIVE COMMITTEE
Section 1. The Executive Committee shall consist of the
officers, except the Assistant Treasurer and the Clerk, and
of three other members appointed by the Commodore.
Section 2. The Executive Committee shall manage the
affairs of the corporation and, except as otherwise provided

by law, by the Charter or by these By-Laws, shall exercise
all powers of the corporation.
ARTICLE V
RACE COMMITTEE
Section 1. The Race Committee shall consist of five
elected members, and the Commodore and Secretary as
members ex-officio. Except as otherwise provided in these
By-laws, the ex-officio members shall be without vote. The
elected members shall be nominated and elected in the same
manner, and shall serve for the same term, as provided
in these By-Laws with respect to officers. Members of the
Committee shall notify the Chairman of the Committee prior
to July 1st if unable to be at Mount Desert Island for any
part of the summer during which they have been elected to
serve, in which case their resignation shall become auto-
matic. The Commodore shall fill any vacancies which may
occur from whatever cause, and may in his discretion, at
any time during the summer when there are insufficient
members of the Race Committee present for the Race Com-
mittee to properly perform its assigned duties, appoint ad-
ditional members of the Race Committee.
Section 2. The management of all races shall be under
the direction of the Race Committee. All decisions of the
Race Committee shall be by majority vote of its members
present, except that in case of a tie, the Commodore may
cast the deciding vote. The general authority of the Com-
mittee is defined in Part 1, Rule 1, Racing Rules NAYRU
which read as follows:
"All races and the yachts sailing therein shall be under
the direction of the Race Committee of the Club under

whose auspices the races are sailed. All matters shall
be under their control, and all questions which arise
respecting such races shall be subject to their decision.
The decisions of the Race Committee shall be based upon
these rules, SO far as they apply, but as no rules can be
devised capable of meeting every incident and accident
of sailing, the Race Committee shall keep in view the
ordinary customs of the sea, and discourage all attempts
to win the race by other means than fair sailing and
superior speed and skill."
Section 3. The Chairman of the Race Committee shall
conduct all meetings of the Committee and be its official
spokesman in all matters pertaining to the activities of the
Committee.
ARTICLE VI
FLEET INSIGNIA AND FLAG
Section 1. The Fleet Insignia shall be a symbolic com-
pass with the arrow pointing northeast. It shall be drawn
as shown in the attached diagram.

Section 2. The Fleet burgee shall consist of a red pointed
flag, the hoist to be two-thirds of the length, with the Fleet
Insignia in blue of a diameter equal to one-third of the
length centered at a point equidistant from the two longer
sides of the flag and one-third of the distance from the
hoist to the end of the flag; the space between the outer
band and the central disk of the insignia to be white.
Section 3. Every member of the corporation shall have
the right to fly the Fleet burgee.
ARTICLE VII
FISCAL YEAR
The fiscal year of the corporation shall end on September 30.
ARTICLE VIII
AMENDMENTS
These By-Laws may be amended by the Executive Com-
mittee or by the members, at any regular or special meeting
duly convened after seven days' written notice to the mem-
bers of the Executive Committee or the members of the
corporation, as the case may be, of that purpose; provided
that within ten days' after the adoption of any amendment
of these By-Laws by the Executive Committee, written
notice thereof shall be sent to each member.

REPORT OF THE COMMODORE
A season's success for The Northeast Harbor Fleet depends
on many factors. Among the uppermost are the condition of
the weather, the character of the sailing instructors, the en-
thusiasm for the July and August cruises, and the attitude of
the juniors in the sailing program. I would like to touch
briefly on each of these factors.
July and August, 1969 were blessed with excellent weather
and it seemed to get better as the season advanced. Not that
it didn't play tricks on your Commodore and the Race Com-
mittee; the one race called off in August saw the whistle blow
in fog and heavy wind, at the 1:00 o'clock postponement
time, only to have the sun shining with a gentle southwesterly
breeze blowing in the Western Way by 2:00 o'clock when the
Internationals would ordinarily have been getting their warn-
ing gun. Thick fog in Burnt Coat early the second day of
the August cruise temporarily taxed the navigators at the
start of the race only to dissipate into a good day in Blue
Hill after rounding the first mark. Somehow, the usual geo-
graphic wind shifts found in our race area and depended upon
by experienced racers in the past, didn't materialize quite as
expected this year. The Manset shore was not always the
place to go. That there is seldom wind around Mark S, how-
ever, was confirmed more than once. We must learn not to
use it as a turning mark. When has there been lighter or
warmer air on Labor Day at the head of Somes Sound? But,
what fun to see almost everybody swimming in comfort at
the end of the season!
Never have we had a better group of instructors at the
Fleet than those during the summer of 1969. Steve Melcher,
George Brengle, Bob Hilton and Keith Walls worked SO well
together and created such enthusiasm for everybody that your

Commodore's job was made easy indeed. They were compli-
mented, of course, by Harold Alley whose constant good
humor, overwhelming strength and total knowledge of me-
chanical elements at the Fleet became invaluable. We will
sorely miss Steve, who has decided not to return next year.
His years of competent, friendly service to us have been ap-
preciated by all.
The July cruise was a highlight for the month. Organized
by Mrs. Constance Madeira for cruising boats only, it will
become a standard part of the season's activities. About a
dozen boats raced to Sorrento, spent the night and raced back
over a weekend, a good time being had by all. The August
cruise was as large as it has ever been. The courses were well
laid and efficiently run, with finishes in time for adequate
evening activities. The latter were furthered by the practice
of rafting boats together in larger groups than I have seen
in the past, a practice which I fully approve. Some day we
will have to try the "Sunflower Raft" involving everybody in
a gam for cocktails. The practice of spending the night in
harbors with few shore facilities kept us more in character
with cruising as it should be.
The sailing classes and rowing class (ably run by Giovanna
Vitelli received about the same number of pupils this year as
in the past, but because of the limited number of instructors,
individuals learned to do for themselves more rapidly on the
water than heretofore. The junior series were sailed in the
afternoon when breezes are stronger, lending enthusiasm for
them which has been somewhat lacking in the past. The
greatest fun came with the Junior Cruise. Forty or more
youngsters spent the night in an open meadow on Cranberry
Island after cooking pounds of hamburger, and awakened to
dozen of pancakes. Again, our faithful instructors should be
thanked for this extra effort SO enjoyed by the kids.

Financially, you will note a marked depletion of the capital
and boat fund this year. The old work boat finally succumbed
to dry rot and was replaced by a more modern fiberglass
launch. Both wooden bridges to the floats were replaced by
aluminum ones and a new float for dinghies, small outboards
and sailing dinghies was added to the equipment. A good deal
of work has been accomplished around the flagpole, the sea
wall and the foundations of the Fleet House this fall. Hope-
fully, such expenses will not recur in the near future. We
will continue to conduct a minor campaign to increase the
capitol fund again this year. The Fleet continues to be barely
healthy in its finances.
In closing, I wish to express my gratitude to Secretary,
Michael Madeira and Assistant Treasurer Philip Caughey, with-
out whose constant attention to the details of running the
Fleet and pleasant greeting of all who entered the Fleet
House we would have been unable to function at all.

The Northeast Harbor Fleet
We have examined the balance sheet of The Northeast Har-
bor Fleet as at September 30, 1969, and the related state-
ments of income and expense from operations and of changes
in fund balances for the year then ended. Our examination
was made in accordance with generally accepted auditing
standards and accordingly included such tests of the accounting
records and such other auditing procedures as we considered
necessary in the circumstances.
In our opinion, the accompanying financial statements pre-
sent fairly the financial position of The Northeast Harobr
Fleet as at September 30, 1969 and the results of its opera-
tions for the year then ended, in conformity with generally
accepted accounting principles applied on a basis consistent
with that of the peceding year.
