The name of said corporation is THE NORTHEAST HARBOR FLEET The purposes of said. corporation are: A Yacht Club for the promotion of yachting as an ama- teur sport at Northeast Harbor in the Town of Mount Desert; Maine and its vicinity. 8 THE NORTHEAST HARBOR FLEET REVISION OF BY-LAWS ARTICLE I Membership Section I. Membership in The Northeast Harbor Fleet shall be open to persons interested in yachting and shall be divided into six classes: Namely, Household Members, Family Mem- bers, Regular Members, Junior Members, Honorary Members and Non-resident Members. The Executive Committee shall from time to time elect eligible persons to these categories. Household Membership: Any person or couple eligible for membership in the Fleet and desirous of providing the privi- leges of membership for all children and grandchildren who are living with them in their home may become Household Members. Houseguests of Household Members are entitled to use the Fleet's facilities and to skipper in Fleet-sponsored races at the discretion of the Executive Committee but are not entitled to other privileges of membership. Children or grandchildren of Household Members who have reached their 6th birthday and have not passed their 18th birthday and are living in the home of the Household Member may have their names listed in the Annual Report of the Fleet as Junior Members. Children or grandchildren of Household members who have reached their 18th birthday and who are living with Household Members may have their names listed as Regular Members and receive Fleet notices. Children or grandchildren of a Household Member who are registered with the Fleet as Regular Members shall have the privilege of voting. 9 All Juniors as defined above, living with a Household Mem- ber, are eligible for the junior program. Family Membership: Any person or couple eligible for membership in the Fleet and desirous of providing the privi- leges of membership for their immediate family (spouse and children under 30) who are living with them in their home may become Family Members. House guests of Family Mem- bers are entitled to use the Fleet's facilities, but are not en- titled to other privileges of membership. Children of Family Members who have reached their 6th birthday and have not passed their 18th birthday and are living in the home of the Family Member may have their names listed in the Annual Report of the Fleet as Junior Members. Children of Family Members who have reached their 18th, but have not reached their 30th birthday and who are living with Family Members may have their names listed as Regular Members and receive Fleet notices. Children of a Family Member who are registered with the Fleet as Regular Members shall have the privilege of voting. All juniors, as defined above, living with a Family Member, are eligible for the junior program. Regular Membership: Any eligible person 18 years of age or over may become a Regular Member of the Fleet. Junior Membership: Any eligible person who has reached his 6th birthday and has not passed his 18th birthday may become a Junior Member of the Fleet. Junior Membership is required for participation in the Junior Program unless the boy or girl in question is living with a Household or Family Member. Such members are not entitled to voting privileges. 10 Honorary Membership: Honorary Members shall be such persons as the Executive Committee may from time to time elect to Honorary Membership. There shall be no dues for Honorary Membership. Non-resident Membership: In August of each year the Executive Committee shall approve or disapprove, at its dis- cretion, applications for Non-resident Membership basing its decision on the following criteria. The applicant must have had membership in the Fleet for five (5) consecutive years pre- ceding the application. The applicant must not reside in or regularly visit the Mount Desert Island area during such period of Non-resident Membership. Guest Membership: Any person eligible for membership in the Fleet may, upon payment of a fee become a guest mem- ber for up to three races per season. Such members are not entitled to voting privileges, but such membership permits a crew member to qualify a yacht in Fleet races. Initiation Fee: Except in Junior and Honorary Membership there shall be an Initiation Fee for all new members of the Fleet. Section 2. Dues are payable within 60 days. Names of members with dues unpaid by July 1 will be posted at the Fleet Headquarters. If no action is taken by September 30, those members with unpaid dues accounts will be dropped from the rolls. Section 3. Any member who shall have paid all dues and 11 charges currently owed may resign upon written notice given to the Treasurer. Upon termination of membership for any reason a member shall forfeit to the corporation all the bene- fits and privileges of membership and all right, title and in- terest in and to the corporation of any of its property. Section 4. Membership shall not be transferable unless, in the case of the death of a member, the Executive Committee in its discretion shall so permit. Section 5. A member may be expelled by majority vote of the Executive Committee or a majority vote of the entire Fleet membership, at any duly convened meeting of said Com- mittee or members of said Fleet for failure to comply with the articles of incorporation, by-laws, or any duly adopted policies, rules, or regulations of the association, provided that ten days' written notice shall have been given to such member setting forth the intention to propose his expulsion, the specific rea- son therefor, and the right of the member to appear and be heard in person or by counsel at the meeting at which such expulsion shall be proposed. ARTICLE II MEETINGS OF MEMBERS Section 1. The annual meeting of the members shall be held at Northeast Harbor, Maine, in the month of August or September in each year on such day and at such hour and place as the Executive Committee may determine. Special meetings of the members may be called at any time, at the 12 direction of the Commodore or of the Executive Committee or at the written request of ten or more of the members. Section 2. Seven days' written notice of each meeting of the members shall be sent to each voting member. If a meet- ing is adjourned, it shall not be necessary to give any notice of the adjourned meeting. Section 3. Each voting member shall be entitled to one vote at every meeting of the members. Members may attend either in person or by written proxy, and ten members shall consti- tute a quorum for the transaction of business at any meeting. Section 4. The election of officers and of members of the Race Committee shall be by ballot. A majority of all the votes cast at a duly organized meeting shall be necessary in all elections. ARTICLE III OFFICERS Section 1. The officers of the corporation shall be a Commodore, a Vice-Commodore, a Rear Commodore, a Secretary, a Treasurer, an Assistant Treasurer, a Clerk, a Chairman of the Race Committee, a Chairman of the House Committee, a Fleet Surgeon and a Fleet Counselor. Section 2. With the exception of the Secretary, the Assistant Treasurer, the Chairman of the Race Committee, 13 the Fleet Surgeon and the Fleet Counselor, all Officers shall be elected by the members at the annual meeting and shall hold office from the first of October following their election for a period of one year or until their successors are elected. No person shall be eligible for election to any office at the annual meeting unless nominated in writing by five members and filed with the Secretary not less than five days before the annual meeting. All such nominations shall be posted on the bulletin board of the Fleet Headquarters for the five days preceding such meeting. The Secretary, the Assistant Treasurer and the Fleet Coun- selor shall be elected by the Executive Committee. The Chair- man of the Race Committee shall be appointed by the Com- modore from the existing members of the Race Committee. The Fleet Surgeon, a Fleet Captain and a Fleet Chaplin may be appointed by the Commodore from the members. Section 3. Any officer may be removed by the Executive Committee whenever in its judgment the best interests of the corporation will be served thereby, and the Executive Committee shall have power to fill any vacancies in any office, except that of Chairman of the Race Committee., occurring from whatever reason. Section 4. The duties of the Commodore, Vice-Com- modore, Rear Commodore, Secretary, Treasurer, Assistant Treasurer and Clerk shall be those usually pertaining to the offices of President, Senior Vice-President, Vice-President, Secretary, Treasurer, Assistant Treasurer and Clerk, respec- tively. The Commodore shall be an ex-officio member of all committees. The Secretary shall act as Secretary of the meeting at Class meetings for purposes of information, 14 recording of decisions, and reporting such decisions to the Executive or Race Committee for their information or action, and shall be an ex-officio member of the Race Committee. ARTICLE IV EXECUTIVE COMMITTEE Section 1. The Executive Committee shall consist of the officers, except the Assistant Treasurer and the Clerk, and of three other members appointed by the Commodore. Section 2. The Executive Committee shall manage the affairs of the corporation and, except as otherwise provided by law, by the Charter or by these By-Laws, shall exercise all powers of the corporation. ARTICLE V RACE COMMITTEE Section 1. The Race Committee shall consist of five elected members, and the Commodore and Secretary as members ex-officio. Except as otherwise provided in these By-laws, the ex-officio members shall be without vote. The elected members shall be nominated and elected in the same manner, and shall serve for the same term, as provided in these By-Laws with respect to officers. Members of the Committee shall notify the Chairman of the Committee prior to July 1st if unable to be at Mount Desert Island for any part of the summer during which they have been elected to serve, in which case their resignation shall become auto- matic. The Commodore shall fill any vacancies which may occur from whatever cause, and may in his discretion, at 15 any time during the summer when there are insufficient members of the Race Committee present for the Race Com- mittee to properly perform its assigned duties, appoint ad- ditional members of the Race Committee. Section 2. The management of all races shall be under the direction of the Race Committee. All decisions of the Race Committee shall be by. majority vote of its members present, except that in case of a tie, the Commodore may cast the deciding vote. The general authority of the Com- mittee is defined in The Yacht Racing Rules as adopted by The North American Yacht Racing Union, Part II, Rule 1.2: 1. All races shall be arranged, conducted and judged by a Race Committee under the direction of the sponsoring or- ganization, except as may be provided under rnle 1.2. The Race Committee may delegate the conduct of a race, the hearing and deciding of protests or any other of its respon- sibilities to one or more sub-committees which, if appoint- ed, will hereinafter be included in the term "Race Com- mittee" whereever it is used. Section 3. The Chairman of the Race Committee shall conduct all meetings of the Committee and be its official spokesman in all matters pertaining to the activities of the Committee. 16 ARTICLE VI FLEET INSIGNIA AND FLAG Section 1: The Fleet Insignia shall be a symbolic com- pass with the arrow pointing northeast. It shall be drawn as shown in the attached diagram. Section 2. The Fleet burgee shall consist of a red pointed flag, the hoist to be two-thirds of the length, with the Fleet Insignia in blue of a diameter equal to one-third of the length centered at a point equidistant from the two longer sides of the flag and one-third of the distance from the hoist to the end of the flag; the space between the outer band and the central disk of the insignia to be white. Section 3. Every member of the corporation shall have the right to fly the Fleet burgee. ARTICLE VII FISCAL YEAR The fiscal year of the corporation shall end on September 30. ARTICLE VIII AMENDMENTS These By-Laws may be amended by the Executive Com- mittee or by the members, at any regular or special meeting duly convened after seven days' written notice to the mem- bers of the Executive Committee or the members of the corporation, as the case may be, of that purpose; provided that within ten days' after the adoption of any amendment of these By-Laws by the Executive Committee, written notice thereof shall be sent to each member. 17 COMMODORE'S REPORT The 1978 sailing season was an excellent one from virtually all standpoints. Enthusiasm remained high through- out the summer, racing competition was keen, and the quality of leadership, expertise, and instruction on the part of our teaching staff was superior. I take this opportunity to express special gratitude and thanks to Alan Mcllhenny, Jr., who has served so faithfully and effectively for two years as our Fleet Secretary. We will not soon forget Alan's quiet patience, the countless hours he devoted to his job, and the outstanding staff which he assembled. It has been such a pleasure and priv- ilege to work with him. We will also not forget the excellent job done by Callie Madeira as Administrative and Office Assistant. For the past five years Callie has worked in the Fleet Office with Phil Caughey. Her infectious enthusiasm, her attention to many needs, and her kindness to others have meant so much to all of us. I take this opportunity also to thank Chris Zamore, our Sailing Master, for the outstanding job which he does. Chris is a master teacher; his experience and knowledge of sailing are extensive, and he is unusually effective in handling young people. Chris's able assistants, Henry Fox and Elliott Wislar, along with David Clark, Stevie Madeira, Kim Hardy, Tom Ogg and Susan Thompson, also deserve our sincere thanks for the quality of their respective performances. We also ap- preciate the service given us by George Wislar and Harry Neilson as dock boys. 18 All levels of sailing classes experienced successful pro- grams. Enrollment was strong during both July and August; of special significance was the growth and progress of the ad- vanced sailing class. Many of our older teenagers had the op- portunity to gain sailing experience in Solings and cruising boats. Although we experienced some light and variable winds during the month of August, the racing competition was keen throughout the summer. The greatest strength seems to reside in the International, Soling and Mercury classes. During August an average of nine boats went to the line in the Inter- national class, eight boats in the Soling class and fifteen in the Mercuries. One August Saturday saw twenty-one Mercuries racing! The MORC class periodically showed fair representa- tion, particularly with the addition of a few new MORC types, such as the Abel 24 and the J24, in addition to the Cal 25's. The main disappointment was in the Luders class, which has unfortunately diminished in numbers during the last few years. Although we would like to have had a larger number of boats, the July and August cruises enjoyed excellent weather and exhilarating sailing. We went to Pretty March in July and then to Buck Harbor and Burnt Coat Harbor in August. The sail both up and down Eggemoggin Reach was especially mag- nificent. Next year we want to encourage greater participation in ocean racing, and I call upon all Fleet members who own cruising boats to participate in 1979. You will be very glad if you do! I am very happy to report that we successfully reached 19 our goal in trying to raise $10,000 for the Capital Expense Fund this year. It was absolutely essential that we accomplish this goal in order to begin to replenish reserves, for as reported in previous communications, it was necessary to tap reserve funds rather heavily in order to replace floats and accomplish major repairs to the pier. I express special thanks and grati- tude to the sixty-four people who gave to the Capital Expense Fund, and I hope others will join them in contributing in the coming year. In conclusion, I want to express grateful thanks to all who give of their time, talents and interest toward sustaining the Fleet. In addition to those mentioned earlier in this report, I extend special thanks to our ever-faithful Assistant Treasurer, Phil Caughey, and also to those families who render to Fleet activities support through two and three generations of children.
