2011 Commodore's Report
Dear Fleet Members,
As I look back on the Summer of 2011, I am happy to report that by all measures, it was
one of the best seasons in recent memory at the Fleet. The Sailing School is thriving
and attendance is up (275 kids participated this year). The racing has been exciting and
participation is high, we have 19 new members this year, our fleet of boats is in great
condition, as are the Fleet House and the grounds.
All of this good news doesn't happen by itself SO before I go any further I must thank
some of those that make this place run SO well. As a member, you see a 10-week
season of races, sailing classes, moorings and docks, newsletters, picnics and non-stop
fun. You may not realize the amount of work that goes on throughout the rest of the
year SO that the Fleet can operate at "full throttle" in July and August. I want to thank
the Officers of the Fleet: David Schoeder - Vice Commodore, Steve Madeira - Rear
Commodore, Bill Roberts - Treasurer, and Scott Redmon - Clerk as well as the rest
of the Management Committee for their time, dedication and support. I also wish to
thank the people who are here every day and make running the Fleet look easy. General
Manager, Fran Charles, and Lauren Simmons, Business Manager, are both completing
their third season with us. It just keeps getting better and better.
In April of this year, I had the opportunity to attend the first US Sailing Yacht Club
Summit in Chicago along with Vice Commodore Schoeder, Rear Commodore Madeira,
and General Manager Fran Charles. There were more than 185 clubs of various shapes
and sizes represented and we learned very quickly that all clubs are dealing with the

same issues: aging membership rosters, declining participation on the water, budget
deficits, rising insurance premiums, the need to upgrade facilities, etc. We spent two days
attending seminars on these topics and many others and came away with several goals
for this season and beyond. We agreed that we must (1) engineer a Mission Statement
for the Fleet that accurately reflects who we are and what we believe our mission to
be, and (2) we must receive members' input on how to maintain the Fleet as a vibrant
and relevant institution going forward. To accomplish this, we held a series of focus
groups over the summer to discuss the different aspects of Fleet membership and how a
member's experience at the Fleet could be improved. We polled the past Commodores,
members involved with the Sailing School, and members involved in racing and the
MDI community for their thoughts. The responses and the ideas we received have been
fantastic. It is clear that we all care deeply about the Northeast Harbor Fleet. Thank
you to everyone who participated in the focus groups. We are happy to hear from all
of our members, SO if you have a suggestion or comment, please share it with us. With
your input, we will begin work on a plan that we hope to announce to the membership
before the 2012 season.

Waterfront on Family Night
2011 Fleet Manager's Report
Our season of waterfront enjoyment began with a renewed objective: to better serve our
membership by offering more fun activities which will inspire the youth to make the
Fleet the focus of their summer recreation. To that end, we added family nights to the
schedule and enhanced our Sailing School offerings. Many adults were lacking comfort
in handling their own boats, SO we promoted classes and private lessons for adult sailing
and power boating to fill the void. Director Bryan Peugh organized the daily lesson
plans, keeping the program vibrant by instilling energy and new ideas into areas which
had become stale. Our instructor base for rowing and sailing was a seasoned group of
young adults who expertly inspired passion and enjoyment to their pupils.
Our Operations Manager, Lauren Simmons, continued to have her finger on the pulse
of all aspects of the Fleet and Sailing School. Lauren's warm and friendly disposition
was coupled with her tireless attitude and ability to solve any issue. Moorings, class
registration, food for teas and events, new membership applications, dinghy tie-ups and
helping promote the very full schedule by drafting 'This Week at the Fleet' are a few of
the many responsibilities which Lauren expertly handles. This email communication
piece, produced by Sue Charles, was very well received as it provided much more detail
on upcoming activities than the traditional calendar.
Roy Hadlock not only provided the daily support to keep the dock systems fully
functional but also was responsible for overseeing and implementing the upgrade of
another 40 of our moorings to our new system. Hurricane Irene was luckily only a minor
inconvenience as all boats were secured and we had no gear failures. Mooring pennants

and buoys are quite clean and the chains lay in the mud during the off season which will
extend their lifespan. A slightly wider dinghy dock was built by Roy at Clifton and a
gooseneck attachment for the top of the gangway was adapted to make it more durable.
Our boson, Liz Monahon, assumed responsibility for all of the boat maintenance and
waterfront service by keeping the launch, the RC boat, 420s, dinghies, Optis, and
Mercuries all functional and good looking. Upgrades on the Mercs were the highlight
of the season with reefed mainsails and full cockpit covers that made sailing easier and
more convenient for all. Gear that needs service is always upgraded to a better design
in order to keep our sailing equipment functional, durable, and easy to use for multiple
sailors of all different skill levels.
Deb Brown kept the bookkeeping in line for the Fleet, Sailing School and Clifton
Dock Corporation. Under the direction of Treasurer Bill Roberts, Deb has years of
experience posting transactions and maintaining the various data bases to serve all
three corporations.
Sailboat racing at the Fleet was a resounding success with high participation in the
IOD Fleet Series and Cruising Class races. Luders Class racing was added to Sunday
afternoons with sailors enjoying multiple short course races. It was encouraging to see
so many Luders and IODs participate in the 'all Fleet' pursuit races which are exciting
but low key. The RC was managed by Fran Charles with assistance from Sue Charles.
Bardy Roberts and Tucker Charles did a remarkable job at setting gates and offset
buoys on a regular basis. Race courses always varied by location and by never using
the same course style twice in the same day. Racing is exciting, friendly, and always
competitive. As a result we have generated a robust attendance at all Fleet race days.
Our flag officers led by Commodore Malinda Crain have been extremely supportive
and anxious to continue to make the Fleet a better organization as people's lifestyles
change. Making our organization modern and receptive to new and prospective members
while serving the principles which inspired its creation in 1927, has been no small
challenge. Vice Commodore David Schoeder, Rear Commodore Steve Madeira, and
Treasurer Bill Roberts have actively invested countless hours in understanding how
the organization can sustain, change in a positive way, and grow in its service to the
membership. Commodore Crain led various discussions to better understand what the
Fleet can do in the future for the youth, the community, the racers and our long standing
membership base. A proactive yet reflective leadership will keep the Fleet strong and
vibrant in the 21st century. The operational staff is excited to follow the lead of your
officers to help make 2012 even better than any other year at the Fleet.

CHARLES D. DICKEY MEMORIAL AWARD
This award honors a Fleet member who, through excellence in the sport of sailing and/
or dedication and service, has made significant contributions to the Fleet. It is named
after Charles Dennison Dickey, whose contributions predate the Fleet itself and span
two World Wars. On Labor Day, 1913, Dickey sailed Bird, a 17' Knock-about or "B"
boat, to win the first recorded one-design race in the area. In 1919, Dickey and three
others (George Davenport Hayward, Edward W. Madeira, and Francis C. Grant)
formed a "Race Committee" to govern a series of knockabout races in A & B-boats. In
1923, he was a member of the Fleet's founding Executive Committee under Commodore
George Davenport Hayward. Dickey served as rear commodore in 1927, and then vice-
commodore in 1928 and 1944.

MAHANEY AWARD
This award honors its first and future recipients
a Fleet member who by dedication,
accomplishment and contribution to the sport of sailing, distinguishes him or herself
in the sport beyond the shores of Mt. Desert Island, as did Kevin Mahaney in winning
the Soling Olympic Silver Medal in the 1992 Barcelona Games and as helmsman of
the 1995 America's Cup contender Young America.

HENRY BRAUER: WINNER OF THE 2011 MAHANEY AWARD
Henry's junior sailing began ct the Cedar Point Yacht Club in Westport, CT where in
the early 1970's, he distinguished himself by winning the LIS Midget Championship,
Fireball Championship, and Junior Race Week as well as the New England Fireball
Champs twice and placing 5th in the Sears Cup Finals. Like many of us, he had summer
jobs as the racing coach at Norotor YC and then Pleon Yacht Club. He crewed on, then
later became paid captain of GEM and crewed for Dave Curtis in winning the 1978
Etchells 22 North Americans Championships. A Taft and Tufts graduate, he served
as the varsity sailing coach when Taft was runner-up in the Interscholastic Nationals.
His team then voted him to be the recipient of the Toby Baker Award, recognizing his
contribution to Taft sailing having served as the school's first varsity captain and then
returning to coach.
His active one-design sailing interest in IODs and Lightnings inevitably led to sailing
as tactician for Charlie Hemlin in the 1982 IOD Worlds (5th place) at the Fleet where
he met Carolyn "Callie" Madeira the future Mrs. Brauer. Henry has given back to
the sport in many ways, serving for 5 years on the US Sailing Training Committee, as
president of the Pleor YC Board, and as a flag officer and commodore of The Northeast
Harbor Fleet. He is also a member of the New York and Eastern Yacht Clubs.
He has organized campaigns in the Sonar, Atlantic, J/80, and J/105 classes over the past
10 years including winning the Cressy Trophy as the outstanding boat at Marblehead
Race Week; finishing 5th or better in the Sonar NA's, NE's, and AC championships;
placing 3rd in the Atlantic Nationals hosted by KYC; finishing 2nd Overall in the J/80
World Tour and in the top 5 at the St. Pete NOOD and Charleston Race Week twice.
The pinnacle of this activity occurred this summer. After campaigning the J/105
SCIMITAR for two seasons, winning the PHRF-NE's, and placing 5th at Marblehead
Race Week, his team won the J/105 North American Championship by 13 points over
a very tough 42 boat fleet in Marbiehead.

Temps in the lower 60s and an afternoon forecast for rain and thunderstorms made for
a light turn out for the first pursuit race of the season. Course 4 was displayed which
had the competitors sail inside the Great Harbor to starboard. As in the past, the choice
of which side to leave Sutton Island was critical. North, a Luders 16 with Pancho Cole
at the helm, headed to the MDI side while Sidewinder, Far Out, and Revolution 9
followed. They had good breeze until about two-thirds of the way out east and then all
the rigs went upright. A gigantic vacuum glued them to the water while the remainder
of the fleet worked the zephyrs on the south side of the island. Va Pensiero got to East
Bunker Ledge first with Gaylark, Eventyr, and Flirt in pursuit.
The RC shortened the course to send competitors to Great Cranberry, SW Harbor, the
mouth of the Sound and back to S. The breeze got fickle off Islesford and Va Pensiero
ran out of gas first. The trailing boats saw the parking area and headed up to avoid the
skating-like water surface. Gaylark led the fleet home by almost ten minutes and took
the gun for spinnaker and masters. Congratulations to Dr. Kaighn Smith and crew
who masterfully worked the light windshifts to their advantage. Laney Lu won the
non-spinnaker division with Mark and Sandy Kryder at the helm. They were also the
first all-family boat to finish.

FAR OUT CHALLENGE PURSUIT RACE
August 21
The Far Out Challenge Trophy, the final pursuit race of the season run by the Fleet,
counters the Reath Trophy that starts the season for the Cruising Class. It is open to all
boats longer than 22-feet. The starting sequence is predetermined by a boat's rating:
the slower boats start first and the faster boats last. The first to cross the finish line wins
the race. This is a fun format for competitors as there is a lot of passing during the race
and participants are usually within sight for the entire competition.
The 2011 Far Out Pursuit Race got under way in dense fog and a southerly breeze of
5-8 knots. Jean Beaulieu's Biscuit was first to go at 1240 followed by the Luders, the
IODs, and then cruising class boats. Starting from Q at Spurling Point off Cranberry,
the racers were sent on a multiple lap race course up to E, the red flasher at the mouth
of the Western Way, and then back to W, the red flashing gong between Bear Island
and Sutton Island.
Occasionally the puffs got very weak but progress was made. On the second lap to mark
W, more than 3 hours had expired from Biscuit's start and the sea surface was looking
like a skating rink. The course was shortened. Flirt had just reeled in the IODs by
jibing around E and working the middle of the Western Way with the tide still flooding.

The Fleet Championship is an opportunity for all Fleet members and their families,

in Mercuries.

HAALAND TROPHY
Wednesday Non-Spinnaker Race Series
The Carol Haaland Memorial Trophy was donated in 2009 to honor the life of a
dedicated cruising sailor and to commemorate the 90th Anniversary of the first racing
series conducted by the 1919 "Race Committee," which predated founding of the Fleet
in 1923. That series was conducted under "plain sails" or in other words" no spinnakers,"
even though the knockabouts sailed at the time had spinnakers.
These low key races are open to all area keelboats over 20' LOA. Races start most
Wednesday afternoons at 1330 hours to catch the see breeze and make it easier to enlist
crew from the junior sailing program. Boats sailed single-handed have won. IODs
and other boats that don't normally race with GPS instruments are allowed to race with
them in this series.

Hospice Regatta is a GMORA sanctioned race. It is also the first race in the Downeast
PHRF Championship.

DOWNEAST PHRF CHAMPIONSHIP
The Downeast PHRF Championship consists of a two-day series, one race each day of
the weekend. The first of the series is the Hospice Regatta of Maine held on Saturday.
The second race, held on Sunday, is the second race in the MDI Series. To qualify for
the Downeast PHRF Championship a boat must register and race in the Hospice Regatta
and the Sunday MDI race.

2011 Class Captain's Report
The summer of 2011 produced some of the best races ever-we had great course
management combined with perfect weather punctuated by a small hurricane at the end
just to keep us on our toes. Two factors helped enhance this season's racing experience:
two races per day, weather permitting, and the addition of Maine Maritime students
filling in as crew when needed. The MMA students are an enthusiastic addition to
our fleet. David Schoeder's management skills were tested here and proved worthy,
thank you David. As a result, more races and more boats on the line made this a very
memorable summer.
Creative race course sets by Team Fran always proved challenging. We had mid-course
gates, far flung marks around Bowden Ledge or to either side of Greenings, etc. all
adding to the experience. Great feedback following each race, training classes, and all
around proactive support from Fran has helped everyone improve their sailing skills.
Well, almost everyone
The usual suspects led the field around the course with Gambler leading the charge,
sailed by Tyler in July and John "carbon forever" Henry in August, followed closely
by Micshief's Bill "wood forever" Dowling. Tundra, was always in the hunt along
with Gosling, Dram (cheater stick), and Auriga. These boats were the lead pack, also
known as the single digit club by those of us in the rear, thank you.
The season ended with a very successfully over-subscribed and over-served fleet party
at Islesford dock. Stay tuned for 2012! In conclusion, we're sailing a perfect boat and
had another perfect summer.

MERCURY CLASS
2011 Class Captain's Report
The summer of 2011 saw a renewed enthusiasm in the Mercury Class and some much
needed upgrades. When the Fleet opened for the season, members were greeted by
new cockpit covers, a new halyard system and new mainsails on the Mercuries at their
moorings. Everyone was excited to try out the new additions and participation in the
Merc events was at an all-time high.
The Thursday night races were very well attended by all ages with pizza being a prize
for everyone after racing. In addition, family scavenger hunts and destination sails and
cookouts put the Mercuries in high demand. Often, a child would sail an Opti while the
parents piloted a Mercury to the cookout. What fun to have multi-generations sharing
the experience! Another very popular event was the "kids only" moonlight sail under
a beautiful full moon in Gilpatrick Cove. These are memories that will last a lifetime.
Next on the horizon is restoring participation of the Mercs on the starting line for the
Saturday and Monday races. Experienced member Mercury sailors as well as the
instructors will provide support, mentorship and the excitement of intense competition
for the younger sailors in our fleet. We want our youth out using their hands, sensing:
the water, direction of the wind, water's temperatures, tide's action, feel of a breeze,
splash of a white cap, smell and taste of the sea- the Great Harbor. As our ten Mercuries
begin their sixth decade on the waters of MDI, a new generation is looking forward to
the many summer sailing adventures ahead.

NORTHEAST HARBOR SAILING SCHOOL
2011 President's Report
Approximately 275 students enrolled in classes at the sailing school this summer-up
a bit from last year. This said, attendance as measured by "kid weeks' (the total number
of class weeks attended) was down by approximately 1.5%. This issue was likely due
to individual students spending less time in Maine. Attendance in Beginning Mercuries
was the same as last year, while attendance in Beginning Optis, Beginning 420s,
Intermediate Mercuries, and Advanced Optis increased. Attendance in Rowing decreased
as an outsized number of 2010 rowers advanced through our programs. Additionally,
three new classes - Adventure Sailing, Adult Learn to Sail, Adult Powerboating - were
added in 2011. Finally, to encourage even more time and fun on and around the water,
a number of special events were organized to include luaus, night sails, and family
nights. One such family night was in Valley Cove where fifty or SO students and Fleet
Members enjoyed a gracious barbeque and a beautiful evening.
This summer was a busy year for sailing school students and staff. Instructors organized
and ran our traditional races, including the Barton Eddison, Peggy Kennedy, Campbell
Henry, and the Towers Seamanship Contest. In addition, students participated in the
Junior Hospice Regatta and the Seal Harbor Regatta. Despite the rain, several clubs
traveled to the DEJSA All Women's Regatta hosted by NEHSS.
The sailing school awarded scholarships to seven students totaling $3,625 in tuition
dollars.
2011 was an exciting and safe summer where we enjoyed near perfect weather - this
could be a record for Northeast Harbor!

PARENT-CHILD MERCURY CHAMPIONSHIP
The Parent-Child Mercury Championship is sailed twice a summer, once in
July and once in August. The parent-child teams sail two to three races with the
child as skipper. The winner of the July Parent-Child Mercury Championship
went to George Kroeger Jr. and his father, George Sr. The August Parent-Child
Mercury Championship was won by Peter, James, and Mara Lehrman.

FREDERIC C. TOWERS SEAMANSHIP TROPHY
This competition is a combination of a written test of navigational skills and
a practical test of sailing and seamanship skills, demonstrated in Mercuries.
The emphasis is not on speed, but on mastery of the skills. This trophy was
presented by friends of Mr. and Mrs. Frederic C. Towers in memory of
their son, Frederic C. Towers Jr. The 2011 winning team: Ned Herrington,
Madeleine Lilley, Gigi Jervis, Charlotte Toogood, Brinton VanAlen, and

PEGGY KENNEDY MEMORIAL BOWL
This trophy was presented in 1957 by the Kennedy family in memory of their
daughter Peggy Kennedy and is awarded to the winners of the Fleet's July Junior
Championship sailed in Cape Cod Mercuries. Parker Brown and Katherine
Bienkowski won the event.

CAMPBELL HENRY MEMORIAL TROPHY
This trophy was presented in 1998 by John C. Henry Jr. in memory of his father
John Campbell Henry Sr. Campbell Henry, an active racer who assisted juniors
in becoming better sailors. The trophy is awarded to the winner of the Fleet's
August Junior Championship sailed in Cape Cod Mercurys. The 2011 winners
were Charlotte Toogood, Gigi Jervis, Campbell Herrington, Mary Morgan Lilley,
James Murch, and Alexa Lefkowitz.

SPECIAL HONORS
CAPTAINS' ROWING AWARDS
This award was presented to the Fleet in 1979 by Mr. C. A. Porter Hopkins. It
is awarded to members of the Rowing Class, one in July and one in August,
who are outstanding rowers and enthusiastic and disciplined members of the
rowing class. The name, "Captain's Award," is derived from the fact that in years
past many families had captains for their boats and launches. These captains
spent much time, while awaiting orders from their employers, looking after
and assisting the young children around the dock, teaching them to learn about
and respect the water. The award is a mahogany plaque, which hangs on the
wall in the Fleet displaying the winners for each year. The winner in July and
the winner in August has their name engraved on a brass plate mounted on the
plaque. The winners also receive a small Fleet burgee to keep. These burgees
are given by Mr. Hopkins each year.
The honored captains to be congratulated for 2011 are Joey Kennedy for July and
Wally Capen for August. The rowing classes were led by our head instructor,
Alex Clark.

SPECIAL HONORS
EFFIE DISSTON FRALEY TROPHY
This trophy was presented in memory of Mrs. Bradford Fraley by her family
in 1953. Mrs. Fraley was, for many years, Chairman of the House Committee
and also was very active in racing. The trophy is awarded each year to the most
improved junior sailor.
Congratulations to award winner Jerika Quellette for her ou itstanding year as
a junior sailor.
The staff of the Northeast Harbor Fleet and Sailing School is proud to present
the 2011 Effie Disson Fraley award to Jerika Cullette. Jerika's dedication to the
sport and passion for the art of sailing is unparalleled. No matter the weather,
Jerika wished to sail; no matter the time of day nor the level of her energy, Jerika
left her vessel in immaculate sailing condition. She was a great presence at the
Fleet throughout the summer, always available to lend a helping hand. For a
dedication to sailing that will no doubt last her entire lifetime, Jerika more than
deserves this award.

General
Flags shall be flown properly or not at all.
Morning colors are made at 0800; evening colors at sunset.
As used herein, "at anchor" means not underway; "may" means the routine
is permissible; "shall" means the routine is required; "starboard spreader"
means the lowest, forward-most starboard spreader.
Only one flag may be displayed in the position called for by the routine. Ex-
cept as noted herein, any conflict shall be resolved by observing the following
hierarchy:
1. Ensign
2. Race Committee flag while acting as committee boat
3. Commodore, Vice Commodore, Rear Commodore in
that order
4. Union Jack
5. Club Burgee
6. Private Signal
Ensign
As used herein, "ensign" means the national ensign or the traditional (circle
of thirteen stars around a fouled anchor) yacht ensign (if of U.S. registry).
A yacht in commission and manned shall display the ensign as follows:

At anchor, a yacht shall display the ensign at the stern
between morning and evening colors, except that a yacht
that will be unmanned at color time shall make evening colors before
hand.
2.
Underway, a yacht shall display the ensign when there
is sufficient light for identification.
a) A power yacht or a sailing yacht under power alone
shall display the ensign at the gaff or, lacking a gaff, at
the stern.
b) A yacht under sail, when not racing, shall display the
ensign preferably at the gaff or upper leach of the after
most sail, or at the stern. The ensign shall not be dis-
played while racing.
3. The traditional yacht ensign shall not be flown in inter-
national waters.
NEHF Burgee
The Club burgee may be displayed only when a yacht is under the direct
command of a Northeast Harbor Fleet member. The Club burgee shall be
displayed at the bow staff of single masted power yachts, at the foremost
truck of schooners and multi-masted power yachts and at the mainmast truck
of other rigs.
The Club burgee shall be flown ONLY at the masthead position, never at
a spreader or other unauthorized position.
The Club burgee may be displayed at night.
Dressing Ship
On the appropriate occasions, a yacht may, when at anchor (or when un-
derway in a marine parade), weather permitting, dress ship from morning to
evening colors. Any sequence is acceptable. The proper procedure is that
the halyard line of the last flag off the bow and the stern should just touch the
waterline.
Private Signal
The private signal is normally displayed when the ensign is hoisted. It may
be displayed at the mainmast truck of schooners and power yachts and at the
mizzen truck of yawls and ketches.
Cutters and sloops may display the private signal at the truck in lieu of the
burgee except while at anchor. At anchor, they may display the private signal
at the jack staff.

BY LAWS
of
THE NORTHEAST HARBOR FLEET
(AMENDED AND RESTATED AS OF MAY 20, 2009)
By Certificate of Organization of a Corporation under the general Law of the
State of Maine, the name of said corporation is: The Northeast Harbor Fleet
The purpose of the corporation is: A Yacht Club for the promotion of yachting
as an amateur sport at Northeast Harbor in the Town of Mount Desert, Maine
and its vicinity.
Article I - Membership
SECTION 1. Membership in the Northeast Harbor Fleet shall be
open to persons interested in yachting and shall be divided into seven classes,
namely: Honorary Members, Senior Members, Family Members, Individual
Members, Intermediate Members, Non-Resident Members, and Resident Student
Members.
The Board of Directors, or its designees may from time to time elect
eligible persons to one of the seven classes of membership. Candidates for
membership must be nominated and seconded for membership by Family,
Individual or Intermediate members in good standing. * The nominating let-
ters should be addressed to the Chairman of the Membership Committee, The
Northeast Harbor Fleet, P.O. Box 462, Northeast Harbor, Maine 04662. A former
member in good standing* may re-activate a lapsed membership by application
to the Chairman of the Membership Committee.
"In good standing means that all dues, assessments and fees for current and
prior years have been paid in full".
HONORARY MEMBERS - Honorary Members shall be such persons
as the Board of Directors may from time to time elect to Honorary Membership.
Honorary Members are entitled to the full privileges of membership. There are
no dues or assessments for Honorary Members.
SENIOR MEMBERS - A member who has reached the age of 80, and
who has paid dues for a period of 35 years shall not be required to pay further
dues and assessments. Annual dues and assessments for those members who
reach the age of 70 and who have been members for 25 years may be at a re-
duced rate as set by the Board of Directors. Senior Members have the same
privileges as Individual Members.
FAMILY MEMBERS - Any person or couple otherwise eligible for
membership may be elected to Family Membership of the Fleet. Family Mem-
bership is required when more than one individual in a family unit consisting
of a head of household, his or her spouse and or their children under the age of
24 desires to enjoy the privileges of membership or to extend these privileges
to Family Guests (defined as visiting children, grandchildren, or great grand-
children of the Family Member(s) for a period not to exceed two weeks each
summer). Family Guests need not be resident in the same household as the
Family Member(s). In no case will Family Guests be eligible for more than
two weeks membership privileges per summer. Upon reaching the age of 24
children of Family Members shall be automatically eligible for Intermediate
Membership. New Feature of Family Membership:

"There is a $100 surcharge on family membership dues for each child,
other than one's own, residing in the same household who is enrolled in the
NEHSS program for more than one week, or in the case of grandchildren, for
more than two weeks."
INDIVIDUAL MEMBERS - Any eligible person who has reached his
or her 30th birthday may be elected an Individual Member of the Fleet. An
Individual Member of the Fleet may become a Family Member without applica-
tion by notifying the Chairman of the Membership Committee and paying the
dues for that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has not yet
reached their 30th birthday may become an Intermediate Member of the Fleet.
Current Intermediate Members qualify as "member on board" to win Fleet
Trophies and are eligible to represent the Fleet as NEHF Team Members and
may invite guests. They may become Individual Members or Family Members
when they reach their 30th birthday, without application, upon paying the dues,
assessments, and initiation fee for Individual or Family Membership. The ini-
tiation fee shall be reduced by the amount of prior dues paid by the applicant
in this category.
NON RESIDENT MEMBERS - A person who has been a member of
the Fleet for five consecutive years or more may become a Non Resident Mem-
ber by notifying the Chairman of the Membership Committee. Non Resident
membership is available to those who live more than 150 miles from the Fleet
and do not spend more than five days on Mount Desert Island during the period
from July first to Labor Day. Non Resident Members have no voting privileges
and are not entitled to participate in fleet events or use the fleet facilities.
RESIDENT STUDENT MEMBERS - Available to persons who are
residents of Hancock County, who have reached their 6th birthday and are
enrolled as students in the Northeast Harbor Sailing School. Resident Student
Members are not entitled to voting privileges, and do not qualify as the "Member
on Board" in Northeast Harbor Fleet races, other than those races conducted
by the Northeast Harbor Sailing School. There shall be no initiation fee for
Resident Student Members.
GUESTS - The Northeast Harbor Fleet welcomes the crews and house-
guests of members when they are accompanied by the member and abide by
Fleet regulations. House guests may participate in the Adult and Junior Sailing
Program(s) of the Northeast Harbor Sailing School for a period of up to one
week, provided: 1. they are sponsored by the member; 2. there is space in the
Program; 3. they meet such eligibility requirements as the Fleet may from time
to time have in effect for the programs, and 4. they pay the applicable activity
fees. The facilities and moorings of the Fleet are restricted to use by members
only, except upon invitation of the Fleet to non members participating in Fleet
sponsored events.
INITIATION FEE - The Board of Directors may establish an initiation
fee that shall be paid by new Family and Individual Members of the Fleet and
those former members whose membership has lapsed for one year. A newly
elected former member who resigned from the Fleet in good standing shall pay
the lesser of the capital dues assessed during their leave or one-half of the initia-
tion fee established for the class of membership for which they are elected.
SECTION 2. Annual dues for the seven classes of membership shall
be set by the Board of Directors. Dues, assessments, and charges are payable
within 30 days of invoice. A member whose dues, assessments, or charges

remain unpaid on July 1 is subject to having his or her name posted at the Fleet
until outstanding invoices have been paid. A boat will only be scored in a Fleet
race or event once the outstanding dues, capital assessments, charges and/or
entry fees (if any) have been paid. A race entered prior to payment shall be
scored a DNS. Members whose dues, assessments or charges are unpaid by
August 31 will have their names dropped from the membership rolls, and may
be reinstated as members at the discretion of the Board of Directorsonce their
outstanding invoice(s) have been paid.
SECTION 3. To fund capital assets, the Board of Directors may also
assess the membership a sum in addition to the annual dues, capital dues, but
only upon notice to the membership of the purpose and need for any such assess-
ment. The assessments shall be limited to the Family and Individual members
and shall be in proportion to the annual dues for those classes of members.
SECTION 4. Any member who shall have paid all dues, capital dues
and charges currently owed may resign upon written notice given to the Trea-
surer. Upon termination of membership for any reason, a member shall forfeit
to the Fleet all the benefits and privileges of membership and all right, title and
interest in and to the Fleet and any of the Fleet's property.
SECTION 5. Membership shall not be transferable unless, in the case
of death of a member, the Board of Directors in its discretion shall permit.
SECTION 6. A member may be expelled by a majority vote of the
Board of Directors or a majority vote of the entire Fleet Membership at any duly
convened meeting of said Board or members of the Fleet, for failure to comply
with the articles of incorporation, by laws, or any duly adopted policies, rules
or regulations of the Fleet, provided that ten days written notice shall have been
given to such member setting forth the intention to propose his or her expul-
sion, the specific reasons thereof, and the right of the member to appear and be
heard in person or by counsel at the meeting at which such expulsion shall be
proposed.
Article II - Meetings of Members
SECTION 1. The annual meeting of members shall be held at Northeast
Harbor in the month of August or September in each year on such day and at
such hour and place as the Board of Directors shall determine. Special meetings
of the members may be called at any time by the Commodore or by the Board
of Directors or at the written request of ten or more members.
SECTION 2. Seven days written notice, from the date of postmark, of
each meeting of the members shall be sent to each voting member. If a meet-
ing is adjourned, it shall not be necessary to give any notice of the adjourned
meeting.
SECTION 3. Each voting member, which shall include all members
except Non Resident Members and Resident Student Members, shall be entitled
to vote in person or by proxy at every meeting of the members.
SECTION 4. The election of directors and officers shall be by ballot.
A majority of the votes cast at a duly organized meeting at which a quorum of
members is present in person or by proxy shall be necessary at all elections.
Ten percent (10%) of the members eligible to vote shall constitute a quorum
for the transaction of business at any meeting of members.
Article III - Officers and Directors
SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice

Commodore, a Rear Commodore, a Clerk, a Treasurer and such other officers
and assistant officers as may be deemed necessary and advisable by the Board
of Directors.
SECTION 2. All officers and directors shall be elected by the mem-
bers of the Fleet at the annual meeting and shall hold office from the first of
October following the election for a period of one year, or until their succes-
sors are elected. Except as provided in Article VI, no person shall be eligible
for election to any office at the annual meeting unless nominated in writing by
five members and filed with the Clerk not less than five days before the annual
meeting. All such nominations shall be posted on the bulletin board of the Fleet
for five days preceding such meeting.
SECTION 3. Any officer or director may be removed by the members
at a special meeting of the members called expressly for that purpose whenever,
in their judgment, the best interests of the Fleet will be served thereby, and the
members shall have the power to fill any vacancies in any office, occurring for
whatever reason. The affirmative vote of 2/3 of the members entitled to vote
shall be required for the removal of an officer or director.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining the offices
of President, Senior Vice President, Vice President, Secretary and Treasurer,
respectively. The Commodore shall be an ex officio member of all committees.
SECTION 5. The Board of Directors shall consist of the officers.
SECTION 6. The Board of Directors shall manage the affairs of the
Fleet, and except as otherwise provided by the Charter or by these bylaws,
shall exercise all powers of the Fleet. Specifically, but without limitation, the
Board of Directors shall have the power and authority to hire and appoint a
Fleet Manager and Assistant Treasurer to perform those duties assigned by the
Board of Directors. A majority of the directors shall constitute a quorum for
the transaction of business at any meeting of the Board of Directors. The act of
the majority of the directors present at a meeting at which a quorum is present
shall be the act of the Board of Directors.
Article IV - Management Committee
SECTION 1. The Management Committee shall consist of the officers
and such other members appointed by the Commodore.
SECTION 2. The Management Committee shall have such authority
as may be delegated by the Board of Directors from time to time.
Article V - Race Committee
SECTION 1. The Race Committee shall consist of five or more elected
members and the Commodore and the Fleet Manager, as members ex officio.
The appointed members shall serve for the same term, as provided by these
By Laws with respect to officers. Members of the Committee shall notify the
Chairman of the Committee prior to July First if they are unable to be at Mount
Desert Island for any part of the summer during which they have been elected.
The Race Committee Chairman shall fill any vacancies which may occur for
whatever cause, and may, at his/her discretion, at any time during the summer
when there are insufficient members of the Race Committee present for the
Race Committee to perform its assigned duties, appoint additional members of
the Race Committee.
SECTION 2. The management of all races shall be under the direction

of the Race Committee. All decisions of the Race Committee shall be by a
majority vote of its members present, except that in the case of a tie, the Com-
modore shall cast the deciding vote, except as modified by these By Laws, or
by Sailing Instructions applicable to specific events or the general authority of
the Race Committee as defined in the Racing Rules of Sailing as adopted by
the United States Sailing Association.
Article VI - Nominating Committee
SECTION 1. The Nominating Committee shall be formed each year by
the Commodore to nominate candidates for office. The Committee shall consist
of five members, selected in the following manner: Two members shall be the
most immediate past Commodores willing to serve, with the most immediate
past Commodore as Chairman. One additional member shall be appointed by
the current Commodore. Two other members shall be appointed by the Chair-
man described above.
SECTION 2. It shall be the responsibility of the current chairman of
the Nominating Committee to determine the two past Commodores willing to
serve on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office
each year.
SECTION 4. No candidate for office shall serve on the Nominating
Committee.
Article VII - Fleet Insignia and Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with the
arrow pointing northeast. It shall be shown as in the attached diagram.
SECTION 2. The Fleet burgee shall consist of a red pointed flag, the
hoist to be two thirds of the length, with the Fleet insignia in blue of a diameter
equal to one third of the length centered equidistant from the two longer sides
of the flag and one third of the distance from the hoist to the end of the flag; the
space between the outer band and the central disk of the insignia to be white.
SECTION 3. The members of the Fleet shall have the exclusive right
to fly the Fleet Burgee. The Fleet Burgee shall be as shown on the front cover
of this report.
Article VIII Fiscal Year
The fiscal year of the Fleet shall end on September 30.
Article IX Amendments
These by laws may be amended by the Board of Directors or by the
members at any regular or special meeting duly convened after seven days
written notice to the members of the Board of Directors or the members of the
Fleet as the case may be of that purpose; provided that within sixty days after
the amendments of these by laws by the Board of Directors, written notice shall
be sent to each member.
Article X - Director or Officer Conflict of Interest.
SECTION 1. A conflict-of-interest transaction is a transaction in which
a director or officer of the Fleet has a direct or indirect financial interest. For
the purposes of this section, a director or officer has an indirect interest in a
transaction if (a) another entity in which the director or officer has a material

interest or in which the director or officer is a general partner is a party to the
transaction; or (b) another entity of which the director or officer is a director,
officer or trustee is a party to the transaction.
SECTION 2. A conflict-of-interest transaction is not voidable or grounds
for imposing liability on a director or officer if the transaction was fair at the
time it was entered into or is approved as provided in Section 3.
SECTION 3. A transaction in which a director or officer has a conflict
of interest may be approved by the directors or the members before or after
consummation of the transaction as follows:
A. The Board of Directors or a committee of the Board
may authorize, approve or ratify a transaction under this section if the material
facts of the transaction and the director's or officer's interest are disclosed or
known to the Board or committee of the Board. A conflict-of-interest transac-
tion is approved if it receives the affirmative vote of a majority of the directors
or on a committee of the Board who have no direct or indirect interest in the
transaction, but a transaction may not be approved under this subsection by
a single director. If a majority of the directors who have no direct or indirect
interest in the transaction vote to approve the transaction, a quorum is present
for the purpose of taking action under this Section.
B. The members may authorize, approve or ratify a
transaction under this Section if the material facts of the transaction and the
director's or officer's interest are disclosed or known to the members.
A conflict-of-interest transaction is approved by the members if it receives a
majority of the votes entitled to be counted under this Section. Votes cast by
or voted under the control of a director or officer who has a direct or indirect
interest in the transaction and votes cast by or voted under the control of an
entity described in subsection 1, paragraph A may not be counted in a vote of
members to determine whether to approve a conflict-of-interest transaction.
A majority of the voting power, whether or not present, that is entitled to be
counted in a vote on the transaction under this Section constitutes a quorum for
the purpose of taking action under this Section.

We have audited the accompanying statements of financial position of the Northeast
Harbor Fleet (a non-profit corporation) as of September 30, 2011, and the related
statements of activities and cash flows for the year then ended. These financial
statements are the responsibility of the management. Our responsibility is to express
an opinion on these financial statements based on our audits. The prior year's
summarized comparative information has been derived from the Northeast Harbor
Fleet's 2010 financial statements, and in our report dated January 24, 2011, we
expressed an unqualified opinion on those financial statements.
We conducted our audit in accordance with auditing standards generally accepted in the
United States of America. Those standards require that we plan and perform the audit
to obtain reasonable assurance about whether the financial statements are free of
material misstatement. An audit includes consideration of internal control over financial
reporting a basis for designing audit procedures that are appropriate in these
circumstances, but not for the purpose of expressing an opinion on the effectiveness of
the Fleet's internal control over financial reporting. Accordingly, we express no such
opinion. An audit also includes examining, on a test basis, evidence supporting the
amounts and disclosures in the financial statements, assessing the accounting
principles used and significant estimates made by management, as well as evaluating
the overall financial statement presentation. We believe that our audits provide a
reasonable basis for our opinion.
In our opinion, the financial statements referred to above present fairly, in all material
respects, the financial position of the Northeast Harbor Fleet as of September 30, 2011
and the changes in its net assets and its cash flows for the year then ended in
conformity with accounting principles generally accepted in the United States of

Note 1 - Significant Accounting Policies
The Northeast Harbor Fleet financial statements include the operations for which the
Board exercises oversight responsibility. Oversight responsibility is demonstrated by
financial interdependency, designation of management, ability to significantly influence
operations, and accountability for fiscal matters.
Nature of Activities
The purpose of The Northeast Harbor Fleet is to provide racing & cruising activities serving
427 members in Northeast Harbor, Maine.
Basis of Accounting
The financial statements are presented on the accrual basis. The significant accounting
policies following are described below to enhance the usefulness of the financial statements
to the reader.
Financial Statement Presentation
Net assets and revenues, expenses, gains and losses are classified based on the existence
or absence of donor-imposed restrictions. Accordingly, net assets of the Fleet and changes
therein are classified and reported as follows:
Unrestricted Net Assets - Net assets that are not subject to donor-imposed stipulations,
including board designated and the carrying value of all fixed assets.
Use of Estimates
The preparation of financial statements in conformity with generally accepted accounting
principles requires management to make estimates and assumptions that affect certain
reported amounts and disclosures. Accordingly, actual results could differ from those
estimates.
Fair Values of Financial Instruments
The fair values of investments are based on quoted market prices for those investments.
Cash and Cash Equivalents
The Organization maintains cash balances at one bank located in Maine. The balances are
insured by the Federal Deposit Insurance Corporation up to $250,000. There were no
uninsured funds at September 30, 2011 and 2010 respectively.
For the purpose of the statement of cash flows the Organization considers all highly liquid
investments available for current use with an initial maturity of three months or less to be

Inventories
Supplies and resale items are carried at cost, determined by the first-in, first-out method.
Plant Assets and Depreciation
Plant and equipment are recorded at cost and are depreciated at rates calculated to
amortize the original cost over the useful lives of the respective assets on a straight-line
basis. As part of the Fleet's policies, long term upgrades and repairs with a frequency of
three years or greater, or assets with a cost of $1,000 or more are capitalized.

Investments - Clifton Dock Corporation
Northeast Harbor Fleet owns all the outstanding stock of Clifton Dock Corporation which
engages in waterfront service activities and is taxable as a C Corporation under federal and
state income tax rules. Clifton's book value was reported at $238,152 and $226,523 at
September 30, 2011 and 2010 respectively.
Investments
Investments are all unrestricted and are stated at fair market value they consist solely of
Mutual Funds.

Tax Status
The Northeast Harbor Fleet is a tax exempt entity Classified by the Internal Revenue
Service as other than a private foundation under Section 501(c)(7) of the Internal Revenue
Code and, accordingly, is not subject to federal income tax. However, the Fleet is subject to
Federal income tax on its unrelated trade or business income of $1,000 or more. Interest
income of $100 was taxable for 2011 and $685 for 2010. The Fleet is eligible for the credit
for small employer health insurance premiums. The credit for 2011 is $1,064. The Fleet
regularly reviews and evaluates its tax position taken in previously filed information returns
and as reflected in its financial statements, with regard to issues affecting its tax exempt
status, the event of an examination by taxing authorities, its position would prevail based
upon technical merit of such positions. Therefore, the Fleet has concluded that no tax
benefits or liabilities are required to be recognized with the exception of interest income and
the credit for small employer health insurance premiums.
The Northeast Harbor Fleet tax returns are subject to federal and state review by taxing
authorities for the fiscal years ending September 30, 2009, 2010 and 2011.

Mike Chace was a true "modern era Commodore" who brought to the Fleet
a passion to connect us with other local sailing clubs, who was a founder and
sustainer of DownEastRace Week for the Cruising Class, who encouraged the
development of the Fleet's new Sailing School and resulting relationship with
our own year round community, who brought young people onto his International
Chibiabos and injected them with competitive spirit, and who regularly celebrated
the contributions of others while understating his own. He was SO proud and happy
to have enjoyed three more Northeast Harbor summers than his doctors originally
predicted, and we will remember him vividly and fondly for many summers to
come. Flags lowered and hats off, Commodore Chace!
