REPORT OF THE COMMODORE
We are pleased to report that the 2016 Season at the Fleet was another
year of momentum in terms of an increase in Fleet membership,
progress on the Great Harbor Dream project and number of boats on
the starting line in every class.
As outgoing Commodore, I want to thank the greater MDI community
for their support of the Great Harbor Dream project which benefits
every sailing school on the Island. The project's momentum has been
driven by the strategic initiative five years ago to focus on youth sailing
and I would challenge anyone to find a more dynamic classroom to teach
young people the life skills they need to become productive members
of society. It has brought me great joy to watch our young sailors
progress every year-developing their sailing skills, confidence, and
team building ability.
Thanks to your generosity we have rebuilt the infrastructure of the
Fleet over the last five years and continue to refine the programing at
the Sailing School to increase enrollment and youth sailing on MDI.
The strategic planning process revealed that because of the short sailing
season, all of the Island's sailing schools struggled to break even and
make sailing classes affordable for many. We elected the last five years to
freeze the cost of sailing classes and to rely instead on donations to fund
the short fall in the budget. We ask parents to pay what they can afford
and we provide a scholarship for the balance of the cost of the sailing
class. This emphasis on providing scholarships teaches us a valuable
lesson. Parents have been willing to pay for half or more of the lessons,
thus proving there is a price point where people can't justify the expense
of sailing school classes. I would ask all of you to continue to support the
Great Harbor Dream project and the Sailing School to provide access to
sailing classes for all of the youth on MDI that desire to sail.
In terms of financial results, the Fleet completed the final phase of
addressing deferred maintenance issues and has made major progress
rebuilding the operating reserves that were depleted after the financial
meltdown in 2008.

Looking forward, 2017 is going to be an exciting time in the Great
Harbor as we host the IOD Worlds. It has been an honor and a privilege
to serve as your commodore. I must thank the operating committee and
staff for their effort and commitment. Please seek us out with questions
and input to improve the Fleet. See you on the water.

REPORT OF THE FLEET MANAGER
Serving as your manager for the eighth season was a fun challenge
with multiple landmark events like the Junior Olympics, IOD North
Americans, and the new All Fleet Picnic at Baker's Island combined with
the Connie Madeira Pursuit Race. Weather was consistently gorgeous from
June through September and the Fleet enjoyed hosting a record 174 races
over 60 days of racing scheduled. The Fleet has now assumed all of the
race management duties for the SWHF SO the weeks are quite packed with
racing opportunities in all types of sailing craft.
Our staff was led by the always poised and professional Melissa Walls
who knows everything about every situation. Fortunately for the Fleet
and Sailing School we had two highly motivated boatswains to get all our
boats into excellent operational condition and keep everything looking
great, -Tucker Charles and Bailey Stillman. They were the folks who
also supervised, trained and scheduled all our licensed launch drivers who
performed much more than courteous rides to and from vessels. Pancho
Cole, Emma Rusk, Chloe Vicenty, and Simon Hulbert helped keep the
grounds in order, boats bailed, moorings untangled, sail and boats and
docks repaired. They also offered advice and quick sailing lessons to the
uninitiated on the spot.
Tyler Killion was our Sailing School Director for his first year and had
his hands full with the hosting of the Northeast Junior Olympics in his
third week on the job. Laura Madeira oversaw the Rowing Instruction
and we had an exceptionally talented and dedicated group of sailing
instructors who handled the expansion of enrollment in opti class and
rowing to levels which resemble the baby boom years. The members
of the SS Board who stepped up to help with hosting the JOs were
remarkable. Chris Scott was the chief organizer and Kelley Trammell
along with Malinda Crain handled registration, scoring, and trophies.
Others contributed to housing, meals and snacks, safety boats, launch
ramp duty, set up and clean up. It was a wonderfully successful event with
only smiles at the conclusion.
Race Committee had an influx of volunteers and new teens joining

the team this past summer. My wife Sue's thumb was crushed while she
was making the anchor fast in a very breezy Reath Trophy. In a welcome
response, dozens of members stepped up to assist on Shearwater
throughout the summer season. Everyone enjoyed gaining knowledge of
how the race committee manages things on the water, and Sue and I were
happy to get to know people better. Tucker and Bailey did a fantastic job
in the fall season handling the running of races, the safety-mark boat and
launch service all at once.
Roy Hadlock is one of our most dedicated employees who works
very hard in setting all our moorings and docks each year. Roy also
helps maintain the fixed piers and does the maintenance work on the
floating docks, too. Jane Joseph is our wonderful operator at Clifton
Dock who continues to assist our members with a smile, suggestion, and
encouragement every day of the week.
It would be remiss of me if I did not mention some folks who will
no longer be working with the Fleet on an active daily basis after giving
years of dedicated service. Billy Roberts has been the Fleet Treasurer
and President of Clifton Dock for the past 6 years. He and Emma will
finally be able to enjoy trips to Islesford without the stress of Fleet issues
hanging over their heads. Kay Graves was our bookkeeper for the past
two years and did a wonderful job keeping the posting accurate and
knowing how to get anything done in NE Harbor. Kay knows and is
loved by all and we will miss her infectious smile and cheerful attitude.

This award honors a fleet member who distinguishes him or herself in the sport
of sailing beyond the shores of Mount Desert Island. It was first awarded to
Kevin Mahaney who won the 1992 Soling Olympic Silver Medal and later
helmed the 1995 America's Cup contender Young America.

REPORT OF THE CRUISING CLASS CAPTAIN
2016 was an exciting year for the Cruising Class as we inaugurated
several new and unique events which by all accounts were very well
received. In addition to our traditional events such as the Reath Trophy
Pursuit race and the Carol Haaland MDI series, we inaugurated the
Connie Madeira Trophy pursuit race, preceded by an all-fleet picnic at
Baker Island. The inaugural event was well attended with sixteen boats
participating in the racing portion of the day. The event will return this
coming season and we hope to have even more participants.
Also debuting last season was the Max Warburg Trophy, a two-race
pursuit event with a break for lunch at one of the islands around the Great
Harbor. Last year's race went to Great Duck and featured ten boats. The
Warburg Trophy will also return this year in the same format.
We will continue in the 2017 season to provide opportunities to get
more boats out racing more often. We will again be offering a crew
matching service to put those interested in sailing on boats in touch with
skippers in need of crew. In addition to a full slate of events, including the
Great Harbor Dream Pursuit Race and party, the Wednesday non-spin
series will also return.
If you know someone with a boat who might want to race or someone
who wants to sail, have them reach out to the Fleet and we'll do the rest.
Thanks to all who participate and especially to those who help organize
these fun events. Fran and his team at the Fleet do an awesome job of
making sure these events run smoothly. We look forward to seeing you all
this summer!

REPORT OF THE
INTERNATIONAL ONE DESIGN CLASS CAPTAIN
The NEH IOD Class had another very successful season in 2016.
We had fifteen boats participate in the July series and nineteen boats
participate in the August series. Best of all, we saw the return of numerous
young helmspersons from the 2015 season which bodes very well for the
future of our Class.
On August 1, which was the first day of the August series, the Class
paid its respects to Freddy Towers with a Circle of Life tribute. Freddy
was a past NEH IOD Class Captain, President of the IOD World Class
Association and friend to all.
In July, we hosted the North American Invitational Regatta with fifteen
entries from around the US and Canada. The event was a success and was
a good organizational warm-up for the IOD World Championships which
we will host in August 2017.
Next season will also mark the return of a long lost friend of the IOD
Class. Magic Bus, No. 20 will make her long awaited and much anticipated
return to our Class!

IOD NORTH AMERICAN CHAMPIONSHIP
The 2016 IOD Class North American Invitational Regatta was a
resoundingly successful event. Many Fleet members participated as
crew members and five of the fifteen boats that competed were helmed
by our local teams. Others generously filled out the crew for some of
our visiting competitors. Many of our sailors devoted countless hours
to organize housing, parties, boat repair, meals, rock boats, and race
management.
It was an inspiring event, bringing together SO many volunteers
to make a memorable series. Melissa Walls did an outstanding job
organizing entries, caterers, and all of the many details associated with
an event of this magnitude. Tucker Charles and Emma Rusk did a
remarkable job on mark set for the racers.
Employing a daily boat rotation instead of a race-by-race rotation
meant that nine races could be completed over the course of the regatta.
Mid-summer weather brought us some fickle and light breezes but the
mountains of Acadia often turned the heat pump on and pulled in the
cool sea-breeze as the day heated up. A relentless northerly was always
fighting with high pressure.
Congrats to the Defending Champions John Roberts with his able
'Woodie' crew of Jack Roberts, & Drew and Chris Hopkins. They
eeked out a hard fought one point victory over our own 'Gambler' team
of Chad Thieken, Tyler Steel, John Henry, and Tad Templeton.

The MDI Luders Class had another extraordinary year of development
as demonstrated by the many new boats and owners joining the fleet. A
total of twenty-three boats raced, and it was not unusual to see nineteen
on the line at the same time. In addition, there are new members of the
class who are working on recruiting more sailors and boats to the fleet. The
Luders 16 class is currently completing a reorganization, involving new
by-laws and rules driven by the explosive growth over the last few years.

NORTHEAST HARBOR FLEET SAILING SCHOOL
REPORT OF THE SAILING SCHOOL PRESIDENT
The Sailing School team put a great deal of effort and focus, in advance
of the 2016 season, into curriculum, as well as safety and general rules
for land and sea. We owe a debt of gratitude to our Sailing Director,
Tyler Killion, and our Manager, Fran Charles, for taking on these new
initiatives with omnipresent enthusiasm and a fair share of elbow grease.
The curriculum still requires fine tuning. Our first challenge is the
wide variation in student-days; some come for a week, some for the
season, and everything in between. Our second challenge, once children
move from rowing, is the wide variety of abilities across the age groups.
Placing an experienced 9 year old with his equivalent, who is age 12,
is never popular. Also, pairing friends and cousins together, as is often
emphatically requested, can trump the ideal educational conditions.
Sailing school is a place to build both skills and life-long friendships. Our
goal has been, and will be, to support one, without sacrificing the other.
Having said this, there is a great deal of room for those students
who wish to advance, and many have. One of our board members, Ted
Madara, gave ten of his summer mornings to hold an advanced racing
course for Opti sailors. Our afternoon racing courses in 420's also remain
an option for those who want more experience on the water. Wonderfully,
we have seen a migration of students, though never enough, into racing as
crew in the International and Luders fleets.
Safety and general rules were a focus this year. We placed wind speed
parameters upon the school to avoid getting caught in a big blow, but
thankfully canceling water activity occurred infrequently. All students
are required to wear toed shoes (please help us enforce this at home) and
several students began taking us up on our non-mandatory, suggested, use
of helmets, particularly in our more advanced classes. Discipline on the
docks and in boats was more strictly enforced.
As is the case every year, we received concerns from parents about
safety. Please know that we do all we can to keep our children in a safe

environment. It is important to note, however, that the Fleet grounds and
sailing on boats carry inherent risks that, no matter how much diligence
is given to avoidance, cannot be eliminated. Please, particularly parents
of rowers, consider the maturity of your young child and their ability to
manage the environment before signing them up. In some cases, giving
one more year of ripening on the vine can be the best and safest option.
The highlight of the season was the Northeastern Junior Olympic
Regatta. There were 175 sailors from around New England in our Great
Harbor. Several of our sailors medaled and all put their best foot forward.
The Fleet was well represented. Several in our "Green" fleet of young
beginners either never finished the first leg, capsized on the second leg, or
were fished from the water on the third leg, but all were intrepid as could
be and came back a second day for more! It was inspiring to witness.
There are too many to thank individually for their assistance in making
this regatta such a success. Suffice it to say, the talent and support our
young sailors receive from our "big" sailors in the community, is limitless.
Cutting to the chase, the board of the school hopes that you will
support our general fund this year. Our programs have grown, our
scholarships have increased, and the cost of running the school over
such a short season is significant. We are in need of a nest egg for future
expenses, both foreseen and unforeseen. Your help in feathering that nest
would be greatly appreciated.
As the world changes around us, and not always for the best, the Fleet
dock remains a constant. It is a place of friendships, family, and a love for
the sea. We are all SO very lucky to have such a place.

FLAG ETIQUETTE
GENERAL
Flags shall be flown properly or not at all.
Morning colors are made at 0800; evening colors at sunset.
As used herein, at anchor means not underway; may means the routine is
permissible; shall means the routine is required; starboard spreader means the
lowest, forward-most starboard spreader.
Only one flag may be displayed in the position called for by the routine. Except as
noted herein, any conflict shall be resolved by observing the following hierarchy:

ENSIGN
As used herein, "ensign" means the national ensign or the traditional circle of
thirteen stars around a fouled anchor yacht ensign if of U.S. registry. A yacht in
commission and manned shall display the ensign as follows:
1. At anchor, a yacht shall display the ensign at the stern between morning and
evening colors, except that a yacht that will be unmanned at color time shall make
evening colors before hand.

2. Underway, a yacht shall display the ensign when there is sufficient light for
identification.
a) A power yacht or a sailing yacht under power alone shall display the ensign at
the gaff or, lacking a gaff, at the stern.
b) A yacht under sail, when not racing, shall display the ensign preferably at the
gaff or upper leach of the after most sail, or at the stern. The ensign shall not be
displayed while racing.
3. The traditional yacht ensign shall not be flown in international waters.
NEHF BURGEE
The Club burgee may be displayed only when a yacht is under the
direct command of a Northeast Harbor Fleet member. The Club burgee shall be
displayed at the bow staff of single masted power yachts, at the foremost truck of
schooners and multi-masted power yachts and at the mainmast truck of other rigs.
The Club burgee shall be flown ONLY at the masthead position, never at a
spreader or other unauthorized position.
The Club burgee may be displayed at night.
DRESSING SHIP
On the appropriate occasions, a yacht may, when at anchor, or when underway in
a marine parade, weather permitting, dress ship from morning to evening colors.
Any sequence is acceptable. The proper procedure is that the halyard line of the
last flag off the bow and the stern should just touch the waterline.
PRIVATE SIGNAL
The private signal is normally displayed when the ensign is hoisted. It may be
displayed at the mainmast truck of schooners and power yachts and at the mizzen
truck of yawls and ketches.
Cutters and sloops may display the private signal at the truck in lieu of the burgee
except while at anchor. At anchor, they may display the private signal at the jack
staff.
The private signal may be displayed at night.

BY-LAWS of
THE NORTHEAST HARBOR FLEET
(AMENDED AND RESTATED AS OF FEBRUARY 8, 2017)
By Certificate of Organization of a Corporation under the general Law of the
State of Maine, the name of said corporation is: The Northeast Harbor Fleet
The purpose of the corporation is: A Yacht Club for the promotion of
yachting as an amateur sport at Northeast Harbor in the Town of Mount Desert,
Maine and its vicinity.
ARTICLE I - MEMBERSHIP
SECTION 1. Membership in the Northeast Harbor Fleet shall be open
to persons interested in yachting and shall be divided into seven classes,
namely: Honorary Members, Senior Members, Family Members, Individual
Members, Intermediate Members, Sustaining Members, and Resident Student
Members. The Board of Directors, or its designees, may from time to time
elect eligible persons to one of the seven classes of membership. Candidates
for membership must be nominated and seconded for membership by Family,
Individual or Intermediate members in good standing. The nominating letters
should be addressed to the Chairman of the Membership Committee, The
Northeast Harbor Fleet, P.O. Box 462, Northeast Harbor, Maine 04662. A
former member who was in good standing* at the time their membership was
terminated may apply for new membership by submitting an application to the
Chairman of the Membership Committee. *"In good standing" means that all
dues, assessments and fees had been paid in full.
HONORARY MEMBERS - Honorary Members shall be such persons as
the Board of Directors may from time to time elect to Honorary Membership.
Honorary Members are entitled to the full privileges of membership. There are
no dues or assessments for Honorary Members.
SENIOR MEMBERS - A member who has reached the age of 80, and who
has paid dues for a period of 35 years, shall not be required to pay further dues
and assessments. Annual dues and assessments for those members who reach
the age of 70 and who have been members for 25 years may be at a reduced rate
as set by the Board of Directors. Senior Members have the same privileges as
Individual Members.

FAMILY MEMBERS - Any person or couple otherwise eligible for
membership may be elected to Family Membership of the Fleet. Family
Membership is required when more than one individual in a family unit
consisting of a head of household, his or her spouse and or their children under
the age of 24 desires to enjoy the privileges of membership or to extend these
privileges to Family Guests (defined as visiting children, grandchildren, or great
grandchildren of the Family Member(s) for a period not to exceed one week
each summer). Family Guests need not be resident in the same household as the
Family Member(s). In no case will Family Guests be eligible for more than one
week membership privileges per summer. Upon reaching the age of 24, children
of Family Members shall be automatically eligible for Intermediate Membership.
INDIVIDUAL MEMBERS - Any eligible person who has reached their
30th birthday may be elected an Individual Member of the Fleet. An Individual
Member of the Fleet may become a Family Member without application by
notifying the Chairman of the Membership Committee and paying the dues for
that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has reached their
24th birthday but has not yet reached their 30th birthday as of the last day of the
current Fiscal Year may become an Intermediate Member of the Fleet. Current
Intermediate Members qualify as "member on board" to win Fleet Trophies, are
eligible to represent the Fleet as NEHF Team Members and may invite guests.
They may become Individual Members or Family Members when they reach
their 30th birthday, without application, upon paying the dues, assessments, and
initiation fee for Individual or Family Membership. The initiation fee shall be
reduced by the amount of prior dues paid by the applicant in this category
SUSTAINING MEMBERS - A person who has been a member of the Fleet
for five consecutive years or more may become a Sustaining Member by notifying
the Chairman of the Membership Committee before April 30 of the current year.
Sustaining Members have no voting privileges, are not entitled to participate in
Fleet events, use the Fleet facilities or rent a Fleet mooring and are not counted
in the calculation of a quorum for Member Meetings. Sustaining Members
who wish to re-instate their full membership (either Individual or Family) must
notify the Chairman by before April 30 of the current year and must pay the
appropriate Membership Fee.

RESIDENT STUDENT MEMBERS - Available to persons who are residents
of Hancock County, who have reached their 6th birthday and are enrolled as
students in the Northeast Harbor Sailing School. Resident Student Members are
not entitled to voting privileges, and do not qualify as the "Member on Board" in
Northeast Harbor Fleet races, other than those races conducted by the Northeast
Harbor Sailing School. There shall be no initiation fee for Resident Student
Members.
GUESTS - The Northeast Harbor Fleet welcomes the crews and houseguests
of members when they are accompanied by the member and abide by Fleet
regulations. House guests may participate in the Adult and Junior Sailing
Program(s) of the Northeast Harbor Sailing School for a period of up to one
week, provided: 1. they are sponsored by the member; 2. there is space in the
Program; 3. they meet such eligibility requirements as the Fleet may from time
to time have in effect for the programs, and 4. they pay the applicable activity
fees. The facilities and moorings of the Fleet are restricted to use by members
only, except upon invitation of the Fleet to non members participating in Fleet
sponsored events.
INITIATION FEE - The Board of Directors may establish an initiation fee
that shall be paid by new Family and Individual Members of the Fleet and those
former members whose membership has lapsed for one year or more.
SECTION 2. Annual dues for the seven classes of membership shall be set
by the Board of Directors. Dues, assessments, and charges are payable within
30 days of invoice A member whose dues, assessments, or charges remain
unpaid on July 1 is subject to having his or her name posted at the Fleet until
outstanding invoices have been paid. A boat will only be scored in a Fleet race or
event once the outstanding dues, capital assessments, charges and/or entry fees
(if any) have been paid. A race entered prior to payment shall be scored a DNS.
Members whose dues, assessments or charges are unpaid by July 31 will have
their names dropped from the membership rolls and is subject to initiation fee(s).
SECTION 3. To fund capital assets, the Board of Directors may also assess
the membership a sum in addition to the annual dues, capital dues, but only
upon notice to the membership of the purpose and need for any such assessment.
The assessments shall be limited to the Family and Individual members and shall
be in proportion to the annual dues for those classes of members.

SECTION 4. Any member who shall have paid all dues, capital dues and
charges currently owed may resign upon written notice given to the Treasurer.
Upon termination of membership for any reason, a member shall forfeit to the
Fleet all the benefits and privileges of membership and all right, title and interest
in and to the Fleet and any of the Fleet's property.
SECTION 5. Membership shall not be transferable unless, in the case of death
of a member, the Board of Directors in its discretion shall SO permit.
SECTION 6. A member may be expelled by a majority vote of the Board
of Directors or a majority vote of the entire Fleet Membership at any duly
convened meeting of said Board or members of the Fleet, for failure to comply
with the articles of incorporation, by laws, or any duly adopted policies, rules
or regulations of the Fleet, provided that ten days written notice shall have been
given to such member setting forth the intention to propose his or her expulsion,
the specific reasons thereof, and the right of the member to appear and be heard
in person or by counsel at the meeting at which such expulsion shall be proposed.
ARTICLE II - MEETINGS OF MEMBERS
SECTION 1. The annual meeting of members shall be held at Northeast
Harbor in the month of August or September in each year on such day and at
such hour and place as the Board of Directors shall determine. Special meetings
of the members may be called at any time by the Commodore or by the Board of
Directors or at the written request of ten or more members.
SECTION 2. Seven days written notice, from the date of postmark, of each
meeting of the members shall be sent to each voting member. In the case of
Special meetings, notification given by electronic mail will be considered written
notice. If a meeting is adjourned, it shall not be necessary to give any notice of the
adjourned meeting.
SECTION 3. Each voting member, which shall include all members except
Sustaining Members and Resident Student Members, shall be entitled to vote in
person or by proxy at every meeting of the members.
SECTION 4. The election of Officers and Directors shall be by ballot. A
majority of the votes cast at a duly organized meeting at which a quorum of
members is present in person or by proxy shall be necessary at all elections. Ten
percent (10%) of the members eligible to vote shall constitute a quorum for the

transaction of business at any meeting of members.
ARTICLE III - OFFICERS AND DIRECTORS
SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice
Commodore, a Rear Commodore, a Clerk, a Treasurer and such other officers
and assistant officers as may be deemed necessary and advisable by the Board of
Directors.
SECTION 2. All Officers and Directors shall be elected by the members of
the Fleet at the annual meeting and shall hold office from the first of October
following the election for a period of one year, or until their successors are
elected. Except as provided in Article VI, no person shall be eligible for election
to any office at the annual meeting unless nominated in writing by five members
and filed with the Clerk not less than five days before the annual meeting. All
such nominations shall be posted on the bulletin board of the Fleet for five days
preceding such meeting.
SECTION 3. Any Officer or Director may be removed by the members at a
special meeting of the members called expressly for that purpose whenever, in their
judgment, the best interests of the Fleet will be served thereby, and the members
shall have the power to fill any vacancies in any office, occurring for whatever
reason. The affirmative vote of 2/3 of the members entitled to vote shall be
required for the removal of an Officer or Director.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining the offices
of President, Senior Vice President, Vice President, Secretary and Treasurer,
respectively. The Commodore shall be an ex officio member of all committees.
SECTION 5. The Board of Directors shall consist of the Officers.
SECTION 6. The Board of Directors shall manage the affairs of the Fleet, and
except as otherwise provided by the Charter or by these bylaws, shall exercise all
powers of the Fleet. Specifically, but without limitation, the Board of Directors
shall have the power and authority to hire and appoint a Fleet Manager and
Assistant Treasurer to perform those duties assigned by the Board of Directors. A
majority of the Directors shall constitute a quorum for the transaction of business
at any meeting of the Board of Directors. The act of the majority of the Directors
present at a meeting at which a quorum is present shall be the act of the Board of
Directors.

ARTICLE IV - MANAGEMENT COMMITTEE
SECTION 1. The Management Committee shall consist of the Officers and
such other members appointed by the Commodore.
SECTION 2.
The Management Committee shall have such authority as
may be delegated by the Board of Directors from time to time.
ARTICLE V - RACE COMMITTEE
SECTION 1. The Race Committee shall consist of five or more appointed
members and the Commodore and the Fleet Manager, as members ex officio.
The appointed members shall serve for the same term, as provided by these
By Laws with respect to Officers. Members of the Committee shall notify
the Chairman of the Committee prior to July First if they are unable to be at
Mount Desert Island for any part of the summer during which they have been
appointed. The Race Committee Chairman shall fill any vacancies which may
occur for whatever cause, and may, at his/her discretion, at any time during the
summer when there are insufficient members of the Race Committee present for
the Race Committee to perform its assigned duties, appoint additional members
of the Race Committee.
SECTION 2. The management of all races shall be under the direction of the
Race Committee. All decisions of the Race Committee shall be by a majority
vote of its members present, except that in the case of a tie, the Commodore
shall cast the deciding vote, except as modified by these By Laws, or by Sailing
Instructions applicable to specific events or the general authority of the Race
Committee as defined in the Racing Rules of Sailing as adopted by the United
States Sailing Association.
ARTICLE VI - NOMINATING COMMITTEE
SECTION 1. The Nominating Committee shall be formed each year by the
Commodore to nominate candidates for office. The Committee shall consist of
five members, selected in the following manner: Two members shall be the most
immediate past Commodores willing to serve, with the most immediate past
Commodore as Chairman. One additional member shall be appointed by the
current Commodore. Two other members shall be appointed by the Chairman
described above.

SECTION 2. It shall be the responsibility of the current chairman of the
Nominating Committee to determine the two past Commodores willing to serve
on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office each
year.
SECTION 4. No candidate for office shall serve on the Nominating
Committee.
ARTICLE VII - FLEET INSIGNIA AND FLAG
SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow
pointing northeast. It shall be shown as in the published in the Annual Report.
SECTION 2. The Fleet Burgee shall consist of a red pointed flag, the hoist
to be two thirds of the length, with the Fleet insignia in blue of a diameter equal
to one third of the length centered equidistant from the two longer sides of the
flag and one third of the distance from the hoist to the end of the flag; the space
between the outer band and the central disk of the insignia to be white.
SECTION 3. The members of the Fleet shall have the exclusive right to fly
the Fleet Burgee. The Fleet Burgee shall be as shown on the front cover of the
Annual Report.
ARTICLE VIII - FISCAL YEAR
The fiscal year of the Fleet shall end on September 30.
ARTICLE IX- AMENDMENTS
These bylaws may be amended by the Board of Directors or by the members
at any regular or special meeting duly convened after seven days written notice
to the members of the Board of Directors or the members of the Fleet as the case
may be of that purpose; provided that within sixty days after the amendments
of these by laws by the Board of Directors, written notice shall be sent to each
member. In the case of the Board of Directors, notice given via electronic mail is
considered written notice.

ARTICLE X - DIRECTOR OR OFFICER CONFLICT OF INTEREST
SECTION 1. A conflict-of-interest transaction is a transaction in which a
Director or Officer of the Fleet has a direct or indirect financial interest. For
the purposes of this section, a Director or Officer has an indirect interest in a
transaction if (a) another entity in which the Director or Officer has a material
interest or in which the Director or Officer is a general partner is a party to the
transaction; or (b) another entity of which the Director or Officer is a director,
officer or trustee is a party to the transaction.
SECTION 2. A conflict-of-interest transaction is not voidable or grounds for
imposing liability on a Director or Officer if the transaction was fair at the time it
was entered into or is approved as provided in Section 3.
SECTION 3. A transaction in which a Director or Officer has a conflict
of interest may be approved by the Directors or the members before or after
consummation of the transaction as follows:
A. The Board of Directors or a committee of the Board may authorize, approve or
ratify a transaction under this section if the material facts of the transaction and the
Director's or Officer's interest are disclosed or known to the Board or committee of
the Board. A conflict-of-interest transaction is approved if it receives the affirmative
vote of a majority of the Directors or of a committee of the Board who have no
direct or indirect interest in the transaction, but a transaction may not be approved
under this subsection by a single Director. If a majority of the Directors who have
no direct or indirect interest in the transaction vote to approve the transaction, a
quorum is present for the purpose of taking action under this Section.
B. The members may authorize, approve or ratify a transaction under this Section
if the material facts of the transaction and the Director's or Officer's interest are
disclosed or known to the members. A conflict-of-interest transaction is approved
by the members if it receives a majority of the votes entitled to be counted under
this Section. Votes cast by or voted under the control of a Director or Officer who
has a direct or indirect interest in the transaction and votes cast by or voted under
the control of an entity described in subsection 1, paragraph A may not be counted
in a vote of members to determine whether to approve a conflict-of-interest
transaction. A majority of the voting power, whether or not present, that is entitled
to be counted in a vote on the transaction under this Section constitutes a quorum
