REPORT OF THE COMMODORE
Dear Members,
Our 99th year as a Fleet did not disappoint.
Picnics, gatherings, and BBQs were reignited after the three years of
pandemic restrictions. Being able to enjoy our Fleet House and share
sea stories with our friends felt oh SO welcomed once again. The new
policy of awarding the perpetual trophies on the day of an event made
the gatherings even more festive. Winners can now enjoy them for the
summer with a promise and a handshake to return them by Labor Day
for engraving and safe keeping. Thank you, Kelsea for your fantastic
organizational skills to make this all happen.
At the Fourth of July opening Picnic we welcomed many new members
and even more joined during the summer. Thank you Alix Smith Long
for all your diligence in managing our Membership Committee. Junior
student membership was also up. These young sailors are the lifeblood of
our Fleet and I am thrilled to see the numbers climbing. Welcome one
and all.
Sailing school lessons operated at maximum capacity for most of our
summer under the direction of Nick Steenberg. We had twenty-one
resident students and we hope to expand that number in 2023.
The August Cruise was back and was paired nicely with the Eggemoggin
Reach Regatta a.k.a. the Varnish Festival. We raced in a dying breeze on
Friday as we headed to The Reach, enjoying the splendor of the wooden
boat race on Saturday with many spectator boats from our Fleet. On
Sunday we had a boisterous race back to Gilpatrick Cove. All in all, a fun
weekend which we plan to repeat this coming summer. Come join the
fun.
In September, we hosted the IOD North Americans. Fourteen teams
competed for the trophy. Over the long weekend, our generous IOD
owners loaned their boats, members opened their homes, and a host of
amazing and gracious volunteers prepared and helped run the races and
feed the sailors. Fran Charles and Kelsea Squires lead the charge with

precision, humor, and style. Once again, our humble Fleet ran a top-notch
event. We should all be proud.
The real showstoppers, however, were our local youth team who
dominated the six race North Americans series. Sophie Dowling drove
her MDI team of Alec Fisichella, Connor Ratcliff, Nate Ingebritson and
Sean Beaulieu to the top step on the podium with confidence, poise and
practiced teamwork. Well done.
With beautiful weather most every day this past summer our docks
were filled with picnickers and racers, keeping Steve Lawson and our
launch drivers Tucker Charles, Liam Hollis and Ben Hulbert very busy.
We appreciate everyone's hard work in keeping all of our waterfront
assets operational down on the docks and keeping a keen eye out on our
memberships' boats.
Bill Smith, head of the Grounds Committee, and Roy Hadlock, who
takes care of our waterfront assets, continue to keep our grounds, docks,
and moorings at Gilpatrick and Clifton in the best shape they can be.
Our Annual Meeting was held in person at the Fleet House and was
also available via ZOOM. It was wonderful to be back in the Fleet House
with members reviewing our year and announcing trophy winners.
As you may know Fran Charles is stepping down as General Manager of
the Fleet. Fran started as General Manager in 2009 and raised the level of
racing in our Fleet to a professional standard that will be hard to match.
His race descriptions are bar none, SO that when you read his summaries,
you can recall the entire race tack for tack. His humor and style will be
missed, too. We'll also miss Fran's wife Sue and son Tucker. Sue's art and
photography have highlighted our summer in paintings, video, photos and
our annual report which Sue has designed for eleven years. Over thirteen
years, Tucker has been a popular instructor, a skilled launch driver and
boatswain and has acted as a one-man Race Committee organizing and
setting courses for Fleet racing throughout the fall. Thank you, Fran, Sue
and Tucker for your dedication to the Fleet. We will miss you all but know
you will continue to be a part of the landscape of MDI.
We now welcome Nick Johnstone to the position of General Manager.
Off season, he is the head coach of The Citadel, Military College of South
7
Carolina's sailing team, a role he has held since 2020. Nick swiftly helped
turn the program into one of the top teams in their conference and is
excited to continue that trend. Development of sailors ranging from no
prior experience to helping more advanced racers reach the highest levels
of college sailing has been a focal point for Nick during his time coaching
The Citadel. Please reach out and welcome Nick when you see him around
this summer.
Planning stepped into high gear for
the celebration of our 100th summer.
As you have hopefully seen and heard,
we have a fun and action-packed
weekend planned on July 28th and
29th of 2023. Save the dates!
We are also taking this unique
opportunity to evaluate our physical
plant and define our collective vision
for our next 100 years. Our founders
gave us what we have today and now
it is our turn to step up, plan, and
envision our Fleet now and in the
future. We will kick off our celebration
at our Fourth of July picnic at the Fleet
House and hope all of you and your
families are there to celebrate and embrace where we are and where we are
going.
Lastly, I want to thank John Roberts for his diligent work as our
treasurer since 2017. He has made our complex trio of organizations run
smoothly and seamlessly and he continues to advise us as we plan for the
Centennial. Thank you, John.
We had a wonderful year, and it was a joy being your Commodore.
Thank you. I am looking forward to celebrating with you all as we chart
our new course towards 2123!

REPORT OF THE FLEET MANAGER
Our fourteenth summer with the Northeast Harbor Fleet was especially
enjoyable, with our youth program at the Sailing School at maximum
capacity and with sailors and families enjoying the Ventures, Teras and
Arey's Pond Catboat throughout the season. Nick Steenberg and his talented
and patient staff were lighting the fires of
enthusiasm on a daily basis as evidenced by
the fact that everyone was anxious to sail on
even cold and rainy days.
The facilities and grounds were very
well taken care of by the team led by
the multi-talented Kelsea Squires, who
managed to fit this in on top of her daily
responsibilities of organizing enrollment,
welcoming new members, organizing parties,
ordering trophies, creating invoices, making
mooring assignments and creating weekly
membership updates.
Our launch driver staff was led by the always-ready Steve Lawson who,
along with Tucker Charles, Liam Hollis and Ben Hulbert, kept all of the
Fleet and SS owned boats operating well. The mooring fields are at capacity
in both locations and we need new moorings for new members. Meanwhile
the harbormaster has requested we move some moorings away from the
busy thoroughfare to Somes Sound. We tried to accommodate both issues
by proposing a plan to retract our southwest perimeter in Gilpatrick and
expand our mooring field into the cove area east of the Ledge. Our neighbors,
however, made it crystal clear that they did not want moorings in front of
their property, SO the plan has been tabled for the time being.
High quality sailboat racing was one of our highest priorities and it couldn't
have been a more pleasurable team to work with. Sue Charles assisted on
every weekend and captured many images of folks enjoying the fun against
the gorgeous natural backdrop of Mount Desert Island. Brit Van Alen,
Maddie Marron, Alec Fisichella, and Campbell and Moose Herrington all

made significant contributions to the professional level of race management.
It was very successful because of their assistance.
The IOD Class saw a new addition this summer with Ned Johnston in the
flying Gosling joining the competition and winning the July series fresh out
of the box. Peter Ill in his Silver Spray came back to win the August Series,
teaching everyone a lesson in consistency. In a victory for inclusion and in
the future of sailing, every boat now has women aboard and we are seeing the
average age of participants dropping, too. A stellar team of recent graduates
from the MDI Community Sailing Center cleaned house at the IOD Class
North Americans which was hosted by The Fleet and organized by Steve
Madeira. The Luders Class also continues to be competitive with Otto and
Bill Smith pushing hard along with Ned Johnston, Bill Knowlton and Dave
Folger with Auria Mauras.
It is important to recognize the dedicated and stalwart efforts of Roy
Hadlock in keeping all of our moorings properly maintained and set-up again
every Spring. Roy does a fantastic job in taking care of our fixed piers and
floating docks as well.
This summer members will celebrate the centennial anniversary of the
founding of the Fleet. Peter Ill, Lisa Ehrhart, Mia Thompson and Sue Charles
worked on marketing. Gala Committee members Chris Groobey, Joe Peine
and Pancho Cole have planned an exciting Barn Dance with top notch
musicians, The Duke Ellington Orchestra Quintet. Fleet Raft Up in The Sound
with the Hayward Cup following is being organized by John Henry. It will be
a gala event to remember.
Now it is time for Sue, Tucker and I to move in a different direction with
our lives SO we can spend more time with our family during the glorious
days of summer. We have enjoyed getting to know SO many people on MDI
and want you all to know we appreciate how friendly everyone has been,
embodying the inclusive mission surrounding the Northeast Harbor Fleet.
We'll be up and about this Spring and Fall and for years to come.

REPORT OF THE FLEET HISTORIAN
Anticipating the centennial celebrations of 2023, the role of Fleet
Historian was reconstituted and a Northeast Harbor Fleet History
Committee was formed in the summer of 2022. With a new interest
in the historical collections and archives of the Fleet, the first task
(undertaken before the formal creation of the History Committee) was to
locate and assemble everything that could be
found at the Fleet House.
Remarkable things turned up, such as the
watercolor rendering for the proposed Fleet
burgee, at left. Sometimes hiding in plain
sight, but often relegated to the backs of
filing cabinets or cardboard boxes, scrapbooks

detailed the founding of the Fleet, early

race records recorded the development of

various one design classes, and photographs
1923, an early scrapbook in the Fleet's collections
captured a bygone era. Forgotten trophies
were brought out of storage and paintings were located; documents
and photographs gave insight into boat models and furniture scatted
throughout the building. It soon became clear that this process was going
to be more extensive than anybody imagined, but also more exciting.
In the late summer the Fleet joined The History Trust, a collaborative
of area museums, libraries, and cultural institutions. Check out
historytrust.org for more information. This membership will allow us to
work with, and learn from, neighbors and colleagues, and also makes it
possible to share objects and resources from the Fleet's collections through
our own digital archive site: nehfleet.digitalarchive.us
In the fall we engaged the History Trust to begin cataloguing our
collections, allowing us to start to understand what historical materials
exist within the Fleet's collection. Catalogue entries are being added to our
digital archive site, and more will be added as this process continues.
Several of the oldest scrapbooks were digitized over the winter, as well as
a nearly-complete set of Fleet annual reports. Those will be added to our

From the Log Book, Northeast Harbor Fleet, 1923, an early scrapbook in the Fleet's collections
digital archive this spring. By the start of summer, you'll be able to access
these from home. Learning about the Fleet's history will be as easy as a
trip to your computer.
Beyond historical documents and objects, the History Committee has
also been interested in gathering anecdotes and Fleet stories that may not
have been formally recorded. Gordon Beck and Kevin Peraino planned
and conducted oral histories, and gained new insight through informal
- and often very funny - stories. If you'd like to be interviewed, or have a
suggestion, please send an email to nehfleethistory@gmail.com.
To make sure the Fleet's historical collections are cared for and preserved
for the future, we have discussed and drafted policies. With these in place,
we will be able to accept material donations to the Fleet collection. There
are some missing annual reports in the Fleet's holdings, and maybe you
can help!
In its short existence, the History Committee has been very busy. I hope
that having access to these materials, knowing that the originals are safer
and more secure than ever before, sparks a new interest in the Fleet, and
an appreciation for this impressive club.

REPORT OF THE GREEN TEAM
The Fleet's Green Team had a successful summer, starting early by
enlisting area boatyards in a shrink wrap recycling program that collected
nearly 2,500 pounds of reusable plastic. Our 'pack it in/pack it out' no
waste policy continues to reduce trash disposal on Fleet property. July
brought a rejuvenated Baker Island shore clean-up. Volunteers gathered
over 20 demolition bags full of refuse and a bunch of trashed lobster traps.
We closed the season with an underwater clean-up of the bottom
of Gilpatrick Cove in October, thanks to Diver Ed and his team of
volunteers. Divers with mesh bags scoured the ocean floor and came up
with 468 pieces of trash, as a dozen children and assorted adults helped
rescue the sea creatures stuck inside or on the outside of old bottles, plastic
containers, and other junk. For more details, photos and information on

Last Day of Racing for IODs and Luders 16s
TROLLPHY REGATTA
INFORMAL RACE SERIES
Informal racing for both Luders and IOD Class sailboats occurred
on two Saturdays in September and again on the Saturday of
Indigenous People's weekend. Scores were ignored and
participation was the highlight.
Many thanks to Sydney Roberts Rockefeller for creating the
intriguing trophy and to Tucker Charles for running great races
throughout the fall.

REPORT OF THE CRUISING CLASS CAPTAIN
The 2022 Cruising Class season marked a return to a full slate of sailing
events, out from under the long shadow of COVID. The season got off to
a strong start with excellent turnouts for the Reath Trophy, the Hospice
Regatta and the MDI Series for the Haaland Trophy. The very popular
Double Trouble Regatta doublehanded continued to prove that shorter
races with smaller crews are becoming the wave of the future.
Our reinvented version of the August Cruise also proved to be very
popular. Five boats joined the IOD's to sail to the Wooden Boat School
for the Eggemoggin Reach Regatta. What a sight to behold the harbor
with hundreds of beautiful wooden boats gathering for the race. The party
onshore wasn't bad either, with a huge catered dinner and live music. On
Sunday we had a superb sail back to MDI around the outer islands. If you
didn't make it last year we hope you can join us in 2023.
This past year marks the end of my tenure as your Class Captain as I
have decided to step aside. Chris Groobey has graciously agreed to step
into the role this year. As many of you know, Chris is an excellent sailor
and will bring his trademark energy and enthusiasm to the role.
Thank you, as always, to the Flag Officers, Race Committee and Fleet
management for all of their hard work. This year we celebrate the 100th
anniversary of the Fleet. We hope you can join us on the water for some
of the great racing and other on the water events that are planned for the
year.

AUGUST CRUISE
Corrected Time Races
AUGUST 5-7, 2022
Eight IODs made their way over to Brooklin for the amazing varnish
festival. Regatta organizers complimented Fleet members who made the trip
and the IODs got to show off their gorgeous lines since they started ahead
of all the other 126 boats gathered to race. Tom Fremont-Smith in Live
Yankee got to start even farther ahead (by mistake). The breeze was light and
continued its weak pressure as a SE wind faded into a localized seabreeze
which never made it all the way in, leaving many boats stranded. Gambler
sailed by John Henry won the ERR race by a country mile with Caribou
and Eagle in chase.
The race home was a spirited adventure with a long beat to Halibut Rocks
from the Reach with a huge assist from the ebbing tide in a fresh southwesterly.
The cruisers continued out around Swan's Island to port while the IODs
stayed inside and passed through the Casco passage. It was an amazingly close
race with the lead changing many times and all navigational aids being totally
ignored. (This is allowed in the August Cruise each year.) Eagle won the trip
home in IODs and Cybele crushed the cruising division with her big red and
white asymmetric spinnaker. Tony St. Denis rambled along in Eleanor and
grabbed second place for the race. Anne and Chris Hopkins captured the
non-spinnaker division on Watermark.

MAX WARBURG MEMORIAL TROPHY
This trophy acknowledges the long life and the short life of Eric and Max Warburg,
each exemplifying extraordinary courage.
Eric, born in Hamburg, Germany, was an influential partner in the family bank serving
maritime industries, yet in the face of Nazi persecution, Eric joined US Army intelligence
and his focus became assisting in the safe escape of family and community. In the face
of skepticism, adversity and fear for his own life he courageously returned to Hamburg
after the war and inspired a reunion of family and community.
Max, in his II-year life, was an avid sailor, and often a member of David Rockefeller's
'Cybele' crew competing on the Great Harbor. His courage was expressed in his deter-
mination to beat his disease and in his many public appearances imploring the general
pubic to become bone marrow transplant donors.

REPORT OF THE
INTERNATIONAL ONE DESIGN CAPTAIN
Greetings from the Northeast Harbor IOD Class.
We had a great 2022 sailing season. The 4th of July series kicked
everything off for us with fourteen boats. Commadore Mia Thompson
sailed her Freyja to first place after winning the tiebreaker against Gary
and Steve Maderia's Auriga. The always fast Courtenay Jenkins in Eagle
kept them honest, finishing just one point behind in third place.
The July Series had sixteen IODs racing and introduced us to a new
crew with a recently refurbished IOD, Gosling. Ned Johnson and his
super speedy team of Bill Smith, Otto Smith, Stephen Linscott, and Alex
Donahue dominated the series, to win by 23 points over the defending
World Champions in Live Yankee. Fred Ford and his orange Jelly Bean
finished just behind in third place.
The August series had nineteen IODs with different crews jumping
in for one or two races. Everyone was excited to see what damage Sofie
Dowling and her expert young crew could do in August after missing July
without a boat. Unfortunately, these hard working college kids couldn't
get enough Monday's off to compete. So, without the shirtless wonders
out there, it was a slugfest between the newly crowned July series champs
in Gosling VS the defending August series champ Peter Ill's Silver Spay.
Peter won by making zero mistakes and Gosling settled for second place.
Commodore Mia Thompson sailed very fast in Freyja to keep the boat full
of gods and goddesses on the podium in third place.
The fall season began with a race down Somes Sound to picnic on Labor
Day and then rolled into the North American Championship. The NA's
were S bit of a disappointment in the weather department as the normal
northerly's from Canada never showed up, but they were definitely not
a disappointment in the trophy department. In light and variable breeze
Sofie Dowling, Connor Ratcliff, Lucas Ingerbrtson, Sean Beaulieu and

Alec Fisichella absolutely crushed the fleet of 14 IODs from all over North
America and Bermuda. Ted Murphy's crew from Chester, Nova Scotia
claimed second place with Bermudian Blythe Walker taking third place..
What a great way to end the season.
I look forward to seeing you on and off the water when our special
gatherings resume.

REPORT OF THE LUDERS 16 CLASS CAPTAIN
The Luders class continued to offer competitive racing and comradery
during the summer of 2022. The L16 class competed in the L16 racing
series from July 4th through the Fall series having a range of participation
from five to thirteen boats on the starting line. Reviewing the results of
all the series races there were eight different
boats that scored results in the top three
places. From the back of the fleet to the
front, every position is well earned.
I recall a quintessential Friday afternoon
in the middle of the summer, the breeze was
out of the west 5 -12 knots, tide was ebbing
and the sky was crystal clear. Shearwater was
starting the races in the center of the Great
Freight Train to your Love Baby, Fiona & Seawolf
Harbor and the windward mark was T, the
red nun off the SWH Coast Guard station. After the start, boats went
upwind to the right towards Greenings Island, up the middle to SWH
and to the left towards the Manset shore. The westerly breeze offered the
nimble L16s the opportunity to slice upwind in the flat water, boats on
the right appeared to gain with the first puff, then the left appeared ahead,
yet boats tacking back and forth in the middle kept making windward
gainings towards mark T. All L16 sailors were challenged in the changing
conditions upwind and downwind, yet the graceful L16 always delivers
a smooth ride and smiles for everyone onboard. I look forward to seeing
Luders' bows pierce through the cold waters of the Great Harbor this
summer, 2023.

Northeast Harbor Fleet Sailing School
REPORT OF THE SAILING SCHOOL PRESIDENT
The 2022 season was a record breaker for the Sailing School. We had 739
class registrations for our regular youth and adult lessons this summer, up
from 668 registrations in 2021, with a total of 292 individual students, up
from 248 in 2021. We expanded the Student Member Initiative in 2022
with plans to increase this initiative in 2023.
In addition to expanding the private sailing lessons, we had 46 total
Women's Sailing registrations for 2022, up from 27 last year, often having
7-8 students attending per session. Powerboat
lessons offered on Tuesdays were successful
as well, with a total of 39 registrations up
from 11 total registrations last summer. At
the peak of the summer, we often had 5-6
students attending one session. For 2023, we
will be adding back in a regular adult sailing
class, as there was plenty of interest for one
this past summer.
The record breaking year was a direct result
LLOVD
of the generosity of many fleet members that
funded the upgade in 2021 and 2022 of our
fleet of boats. We now have a fleet of seven
RS Ventures and 20 RS Teras. The addition
of the Catboat Lucinda was a very welcome
addition in 2022, and it was by far the most popular boat for members and
young familes to take out for a casual sail. IOD Magic Bus been a key driver
in generating interest in sailing IODs and in joining the Fleet.
We all need to thank Franny, Sue, Kelsea, Nick and all of the staff at the
Sailing School for making sailing dreams come true in the Great Harbor for
SO many of all ages.

Northeast Harbor Fleet Sailing School
REPORT OF THE SAILING SCHOOL DIRECTOR
Summer 2022 at the Northeast Harbor Sailing School was a great season,
breaking records across the board with a total of 292 students, up from 248
in 2021, joining us on the water in sailing, rowing, and adult classes. We saw
our women's sailing program almost double in enrollment, with a total of
46 signups, up from 27 in 2021. Special thanks to NEHSS board member
Lisa Brown Ehrhart for all her help running our women's sailing program.
Powerboat lessons were popular too, with a total of 39 signups, up from 11
in 2021.
One of the most
notable highlights
of the summer was
the was the MDI
Longboard Regatta,
where a total of 25
sailors from MDICS, NEHSS, and KYC in Blue Hill raced in RS Teras. We
figure that it was one of, if not the largest RS Tera event on the east coast! A
huge thank you to the entire MDI Community Sailing staff for setting up
the course and running races with us.
Big thanks to Kelsea Squires, Fran Charles, Steve Lawson, and the entire
incredible fleet team for running such a smooth and versatile ship. I especially
want to recognize my team of sailing and rowing instructors, who put
everything they had into the youth programs this summer. Head instructors
Terra Ehrhart, Sophia Hack, Jay Henry, Ana Hontoria, and Elizabeth all did
a fantastic job leading their assigned classes and setting good examples for
the rest of the team. This amazing group of young people inspired me every
day of the summer with their passion for our youth and the future of sailing.
I'd also like to acknowledge our membership, flag officers, and NEHSS
board members for making everything we do possible.

FLAG ETIQUETTE
GENERAL
Flags shall be flown properly or not at all.
Morning colors are made at 0800; evening colors at sunset.
As used herein, at anchor means not underway; may means the routine is
permissible; shall means the routine is required; starboard spreader means the
lowest, forward-most starboard spreader.
Only one flag may be displayed in the position called for by the routine. Except as
noted herein, any conflict shall be resolved by observing the following hierarchy:

ENSIGN
As used herein, "ensign" means the national ensign or the traditional circle of
thirteen stars around a fouled anchor yacht ensign if of U.S. registry. A yacht in
commission and manned shall display the ensign as follows:
1. At anchor, a yacht shall display the ensign at the stern between morning and
evening colors, except that a yacht that will be unmanned at color time shall make
evening colors before hand.

2. Underway, a yacht shall display the ensign when there is sufficient light for
identification.
a) A power yacht or a sailing yacht under power alone shall display the ensign at
the gaff or, lacking a gaff, at the stern.
b) A yacht under sail, when not racing, shall display the ensign preferably at the
gaff or upper leach of the after most sail, or at the stern. The ensign shall not be
displayed while racing.
3. The traditional yacht ensign shall not be flown in international waters.
NEHF BURGEE
The Club burgee may be displayed only when a yacht is under the
direct command of a Northeast Harbor Fleet member. The Club burgee shall be
displayed at the bow staff of single masted power yachts, at the foremost truck of
schooners and multi-masted power yachts and at the mainmast truck of other rigs.
The Club burgee shall be flown ONLY at the masthead position, never at a
spreader or other unauthorized position.
The Club burgee may be displayed at night.
DRESSING SHIP
On the appropriate occasions, a yacht may, when at anchor, or when underway in
a marine parade, weather permitting, dress ship from morning to evening colors.
Any sequence is acceptable. The proper procedure is that the halyard line of the
last flag off the bow and the stern should just touch the waterline.
PRIVATE SIGNAL
The private signal is normally displayed when the ensign is hoisted. It may be
displayed at the mainmast truck of schooners and power yachts and at the mizzen
truck of yawls and ketches.
Cutters and sloops may display the private signal at the truck in lieu of the burgee
except while at anchor. At anchor, they may display the private signal at the jack
staff.
The private signal may be displayed at night.

BY-LAWS of
THE NORTHEAST HARBOR FLEET
(AMENDED AND RESTATED AS OF FEBRUARY 23, 2018)
By Certificate of Organization of a Corporation under the general Law of the
State of Maine, the name of said corporation is: The Northeast Harbor Fleet
The purpose of the corporation is: A Yacht Club for the promotion of yachting
as an amateur sport at Northeast Harbor in the Town of Mount Desert, Maine
and its vicinity.
Article I - Membership
SECTION 1. Membership in the Northeast Harbor Fleet shall be open to
persons interested in yachting and shall be divided into seven classes, namely:
Honorary Members, Senior Members, Family Members, Individual Members,
Intermediate Members, Sustaining Members, and Resident Student Members.
The Board of Directors, or its designees, may from time to time elect eligible
persons to one of the seven classes of membership. Candidates for membership
must be nominated and seconded for membership by Family, Individual or
Intermediate members in good standing. The nominating letters should be
addressed to the Chairman of the Membership Committee, The Northeast
Harbor Fleet, P.O. Box 462, Northeast Harbor, Maine 04662. A former member
who was in good standing* at the time their membership was terminated may
apply for new membership by submitting an application to the Chairman of the
Membership Committee. *"In good standing" means that all dues, assessments
and fees had been paid in full.
HONORARY MEMBERS - Honorary Members shall be such persons as the
Board of Directors may from time to time elect to Honorary Membership.
Honorary Members are entitled to the full privileges of membership. There are
no dues or assessments for Honorary Members.
SENIOR MEMBERS - A member who has reached the age of 80, and who has
paid dues for a period of 35 years, shall not be required to pay further dues and
assessments. Annual dues and assessments for those members who reach the age
of 70 and who have been members for 25 years may be at a reduced rate as set by
the Board of Directors. Senior Members have the same privileges as Individual
Members.
FAMILY MEMBERS - Any person or couple otherwise eligible for membership
may be elected to Family Membership of the Fleet. Family Membership is

required when more than one individual in a family unit consisting of a head of
household, his or her spouse and or their children under the age of 24 desires to
enjoy the privileges of membership or to extend these privileges to Family Guests
(defined as visiting children, grandchildren, or great grandchildren of the Family
Member(s) for a period not to exceed one week each summer). Family Guests
need not be resident in the same household as the Family Member(s). In no case
will Family Guests be eligible for more than one week membership privileges
per summer. Upon reaching the age of 24, children of Family Members shall be
automatically eligible for Intermediate Membership.
INDIVIDUAL MEMBERS - Any eligible person who has reached their 30th
birthday may be elected an Individual Member of the Fleet. An Individual
Member of the Fleet may become a family Member without application by
notifying the Chairman of the Membership Committee and paying the dues for
that class of membership.
INTERMEDIATE MEMBERS - Any eligible person who has reached their
24th birthday but has not yet reached their 30th birthday as of the last day
of the current Fiscal Year may become an Intermediate Member of the Fleet.
Current Intermediate Members qualify as "member on-board" to win Fleet
Trophies, are eligible to represent the Fleet as NEHF Team Members and
may invite guests. They may become Individual Members or Family Members
when they reach their 30th birthday, without application, upon paying the
dues, assessments, and initiation fee for Individual or Family Membership. The
initiation fee shall be reduced by the amount of prior dues paid by the applicant
in this category.
SUSTAINING MEMBERS - A person who has been a member of the Fleet
for five consecutive years or more may become a Sustaining Member by
notifying the Chairman of the Membership Committee before April 30 of the
current year. Sustaining Members have no voting privileges, are not entitled to
participate in Fleet events, use the Fleet facilities or rent a Fleet mooring and are
not counted in the calculation of a quorum for Member Meetings. Sustaining
Members who wish to re-instate their full membership (either Individual or
Family) must notify the Chairman by before April 30 of the current year and
must pay the appropriate Membership Fee.
RESIDENT STUDENT MEMBERS - Available to persons who are residents
of Hancock County, who have reached their 6th birthday and are enrolled as
students in the Northeast Harbor Sailing School. Resident Student Members

are not entitled to voting privileges, and do not qualify as the "Member on
Board" in Northeast Harbor Fleet races, other than those races conducted by the
Northeast Harbor Sailing School. There shall be no initiation fee for Resident
Student Members.
GUESTS - The Northeast Harbor Fleet welcomes the crews and houseguests
of members when they are accompanied by the member and abide by Fleet
regulations. House guests may participate in the Adult and Junior Sailing
Program(s) of the Northeast Harbor Sailing School for a period of up to one
week, provided: 1. they are sponsored by the member; 2. there is space in the
Program; 3. they meet such eligibility requirements as the Fleet may from time
to time have in effect for the programs, and 4. they pay the applicable activity
fees. The facilities and moorings of the Fleet are restricted to use by members
only, except upon invitation of the Fleet to non members participating in Fleet
sponsored events.
INITIATION FEE - The Board of Directors may establish an initiation fee that
shall be paid by new Family and Individual Members of the Fleet and those
former members whose membership has lapsed for one year or more.
SECTION 2. Annual dues for the seven classes of membership shall be set
by the Board of Directors. Dues, assessments, and charges are payable within
30 days of invoice. A member whose dues, assessments, or charges remain
unpaid on July 1 is subject to having his or her name posted at the Fleet until
outstanding invoices have been paid. A boat will only be scored in a Fleet race
or event once the outstanding dues, capital assessments, charges and/or entry
fees (if any) have been paid. A race entered prior to payment shall be scored a
DNS. Members whose dues, assessments or charges are unpaid by July 31 will
have their names dropped from the membership rolls and is subject to initiation
fee(s).
SECTION 3. To fund capital assets, the Board of Directors may also assess the
membership a sum in addition to the annual dues, capital dues, but only upon
notice to the membership of the purpose and need for any such assessment. The
assessments shall be limited to the Family and Individual members and shall be
in proportion to the annual dues for those classes of members.
SECTION 4. Any member who shall have paid all dues, capital dues and
charges currently owed may resign upon written notice given to the Treasurer.
Upon termination of membership for any reason, a member shall forfeit to the
Fleet all the benefits and privileges of membership and all right, title and interest

in and to the Fleet and any of the Fleet's property.
SECTION 5. Membership shall not be transferable unless, in the case of death of
a member, the Board of Directors in its discretion shall SO permit.
SECTION 6. A member may be expelled by a majority vote of the Board
of Directors or a majority vote of the entire Fleet Membership at any duly
convened meeting of said Board or members of the Fleet, for failure to comply
with the articles of incorporation, by laws, or any duly adopted policies, rules
or regulations of the Fleet, provided that ten days written notice shall have been
given to such member setting forth the intention to propose his or her expulsion,
the specific reasons thereof, and the right of the member to appear and be heard
in person or by counsel at the meeting at which such expulsion shall be proposed.
Article II - Meetings of Members
SECTION 1. The annual meeting of members shall be held at Northeast Harbor
in the month of August or September in each year on such day and at such hour
and place as the Board of Directors shall determine. Special meetings of the
members may be called at any time by the Commodore or by the Board of Direc-
tors or at the written request of ten or more members.
SECTION 2. Seven days written notice, from the date of postmark, of each
meeting of the members shall be sent to each voting member. In the case of
Special meetings, notification given by electronic mail will be considered written
notice. If a meeting is adjourned, it shall not be necessary to give any notice of
the adjourned meeting.
SECTION 3. Each voting member, which shall include all members except
Sustaining Members and Resident Student Members, shall be entitled to vote in
person or by proxy at every meeting of the members.
SECTION 4. The election of Officers and Directors shall be by ballot. A
majority of the votes cast at a duly organized meeting at which a quorum of
members is present in person or by proxy shall be necessary at all elections. Ten
percent (10%) of the members eligible to vote shall constitute a quorum for the
transaction of business at any meeting of members.

Article III - Officers and Directors
SECTION 1. The Officers of the Fleet shall be a Commodore, a Vice
Commodore, a Rear Commodore, a Clerk, a Treasurer and such other officers
and assistant officers as may be deemed necessary and advisable by the Board of
Directors.
SECTION 2. All Officers and Directors shall be elected by the members of
the Fleet at the annual meeting and shall hold office from the first of October
following the election for a period of one year, or until their successors are
elected. Except as provided in Article VI, no perso shall be eligible for election
to any office at the annual meeting unless nominated in writing by five members
and filed with the Clerk not less than five days before the annual meeting. All
such nominations shall be posted on the bulletin board of the Fleet for five days
preceding such meeting.
SECTION 3. Any Officer or Director may be removed by the members at a
special meeting of the members called expressly for that purpose whenever, in
their judgment, the best interests of the Fleet will be served thereby, and the
members shall have the power to fill any vacancies in any office, occurring for
whatever reason. The affirmative vote of 2/3 of the members entitled to vote
shall be required for the removal of an Officer or Director.
SECTION 4. The duties of the Commodore, Vice Commodore, Rear
Commodore, Clerk and Treasurer, shall be those usually pertaining the offices
of President, Senior Vice President, Vice President, Secretary and Treasurer,
respectively. The Commodore shall be an ex officio member of all committees.
SECTION 5. The Board of Directors shall consist of the Officers.
SECTION 6. The Board of Directors shall manage the affairs of the Fleet, and
except as otherwise provided by the Charter or by these bylaws, shall exercise all
powers of the Fleet. Specifically, but without limitation, the Board of Directors
shall have the power and authority to hire and appoint a Fleet Manager and
Assistant Treasurer to perform those duties assigned by the Board of Directors.
A majority of the Directors shall constitute a quorum for the transaction of
business at any meeting of the Board of Directors. The act of the majority of the
Directors present at a meeting at which a quorum is present shall be the act of
the Board of Directors.

Article IV - Management Committee
SECTION 1. The Management Committee shall consist of the Officers and
such other members appointed by the Commodore.
SECTION 2. The Management Committee shall have such authority as may be
delegated by the Board of Directors from time to time.
Article V - Race Committee
SECTION 1. The Race Committee shall consist of five or more appointed
members and the Commodore and the Fleet Manager, as members ex officio.
The appointed members shall serve for the same term, as provided by these
By Laws with respect to Officers. Members of the Committee shall notify
the Chairman of the Committee prior to July First if they are unable to be at
Mount Desert Island for any part of the summer during which they have been
appointed. The Race Committee Chairman shall fill any vacancies which may
occur for whatever cause, and may, at his/her discretion, at any time during the
summer when there are insufficient members of the Race Committee present for
the Race Committee to perform its assigned duties, appoint additional members
of the Race Committee.
SECTION 2. The management of all races shall be under the direction of the
Race Committee. All decisions of the Race Committee shall be by a majority
vote of its members present, except that in the case of a tie, the Commodore
shall cast the deciding vote, except as modified by these By Laws, or by Sailing
Instructions applicable to specific events or the general authority of the Race
Committee as defined in the Racing Rules of Sailing as adopted by the United
States Sailing Association.
Article VI - Nominating Committee
SECTION 1. The Nominating Committee shall be formed each year by the
Commodore to nominate candidates for office. The Committee shall consist of
five members, selected in the following manner: Two members shall be the most
immediate past Commodores willing to serve, with the most immediate past
Commodore as Chairman. One additional member shall be appointed by the
current Commodore. Two other members shall be appointed by the Chairman
described above.

SECTION 2. It shall be the responsibility of the current chairman of the
Nominating Committee to determine the two past Commodores willing to serve
on the following year's Committee.
SECTION 3. The Committee shall nominate candidates for each office each year.
SECTION 4. No candidate for office shall serve on the Nominating Committee.
Article VII - Fleet Insignia and Flag
SECTION 1. The Fleet insignia shall be a symbolic compass with the arrow
pointing northeast. It shall be shown as in the published in the Annual Report.
SECTION 2. The Fleet Burgee shall consist of a red pointed flag, the hoist to be
two thirds of the length, with the Fleet insignia in blue of a diameter equal to one
third of the length centered equidistant from the two longer sides of the flag and
one third of the distance from the hoist to the end of the flag; the space between
the outer band and the central disk of the insignia to be white.
SECTION 3. The members of the Fleet shall have the exclusive right to fly the
Fleet Burgee. The Fleet Burgee shall be as shown on the front cover of the Annual
Report.
Article VIII Fiscal Year
The fiscal year of the Fleet shall end on December 31.
Article IX Amendments
These bylaws may be amended either by:
The Board of Directors by unanimous vote at any regular or special meeting

provided that within sixty days after the amendments of these by laws by the

Article X - Director or Officer Conflict of Interest
SECTION 1. A conflict-of-interest transaction is a transaction in which a
Director or Officer of the Fleet has a direct or indirect financial interest. For
the purposes of this section, a Director or Officer has an indirect interest in a
transaction if (a) another entity in which the Director or Officer has a material

interest or in which the Director or Officer is a general partner is a party to the
transaction; or (b) another entity of which the Director or Officer is a director,
officer or trustee is a party to the transaction.
SECTION 2. A conflict-of-interest transaction is not voidable or grounds for
imposing liability on a Director or Officer if the transaction was fair at the time
it was entered into or is approved as provided in Section 3.
SECTION 3. A transaction in which a Director or Officer has a conflict of
interest may be approved by the Directors or the members before or after
consummation of the transaction as follows:
A. The Board of Directors or a committee of the Board may authorize, approve
or ratify a transaction under this section if the material facts of the transaction
and the Director's or Officer's interest are disclosed or known to the Board or
committee of the Board. A conflict-of- interest transaction is approved if it
receives the affirmative vote of a majority of the Directors or of a committee
of the Board who have no direct or indirect interest in the transaction, but a
transaction may not be approved under this subsection by a single Director.
If a majority of the Directors who have no direct or indirect interest in the
transaction vote to approve the transaction, a quorum is present for the purpose
of taking action under this Section.
B. The members may authorize, approve or ratify a transaction under this Section
if the material facts of the transaction and the Director's or Officer's interest are
disclosed or known to the members. A conflict-of-interest transaction is approved
by the members if it receives a majority of the votes entitled to be counted under
this Section. Votes cast by or voted under the control of a Director or Officer
who has a direct or indirect interest in the transaction and votes cast by or voted
under the control of an entity described in subsection 1, paragraph A may not
be counted in a vote of members to determine whether to approve a conflict-of-
interest transaction.
A majority of the voting power, whether or not present, that is entitled to be
counted in a vote on the transaction under this Section constitutes a quorum

A keen adventure traveler, Ken ar-
ranged expeditions for his friends and
family that included sailing around

tica and the Arctic and trekking to see
the gorillas in Rwanda. A beautiful
skier and enthusiastic fly-fisherman,
he reveled in sharing these pursuits
with his grandchildren on the slopes in
Colorado and the rivers of Montana.
He is survived by his wife, Carol,
his children Audrey Schaus (Michael)
and Geoffrey (Jodi) and six adored
grandchildren. He is also survived by
