Hancock County, State of Maine:
We, the undersigned, desire to be incorporated for educa-
tional and scientific purposes, to wit: to acquire by gift, pur-
chase, lease or otherwise, real estate within the area of the
State of Maine draining into the Penobscot Bay and River, the
Bay of Fundy, and the sea lying between said Bays, and including
also in the Dominion of Canada the whole of Nova Scotia and New
Brunswick; to hold, develop and improve for the purpose of making
a permanent exhibit, of scientific, educational and artistic
value, for the public benefit, of trees, shrubs, herbs and other
plants and of striking scenic features; for forming bird and
other wild life refuges and gardens; for the experimental growth
of plants not native to the region and publishing reports thereon;
for publishing studies, illustrations and descriptions of the
region's native life and landscape; for furnishing opportunities
for observation and study to students of plant life, ofgarden-
ing, forestry and landscape art: and for preserving and develop-
ing to the full, the natural interest and beauty of the lands
acquired, which may however be sold, exchanged or otherwise dis-
posed of, in any part that may seem best to the members of the
corporation, with reference to the purposes of incorporation, or
to their ability to carry out these purposes.

The chairman presented a form of by-laws for the regula-
tion and government of the affairs of the company which were
read article by article, unanimously adopted and ordered to be
inserted at length in the record as follows:
BY-LAWS
No. 1 - Name.
The name of the corporation shall be "The Wild Gardens of
Acadia", and its loostion and principal office shall be Bar
Harbor, Town of Eden, Hancock County, Maine.
No. 2 - Members.
The members of the corporation shall number not less
than seven nor more than thirty and may consist of educational
or other corporations, associations or institutions 88 well
as individuals. Persons who have signed the articles of
association shall be members. Other members may be added by
said incorporators provided the total number shall not exceed
thirty. Vacencies in membership caused by death or resignation
shall be filled by majority vote of remaining members.
Members of this corporation shall not, by reason of such
membership or by participation in meetings, incur any liability
of any nature.

required by the laws of the State of Maine or by these by-laws

Jesup Memorial Library or at such other place as the directors
may determine.

books of the corporation. If no such address appears, such
notices may be directed to Bar Harbor, Maine, or such notices
may be given in hand to members ten days at least before the

All doings of the annual meeting shall be valid notwith~
standing no notice is given, but no business shall be tran-
sacted at a special meeting of members unless notice is given
as aforesaid which notice shall specify all business to be
transacted.
A meeting of the directors shall be held without notice
immediately after the meeting for organization and immediate-
ly after each annual meeting of members, at the same place.
If all directors are present at any other meeting of

read article by article, unanimously adopted and ordered to be

BY-LAWS
No. 1 - Name.
The name of the corporation shall be "The Wild Gardens of
Acadia", and its location and principal office shall be Bar
Herbor, Town of Eden, Hancock County, Maine.
No. 2 - Members.
The members of the corporation shall number not less
than seven nor more than thirty and may consist of educational
or other corporations, associations or institutions AS well
as individuals. Persons who have signed the erticles of
association shall be members. Other members may be added by
said incorporators provided the total number shall not exceed
thirty. Vacencies in membership caused by death or resignation
shall be filled by majority vote of remaining members.
Members of this corporation shall not, by reason of such
membership or by participation in meetings, incur any liability
of any nature.
No. 111 4 Directors.
All powers of the corporation, except such powers as are

All contracts, deeds and mortgages shall be authorized
by vote of the directors and executed on behalf of the corpo- -
ration by the President of Treasurer, or by any other officer
or agent authorized by vote of the directors.
No. XI - Secretary of Directors.
The Clerk of the corporation shell be ex-officio Secretary
of the Board of Directors.
No. XII - Amendments.
These by-laws may be altered, &mended or repealed by
two-thirds vote of the entire membership at any annual meeting
and they may be likewise altered, amended or repealed at any
special meeting of the members called for the purpose.

by The Wild Gardens of Acadia, a corporation organized and existing
under the laws of said State of Maine, and loosted at said Bar Harbor,
the receipt whereof I do hereby acknowledge, do hereby GIVE, GRANT,
BARGAIN, SELL AND CONVEY unto the said The Wild Gardens of Acadia
and its successors and assigns forever, & certain lot or parcel of
land situated in said Bar Harbor and bounded and described as fol-
lows, to wit:-
All and the same land described as conveyed in the deed from
Lorinda H. Wood to me the said Rebecca H. Edwards dated January 31,
1910 and recorded in the Hancock County, Maine, Registry of Deeds
in Vol. 466, Page 354, said land being in said deed described as
follows:
"A lot land near the highway on the school house line in
Distriot Number Three and follows said road west nine and one half
rods thenoe running Northerly and parellel with the District line
Eight and one half rods thence parallel with road Easterly Nine
and one half rods to a steak and stone; thence direct to the first
bound; containing one half acre more or less, being the same lot
described as conveyed in the deed from Benjamin Hadley to the late
Joseph W. Wood dated September 2, 1881 and recorded in said Registry
in Book 178, Page 401."
TO HAVE AND TO HOLD the aforegranted and bargained premises,
with all the privileges and appurtenances thereof to the said The
Wild Gardens of Acadia and its successors and assigns, to its and
their use and behoof forever.

At the request of Mr. Dorr, whose request was accom-
panied by & momorandum made, as E O understand it, by you, we have
redrafted some of the by-laws of the wild Gardens corporation.
we hand you harowith a complete copy of the by-laws 88 adopted, to-
gether with new draft of such by-laws 88 it is proposed to change.
The provision that corporations may be members is we think a
wise one. There can be no objection to it by reason of anything
in our law. It is, of course, apparent that whether any part-
icular corporation my logally become a member depends upon its
charter.
Whether the number of directors may be subject to change at
the will of the mujority of members without change of by-laws is
not absolutely cleare The same is true of the provision for
electing directors who are not nembers. In the C886 of corpo-
rations with capital stock it is cloar that the number of directors
must be fixed and can only be changed by change of by-law, and it
is ulso clear that directors must be members. i.e.. stockholders.
The statute providing for organization of corporations with canital
stock is explicit in these resports. Corporations without capital
stock (like the Wild Cardons) are organized under a different
chapter of tho statute. The above points are not referred to.
Corporations without capital stook are given authority to make by-
laws not inconsistent with law. The statute does not say explicit-
ly that directors shall be members and makes no provision for change

we are inclined to the opinion that the by-laws as amended roald

directors. The President must be elected by the directors and

law relating to amendments.

In accordance with your telegram, I have pre-
pared and enclose herewith an attested copy of record of
meeting of the Directors of The Wild Gardens of Acadia, em-
powering you to execute the leases to Mr. Mather. I have
affixed the seals and as I understand it all that is necess-
ary now is for you to sign and have your signature witnessed,
the witness adding his address. I have also included in
the records a vote that you be authorized to accept the rent-
als and give receipts therefor. I have not prepared a re-
ceipt as the Government uses a special form.
At the organization of this corporation you, Mr. Deasy and
myself were elected directors. The by-laws provide that the
directors shall consist of not less than three nor more than
thirty. Hereafter the number of directors to be identical
with the number of members at the time of election. on Dec-
ember 16, 1916, Pres. Eliot, Mr. Eno, Alessandro Fabbri, Robert
Abbe, DeWitt Cuyler and George L. Ingraham were elected members.
on July 17, 1917, you resigned as President and Charles W.
Eliot was elected as President in your place. The by-laws
provide that the President shall be a director. On September
20, 1917, the following were elected as members : Department of
the Interior, Director of the Arnold Arboretum, Harvard University,

for the three corporations. I have not had time tocorrect and rewrite
At the meeting for organization , at which meeting & majority of the
signers of the articles of association should be present, the following
action should be taken:
Vote to organize and adopt the purposes 88 set for in the articles of
association.
Fix the amount of capital stock and divide it into shares
Authorize subscription for stock
Adopt by-laws
After adopting by-laws, directors and officers should be elected,
certificate of organization prepared and signed by Preident, Treasurer a
end a majority of directors. This certificate has to be approved by the
attorney General and filed and recorded in the Registry of Deeds and
with the Secretary of State. The tax to the state end for filing and
recording you know about.
After you have looked the papere over if you will return them with
such changes as you desire I will correct them and put them in proper shape

My dear Mr. Deasy
I received your letter with enclosures in relation to the
Wild Gardens Corporation. Mr. Dorr cane to see me several times when
he was in New York on his way to Washington, and I did dictate the
changes in the by-laws which occurred to me as advisable.
I should
think that if there was no express prohibition as to directors being
members of the corporation or that the number of directors could be
fixed by a vote of the members at a regular meeting, that there would
not be much risk in adopting the provision, as I imagine nobody would
ever dispute it.
I have gone over the proposed amendment tc the by-laws and
think that you have accomplished the purpose as I suggested. You did
not say that you wished the proposed amendment or the copy of the by-
laws returned to you, and 80 I will keep them here, for I imagine I shall
see Mr. Dorr again when he comes back tc New York, and the by-laws and
amendment may be useful in discussion with him. I will return them to
you at any time.
I hope you have had a good winter and that you are in good
health and spirits.
I envy your being able to get off the District Board in the
draft business, as they have kept me at it all winter, but I am determined
I shall not attempt to stay on the Board if it requires any summer work.

The Wild
Gardens' tax is $366.58. leaving a balance due the Town
of $47.78.
The reason for this difference is that a
portion of the property which is owned by the Wild Gardens
was taxed to the Transit Company and should be taxed to
the Wild Gardens. The other tax bill which you forwarded,
$66.83. is the western portion of the athletic field; That
portion west of the boys' ball ground which was reserved in
the conveyance to the Town.
I have heard no thing from President Eliott
88 yet authorizing me to call a meeting of the Reservations.
I suppose you are waiting on this in order to determine when
you are to return to Bar Harbor.

I regret very much that I have been unable to send you
the data desired regarding the National Monument before, but there WES
more work to it than I realized.
I now enclose tracing, copies of deeds whereby the Mrter Company
and The Reservations acquired the property, also copies of descriptions
which, with perhaps a fow modifications relative to rights granted and
reserved by the Weter Companies, are sufficient for conveyance to the
Government.
I also enclose a few brief notes regarding the titles.
The lots to be conveyed are marked on the trocings from 1 to 21
inclusive, and are enclosed by red lines. The perallel lines indicate
roads. The deeds to the Reservations and water Company are numbered
the
BAME 88 the tracing. The deeds by which E conveyance is to be
mede are numbered the same viti the exception that & 8 many lots as
possible are contained in one description.
The property acquired under the deeds marked 1, 7, 3, 13, 18, 19,
20 and 21 contain the proper descriptions for a conveyence to the
Government. The other lots are either grou ed together or a new de-
scription made and numbered in accordance therewith.
The tricing. while not exactly to scale, is S & near 8 1 can make
it without taking more time.

Answering cuestions submitted we beg tosay:-
Meetings of the Trustees of Public Reservations (corporation)
must be hold in the State of Maine and may be held at any place in
the state.
Proxies may be used - granted not more than thirty days before
meeting.
We are inclined to the belief that the proposed Arboretum and
wild Gardens and endowment for maintenance thereof had better be
held by individual trustees rather than by a new corporation.
Assuming that the charter members of the corporation were the
88me persons there would perhaps not be much difference. But it
seems to us that persons well known and of high standing, named 88
individual trustees, would inspire a greater degree of confidence
in possible donors.
There is a certain moral responsibility attached to an individ-
ual trusteeship which would offer assurance of permenence.
The duties of such trustees, the limitations of their powers
and the method of succession could be carefully set forth either in
full or by reference to prior deeds in any deed of gift either of
land or funds for maintenance.

held at the Jesup Memorial Library, Bar Harbor. Hancock County,
Maine, on Thursday, July 1, 1920, at three o'clock in the after-
noon.
Present: George R. Dorr, T.. B. Deasy and h. II. Lynam, being
all the directors.
Indentures, in quintuplicate, dated Jul.v 1. 1920, from the
wild Gardens of Acadia to Stephen T. Mather, Director of the
National Park Service, leasing the land and building on the north-
west corner of Main Street and Park Road, in Bar Karbor, was pre-
sented and upon motion it WS
VOTED that the Treasurer, George B. Dorr, be and is hereby
authorized and empowered to execute the same in behalf of the
wild Gardens of Auadia, and to affix E seal 88 the soal of th
corporation, it having no impression seal.
VOTED that the Treasurer, Georgo 3. Dorr, be and is hereby
authorized to receive, on behalf of the wild Cardons of Acedia,
the rentals mentioned in said indentures and to give receipts
therefor.

thereon; for publishing studies, illustrations and descriptions of
the region's native life and landscape; for furnishing opportunities
for observation and study to students of plant life, of gardening,
forestry and landscape art; and for preserving, and developing to
the full, the natural interest and beauty of the lands acquired,
which may however be sold, exchanged, or otherwise disposed of, in
any part that may seem best to the Associates with reference to the
purposes of their incorporation, or to their ability to carry out
these purposes.
To act as a forestry association within the limits of Hancock
County, receiving in gift or acquiring by purchase lands suitable
for successful forestry and operating these lands as forest lands
(1) for educational ends, (2) for shelter to wild life and plants
of lower growth, (3) for the greater beauty and interest such well-
forested tracts will give to the County landscape, any funds de-
rived from such forestry to be employed in furthering the association's

In accordance with your telegram, I have pre-
pared and enclose herewith an attested copy of record of
meeting of the Directors of The wild Gardens of Acadia, em-
powering you to execute the leases to Mr. Mother. I have
affixed the soals and &8 I understand it all that is necess-
ary now is for you to sign and have your signature witnessed,
the witness adding his address. I have also included
in
the records a voto that you be authorized to accent the rent-
als and give receipts therefor. I have not prepared a re-
ceipt as the Government uses E special form.
At the organization of this cornoration you, l'r. Densy and
myself were elected directors. The by-laws provide that the
directors shall consist of not less than three nor more than
thirty. Hereefter the number of directors to be identical
with the number of members at the time of election. On Dec-
ember 16, 1916, Pres. Fliot, Mr. Eno, Alossandro Fabbri, Robert
Abbe, Do itt Cuyler and George L. Ingraham were elected members.
On July 17, 1917, you resigned as President and Charles W.
Eliot was elected as President in your place. The by-laws
provide that the President shall be & director. On September
20. 1917, the following were elected as members : Department of
the Interior. Director of the Arnold Arboretum. Harvard University

The records do not show any change in the or-

I have made some figures on the cost of the mile end one
half extension of our 2300 volt line from its present terminus
ct the Pot and Kettle Club to Saulsbury Cove, terminating at the
point where the Summer School is to be installed. The estimate of
the cost of this work is shown on the attached sheets to be
$2086.93.
I have elso made an estimate of what I think it will
actually cost us to operate this line, also the amount of revenue to
be expected.

There are a few words to be said about some of the above items.
It is estimated that 2000 K.W.H. would be sold a year to the ten
customers along the new extension. The operating expenses in Bar Harbor
for the your 1920 was 3.6 & per K.W.H.; hence, an itom of $72 WES inclu-
ded ES operating expense for the new line. The total operating expense
of the Ellsworth Power House in 1920 was $11,242. Assuming that the
capacity of the Ellsworth Station is practically 5000 K.W. and elso that
we have 9 K.W. in transformers in the new extension. I have estimated
the portion or the Ellsworth operating expenses which should be borne
by the now extension is 9/5000 of $11, 242., or $20.25; also that the
portion of the Ellsworth Power House devoted to Hancock County business,
plus the value of the present Bar Harbor distribution system represents
an investment of approximatoly $1,000,000. and that 9/5000 of 9%
on the quove investment would be $162., which represents the portion
of ell the Bar Herbor fixed charges which should be borne by the new
line. This mekes the total annuel expense of $608.95.
of course, the last items are more or less approximate,
but they give some idea of the proper proportion of the Company's
annual fixed charges tir t s t any line extension should bear. Since any
power company is made un of a great number of just such extensions as
this, it is evident that if the small units did not beer their pro-
portion, then the sum& of the units would not bear the fixed charges,
and the business would not be profitable.

REVENUE
There are fifteen houses elong this extension, ten of
which will probably take electric current. There are something like
six summer customers and four yearly customers who would be served.
In 1920 the average income of the whole Bar Harbor Company was $37.
per residence per year for all customors, both seasonal and yearly.
The new rate went into effect in May 1920, so that for 1921 the
annual revenue por customer should not exceed $30.

Echo Lake and the highway running from Southwest Harbor to Bar

such other terms and provisions and be subject to such conditions
as said President shall deem wise, and his execution of said lease
shall be deemed a sufficient determination thereof, and that the
Recording Secretary, William P. Dickey, be and hereby is authorized
to attest said lease and affix the corporate seal thereto."

cational and scientific purposes, to wit: To acquire by gift,
purchase lease or otherwise, real estate in Hancock County,
State of Maine, to hold, develop and improve for the purpose
of making a permanent exhibit, of scientific, educational and
artistic value for the public benefit. of trees, shrubs, herbs
and other plants and of striking scenic features; for forming
bird and other wild life refuges and gardens; for the experimen-
tal growth of plants not native to the region and publishing
reports thereon; for publishing studies, illustrations and de-
scriptions of the region's native life and landscape; for fur-
nishing opportunities for observation and study to students of
plant life, of gardening, forestry and landscape art; and for
preserving, and developing to the full, the natural interest
and beauty of the lands acquired, which may however be sold, ex-
changed, or otherwise disposed of, in any part that may seem
best
to the Associates with reference to the purposes of
their incorporation, or to their ability to carry out these pur-
poses.
To act as a forestry association within the limits of
Hancock County, receiving in gift or acquiring by purchase lands
suitable for successful forestry, and operating these lands as
forest lands (1) for educational ends, (2) for shelter to wild
life and plants of lower growth, (3) for the greater beauty
and interest such well-forested tracts will give to the County
landscape, any funds derived from such forestry to be employed
in furthering the association's public aims.
We, therefore, appeal in writing to you to issue your
warrant to one of the applicants requiring him to call a meet-
ing thereof at such time and place as you may appoint for organ-
ization and for all purposos specified in the Revised Statutes
of Maine, Chap. 57, and amendments thereof and additions there-
to.

RECORD OF MEETING OF ORGANIZATION.
Under the authority of the foregoing application and warrant
and waiver of notice and pursuant to said warrant the applicants
assembled at the office of Deasy & Lynam, Bar Harbor, Town of
Eden, Hancock County, Maine, on Monday, the fifth day of April,
1915, at six o'clock in the afternoon for the purpose of organ-
ization.
There were present in person: George B. Dorr, A. S. Rodick,
Frank L. Brewer, L. B. Deasy and A. H. Lynam, being a majority
and quorum of said applicants. The following applicants were
also present, by their proxy, George B. Dorr, to wit: Charles
W. Eliot, David B. Ogden, Ernesto G. Fabbri, and Robert Abbe.
All applicants were, therefore, present or represented by proxy.
George B. Dorr called the meeting to order and on motion
therefor George B. Dorr was made temporary chairman and presided.
On motion therefor A. H. Jiynam was made temporary clerk and
duly sworn by L. B. Deasy, Notary Public.
On motion therefor the following votes were unanimously
adopted:
VOTED that original application, waiver of notice and warrant
be filed with the Clerk and a copy thereof spread upon these
records.
VOTED that we proceed to organize as a corporation under
Chapter 57 of the Revised Statutes of the State of Maine and
acts amendatory thereof and additional thereto.
VOTED that the name of the corporation shall be "Sieur de

Monts Arboretum and Wild Gardens", and that its location and
principal office shall be Bar Harbor, Town of Eden, Hancock
County, Maine.
VOTED that the corporate purposes as stated in the applica-
tion be the corporate purposes of the Company.
The chairman presented a form of by-laws for the regulation
and government of the affairs of the Company which were read
article by article, unanimously adopted and ordered to be insert-
ed at length in the record, as follows:
BY-LAWS.
No. I - Name
The name of the corporation shall be the "Sieur de Monts
Arboretum and Wild Gardens", and its location and principal office
shall be Bar Harbor, Town of Eden, Hancock County, Maine.
No. II - Members.
The members of the corporation shall consist of not less
than seven nor more that twenty-one.
The associates who have signed the articles of association
shall be members. Other members may be added by said associates
providing the total number shall not exceed twenty-one.
Vacancies in membership caused by death or resignation to
be filled by majority vote of remaining members.
No. III - Board of Directors.
All powers of the corporation, except such powers as are
required by the laws of the State of Maine, or by these by-laws
to be exercised by the members shall be vested in and exercised

by a board of directors consisting of not less than seven nor
more than twenty-one, the number of directors to be identical
with the number of members at the time of election.
Such
directors shall be elected at the meeting of or ganization by the
associates and thereafter by the members, and shall hold their
office from the time of their election until the next annual
meeting and thereafter until their successors are elected.
No. IV - Officers.
The officers of the corporation shall consist of a President,
Vice-President, Clerk and Treasurer, all of whom shall be chosen
by the associates at their meeting for organization, and there-
after the President, Vice-Pres. and Treasurer shall be elected
by and from the Board of Directors. The Clerk shall be elected
by the mambers. All officers shall hold the ir office from the
time of their election until the next annual meeting and there-
after until their successors are elected. These officers shall
have the powers usually belonging to such officers. The offices
of President and Treasuer may be held by the same person.
No. V - Committees.
Committees may be appointed at any time by the President
of the Association.
No. VI - Resignations
Any member may resign his membership in the corporation at
any time by written notification to the Clerk of the corporation.
No. VII - Meetings.
The annual meeting of the corporation shall be held at Bar

Harbor, Eden, Hancook County, Maine, on the first Monday of
August in each year at eleven o'clock in the forenoon at the
Jesup Memorial Library or at such other place as the Directors
may determine.
Special meetings of the corporation may be held at any
time upon the order of the President or three Directors. It
shall be the duty of the Clerk to give notice of the annual meet-
ing and all special meetings by sending to each member, by mail,
postage paid, a notice of such meeting at least ten days before
the time of holding the same. Such notice shall be directed to
each
Member at his address appearing upon the books of the corporation.
If no such address appears, such notices may be directed to Bar
Harbor, Maine, or such notices may be given in hand to members
ten days at least before the time of holding the meeting. Such
notices may be signed by the President or Clerk.
All doings of the annual meeting shall be valid notwith-
standing no notice is given, but no business shall be transact-
ed at a special meeting of members unless notice is given as a-
foresaid which notice shall specify all business to be trans-
acted.
A meeting of Directors shall be held without notice
immediately after the meeting for organization and immediately
after each annual meeting of members, at the same place.
If all directors are present at any other meeting of direct-
ors no notice shall be required, otherwise notice of such meet-
ing shall be given in hand to each director or sent by mail to

each director postage prepaid at least three days before such
meeting. If sent by mail such notices shall be directed to
each director at his address appearing upon the books of the
corporation. If no such address appears such notices shall
be directed to Bar Harbor, Maine.
Such notice may be given either by the President or Clerk.
No. VIII - Quorum.
Three members of the corporation shall constitute a quorum
of members and three directors shall constitute a quorum of
directors.
No. IX - Proxies.
Each member shall be entitled to one vote and may be re-
presented by proxy granted not more than thirty days before the
meeting.
No. X - Contracts.
All contracts, deeds and mortgages shall be authorized by
vote of the directors and executed on behalf of the corporation
by the President or Treasurer, or by any other officer or agent
authorized by vote of the directors.
No. XI - Secretary of Directors.
The Clerk of the corporation shall be ex-officio Secretary
of the Board of Directors.
No. XII - Amendments.
These by-laws may be altered, amended or repealed by a
two-thirds vote of entire membership at any meeting of the
members called for the purpose.

ARTICLES OF AGREEMENT BETWEEN THE HARPSWELL LABORATORY CORPORA
TION OF SOUTH HARPSWELL, MAINE. PARTY OF THE FIRST PART, AND
THE WILD GARDENS OF ACADIA CORPORATION OF MOUNT DESERT ISLAND,
MAINE, PARTY OF THE SECOND PART, CONDITIONING THE TRANSFER OF
THE HARPSWELL LABORATORY FROM SOUTH HARPSWELL, MAINE, to
MOUNT DESERT ISLAND, MAINE.
The two parties above mentioned agree that the transfer of
the Harpswell Laboratory from South Harpswell, Maine, tc Mount
Desert Island, Maine, shall be effected under the following
conditions:
1.
That the Harpswell Laboratory shall transfer its
activities to Mount Desert Island.
2.
That the Harpswell Laboratory Corporation of South
Harpswell, Maine, shall become & member of The
Wild Gardens of Acadia Corporation and be repre-
sented on its Board, the present organization of
the Harpswell Laboratory remaining as at present
incorporated.
3.
That The Wild Gardens of Acadia Corporation desig-
nate for occupancy by the Harpswell Laboratory a
tract of land to be set apart from the lands new
held by it at Salisbury Cove, Maine, the boundries
of said tract to be determined in consultation be-
tween appointed representatives of the Harpswell
Laboratory and The Wild Gardens of Acadia.
4.
That the Harpswell Laboratory undertake as its
purpose and aim to establish and maintain a lab-10.1
oratory for scientific study and investigation,
as stated in its certificate of incorporation
from the State of Maine.

That the Harpswell Laboratory agree that in the
event of its ceasing to exist as an active
Biclogical Association the lands leased to it in
accordance with the afcresaid designation shall
revert to the ccntrol of The Wild Gardens of
Acadia.

That the Wild Gardens of Acadia agree to use its
best endeaver to promote the interests. scientific
and financial, of the Harpswell Laboratory, and to
secure for it such other stations in that region

Dear Sirs:
At a meeting of the Trustees of the Harpswell Laboratory
held at the above date and location, the agreement to lease the
land at Salisbury Cove from the Wild Gardens of Acadia Association
and to move the Harpswell Laboratory activities to the land so
leased was ratified and signed by our treasurer.
The lease which
the Wild Gardens of Acadia Association offered us was approved and
the Director was requested to write a letter to the officers of the
Wild Gardens of Acadia Association stating our understanding and
interpretation of this lease.
In regard to paragraph four, the phrase "And for none
other except as may be essential or important to the furtherance
of such end," the trustees interpret that as permitting them in
addition to laboratory buildings and equipment to erect and
construct tents, cottages or habitations for the students, research
workers and assistants on the land and to receive a rental for
these accommodations.
In regard to paragraph five the phrase "this lease shall
ipso facto cease and become null and void;" it is understood that
in case of war or like emergency that if both parties agree to
the suspension of the activities of the laboratory this clause in
the lease will not operate.

In regard to paragraph five, the words "to make improvements,"
the trustees understand and interpret this to mean "to make
improvements that may be approved and consented to by the trustees
of the Harpswell Laboratory."
Mr. Dorr expressed the wish to have a cottage and wharf on
the Eastern end of the land and I agree to this and my consent was
confirmed by others of the trustees.
I would suggest as a modus
operandi that the Harpswell Laboratory and its friends collect the
funds for this improvement, build it according to Mr. Dorr's wishes
and lease it to him without rental as long as he cares to have it.
The greatest part of this "improvement" would be to have Mr. Dorr
with us.

My dear Mr Lynam,
I wrote you under rather uncomfortable conditions from
Augusta yesterday. The chances for our forestry measure seem now
to be uncommonly good, if no agitation against it from the other
toms on the Island makes itself felt in the Legislature when it
comes before it. Mr Deasy and I met the chairman of the committee,
Mr Colby, in the hotel corridor this morning and he again repeated
his assurance that we should get a good report from them upon the
measure. This report may be either unanimous or divided however,
and if it goes before the Legislature with a unanimous report in
its favor, it will be in a much stronger position there. so I
asked Morrison to try and arrange before he came away, which he
planned to do tomorrow morning, for in some way)learning if there
were any melbers of the committee not friendly to the bill. If
there should be and we know it in time, we might be able to bring
S me influence to bear. Also it is going to be desirable to quietly
keep in touch with the western side of the Island, through people
living there who would not talk, so that we may know in season if
me are going to be up against opposition, petitions, etc., from
legislative
that quarter when the bill comes up for its readings-- first or

final. Please keep me informed of further progress in the matter;
I will go dom to Augusta again at any time if it should seem de-
sirable.
I hope you will take up the two drafts for incorporation with
Mr Deasy as soon as you get a chance. He and you each have copies
of both now in my last form.
TO the Articles of Association of the public service corpor-
ation - the Arboretum and wild Gardens -- I would like to add the
paragraph I now enclose, giving it power to act as a forestry as-
sociation. There is a sreat deal of 'land upon the Island, and doubt-
less on the mainland within the County too, that could be forested
in the future under scientific management so as to meet its legiti-
mate taxes and add greatly to the interest and beauty of the County,
possibly becoming in the end a source of revenue also. I think I
know several tracts already on the Island, owned by summer residents,
which could be counted on to come in ere long for such holding and
which R uld not be taken out of taxation by deeding to the Public
Reservations.
If this forestry measure for the Island goes through, I want
to be in a position if possible to associate it with the Arboretum
and Wild Gerdens corporation as its first undertaking and act of
public service. It is directly alone the line of the work it
ID uld undertake hereafter and it would give the Association stand-
also
ing of importance at the start. The Spring Incorporation I want
to get started at once so that I may put that whole matter on a
business basis. so, as I began by saying, I hope you will do what
you I
can to forward both. II Answering your letter, do not want to form
main a separate hotel corporation if it be not absolutely necessary,
and Mr Deasy said he saw no reason why it should be. From all

that I can see, the powers given in this regard by my Spring Company
draft would abundantly cover the whole field.
I had a short talk with Mr Bunker yesterday in his office,
happening to pass by there as he was comins out, and he gave me
some striking instances in the way in which charters drawn for one
purpose were being allowed to serve for others widely different.
Therefore it struck me that excessive care to cover every point that
might arise hereafter, so long as the general ends were clearly
stated was not necessary. What I am anxious to do however is to
get our two acts of incorporation so dram that they can be used
not only in a legal way but in a public one,as statements of the
ends sought and objects undertaken.

Dear Mr. Lynam:
I received your letter concerning our share of the
taxes and will issue a voucher tc our treasurer, ur. I.i. J. Greenmam,
ordering them paid.
Before dcing SC 1 would like to inform myself on several
points. Were these taxes levied by the assessors on the 14 1/2
acres we leased from the "Wild Gardens" as a separate item? ur
did they levy on the whole property including the land to the north
as well as the land to the south of the road and the "Wild Gardens"
then apportion this share to the 14 1/2 acres leased to the Harps-
well Labcratory?
Also was the Laboratory building included in the property
taxed? 1 ask this because the selectmen promised not to tax cur
individual property and I wanted to be sure that their office force
had not forgotten this fact.
I am happy to report that Mr. Henry Eno has completely
recovered from his very sericus illness (pneumonia) from which he
nearly died.
I am busy collecting money for our Harpswell Laboratory
operations next summer and already have enough on hand or pledged
to enable us to conduct the work. Luch interest is also being shown
by the scientists of the country and I expect that our facilities
will be taxed to their utmost by students and research workers.
During February 1 shall be working in the large new aquarum
and laboratory at Miami, Florida and expect tc get many pointers
there as tc row we may develop at Bar Harbor.

My dear Mr Lynam,
when I was in New York a few days ago I went to see Mr
Filliam H. Bliss with regard to his wife's land on Newport Mountain.
I told him what we were seeking to accomplish, both in regard to
the National Monument and the Trustees Board. He was greatly inter
ested at the thought of what might be accomplished by the latter,
and asked me to let him have my papers on the subject to go over
with his wife. I think that so far as his influence with her extends
we shall get the land, but that he may probably prefer to have it
pass - for the present at least -- into the keeping of the Trustees
Board, as giving more definite assurance of control in sympathy
with his adjoining ownership. with reference to this, he suggested
of his own accord making the boundary pass not through the woods
immediately below the mountain but down below these woods upon the
meadow - far enough off to lead a path along below the cliff in
the open with opportunity for view. This seems to offer an oppor-
tunity important to take if possible and one that it will be wise
not to let wait.
Mr Bliss asked me if I would let him have some map showing in
a general way their property and its relation to the mountain sides
and sumit, and also to Professor Brinnow's land and the land he gave
tie Reservation. I told him that I thought you would be able to

will enable him to talk the matter over intelligently with his wife.
Just where the line should be drawn upon the meadow I cannot tell
from memory with certainty but should think it ought to lie not far
from the foot of th no rising ground which Peach has cultivated and
where he has kept his bigs at different times. One has to get
fairly well off there in order to get the most striking view of
the cliff above the beech trees; but, I think the path might best
go part way un the slope of this cultivated rise with space enough
below for plantine out any disfigurement that might be made upon
for
the meadow and k eeping manure piles, pig-yards and the like hereafter
at
a distance. W 111 you take such opportunity as you will find
to go and take a look at it and write me word - sending me up a
plan also if you can ?
I do not want to do anything to make Peach conversant with the
matter at this st.gg, as he would be certain to write to Mrs Bliss
in hindrance of it. Nor would my plan involve disturbing his occu-
rent
pation of this land in a way to lessen present to Mr Bliss. I
simply want to secure the land for patn-development hereafter.

Dear Mr. Dorr:
I transmit herewith, in quintuplicate, form of lease,
to cover the use by you 33 headquarters of Sieur de Mont: National
Monument during the your beginning July 1, 1918, of the building be-
longing to the Wild Gardens of Acadia located at the northwest cor-
ner of Main Street and Park Road, Bar Harbor, Maine, at in annual
rental of $1000, payable $250 quarterly, lessor to furnish light,
heat, water and janitor service. All five copies of this instrument
should be executed by the lessor in accordance with the acconcanying
regulations governing the preparation and execution 01 contracts and
binds, and returned 10 this office for final action.
